Cartesian Therapeutics, Inc. — Q1 2024 Form 10-Q Summary

Business Context and Reporting Period

Cartesian Therapeutics is a clinical-stage biotechnology company developing mRNA cell therapies for autoimmune diseases, including Descartes-08 for myasthenia gravis. The company has no approved products and generated no product sales. Its revenue is primarily from collaboration and license arrangements. This unaudited Form 10-Q covers the three months ended March 31, 2024, compared with the three months ended March 31, 2023.

The company completed its merger with Old Cartesian in November 2023 and adopted the Cartesian Therapeutics name and RNAC trading symbol. On April 4, 2024, after the reporting period, it implemented a 1-for-30 reverse stock split. On April 8, 2024, 367,919 Series A preferred shares automatically converted into approximately 12.3 million common shares; additional preferred shares remain subject to conversion limitations.

Revenue was substantially flat. Q1 2024 revenue included $5.8 million from the Astellas agreement, including $3.2 million related to prior-period performance obligations following a transaction-price change. No revenue was recognized from the Sobi license in Q1 2024, compared with $4.4 million in Q1 2023. Astellas notified the company in March 2024 of its intent to terminate its agreement effective June 6, 2024.

Research and development expense declined primarily because of strategic program reprioritization. General and administrative expense increased primarily because of merger-related professional fees. The net loss was heavily affected by non-cash fair-value charges, including a $39.3 million increase in the contingent value right liability and a $6.9 million increase in forward contract liabilities. These items were partly offset by a $1.0 million gain from the change in fair value of warrant liabilities.

At March 31, 2024, cash and cash equivalents were $103.4 million, and cash, cash equivalents and restricted cash totaled $104.8 million, including $1.4 million of restricted cash and approximately $0.2 million held by the Russian subsidiary. Total assets were $325.2 million, total liabilities were $442.0 million, and stockholders’ deficit was $116.8 million. The company had no outstanding borrowings; its prior term loan was fully extinguished in September 2023.

Cash Flow, Liquidity and Capital Resources

  • Operating activities used $15.9 million of cash.
  • Investing activities used $0.6 million, primarily for property and equipment.
  • Financing activities provided $43.0 million, primarily from the $40.0 million Q1 issuance of Series A preferred stock under the November 2023 private placement, plus warrant and option exercises.
  • Cash, cash equivalents and restricted cash increased by $26.5 million during the quarter to $104.8 million.
  • Management stated that available liquidity should fund current planned operations for at least the next twelve months and, in the MD&A, into the second half of 2026. This estimate is subject to execution, clinical, regulatory and financing risks.
  • The company expects continued operating losses and may require additional equity, debt, collaboration, or royalty and milestone monetization financing. Additional equity financing could dilute existing holders.

Material Changes and Unusual Items

  • The company reduced its workforce by approximately 79% by March 31, 2024 as part of a restructuring and program-prioritization effort. Q1 restructuring expense was $0.3 million, and $3.3 million of related cash payments were made.
  • Development priorities include advancing Descartes-08 for myasthenia gravis into Phase 3 development. Other clinical and preclinical programs were paused or deprioritized.
  • The Astellas agreement for Xork is expected to terminate on June 6, 2024. The company also notified Genovis of its intent to terminate the Xork license effective September 13, 2024.
  • The CVR liability was $397.9 million at March 31, 2024, up from $358.6 million at December 31, 2023. The liability is intended to be settled from specified legacy-asset proceeds, including Sobi-related milestones and royalties, rather than from the company’s general cash resources.
  • Series A preferred stock was reclassified from mezzanine equity to permanent equity after stockholders approved the conversion proposal. The preferred stock represented potential dilution of approximately 17.8 million common shares at March 31, 2024, before subsequent conversion activity.
  • Disclosure controls and procedures were not effective as of March 31, 2024 because of a material weakness concerning documentation and review controls supporting valuations of acquired in-process research and development assets and the CVR obligation. Management reported no material accounting errors or omissions in the financial statements and plans remediation.

Guidance, Outlook and Principal Risks

Management expects significant expenses and operating losses for the foreseeable future and does not expect product revenue for at least several years. Future results depend on successful clinical development, regulatory approval, manufacturing scale-up, intellectual-property protection, patient enrollment and access to additional capital.

Key risks include the uncertain clinical and regulatory prospects of Descartes-08 and other candidates; reliance on collaboration partners; termination of collaboration agreements; manufacturing and patient-specific production challenges; potential dilution from equity financing and preferred-stock conversion; valuation uncertainty surrounding the CVR liability; macroeconomic and geopolitical conditions; and the company’s material weakness in internal controls.

Two shareholder-related lawsuits concerning proxy disclosures and the conversion proposal were dismissed in March 2024. The company reported no pending litigation expected to have a material adverse effect as of March 31, 2024.
