ROPER TECHNOLOGIES INC annual report, FY2022

Roper Technologies, Inc. — FY 2022 Form 10-K

Reporting period: Fiscal year ended December 31, 2022. Amounts are in millions of dollars except per-share data. The filing is an annual report; fourth-quarter figures are noted separately below.

Business context

Roper operates a portfolio of vertical software and technology-enabled product businesses. It reorganized reporting into Application Software, Network Software, and Technology Enabled Products. In November 2022, it sold a 51% stake in its industrial businesses to Clayton, Dubilier & Rice, retaining a 49% interest in Indicor. Results of Indicor and the 2021 divestitures are presented as discontinued operations. Roper said the portfolio changes increase recurring revenue and reduce cyclicality and asset intensity.

Total net earnings were $4,544.7, including $3,559.1 from discontinued operations, of which $3,356.3 was a net gain on dispositions. Accordingly, total earnings and EPS are not representative of continuing operating performance. Fourth-quarter revenue was $1,430.9; continuing-operations net earnings were $247.3.

Revenue increased 11.1%, with acquisition/divestiture effects contributing 2.9 percentage points and foreign exchange reducing growth by 1.2 points. Application Software revenue was $2,639.5 (up 11.5%); Network Software was $1,378.5 (up 12.6%); Technology Enabled Products was $1,353.8 (up 8.9%). Network Software’s operating margin rose to 41.4% from 39.0%; Application Software’s increased to 27.1% from 26.8%; Technology Enabled Products’ edged down to 33.2% from 33.4%.

Operating cash flow from continuing operations fell year over year, primarily reflecting $953.8 of cash taxes paid on divestiture gains in 2021 that did not recur, higher cash taxes associated with tax treatment of R&D, and lower working-capital contribution. Investing cash outflow from continuing operations was $4,351.8, primarily reflecting $4,280.1 of net acquisition payments, including Frontline Education. Financing cash outflow was $1,453.9, including $800.0 of senior-note repayments, $470.0 of net revolver repayments, and dividends.

Debt declined during the year; year-end debt was primarily fixed-rate senior notes, with no revolver borrowings. Roper had a $3,500 revolving facility and approximately $3,482 of undrawn availability. It reported compliance with debt covenants. Net working capital was negative $1,053.7, which management attributed in part to deferred revenue and its asset-light model. Backlog rose 25.3% to $2,912.6; remaining performance obligations were $4,214.0.

Material changes, outlook, risks, and unusual items

  • Roper acquired Frontline Education in October for $3,738.0 and completed six additional bolt-on acquisitions. Frontline’s results are included in Application Software from the acquisition date.
  • Divestitures generated $5,561.8 in proceeds from discontinued operations during 2022. The Indicor transaction left Roper with a 49% minority investment initially valued at $535.0; subsequent fair-value changes are to be recorded in non-operating income.
  • Other expense included a $45.0 settlement of Verathon patent litigation, agreed in early 2023 and recorded in 2022, and a one-time $4.1 charge relating to transferred asbestos exposure. No material contingent loss was considered reasonably possible at year-end, according to management.
  • The effective tax rate was 23.1%, versus 22.0% in 2021, affected by tax expense associated with restructuring related to the Indicor transaction. Management expected a 2023 effective tax rate of approximately 21%–22%; it did not provide specific revenue or earnings guidance in the supplied filing text.
  • Management expected positive operating cash flows to support scheduled debt reduction, while noting that acquisition activity, operating performance, and financial-market conditions could affect the pace. It expected capital expenditures plus capitalized software expenditures to be 1.0%–1.5% of annual revenue.
  • Key risks include acquisition execution and integration, substantial indebtedness and interest-rate exposure, cybersecurity and third-party cloud-service disruptions, privacy regulation, supply-chain and inflation pressures, foreign exchange, competition, and possible impairment of goodwill or intangible assets. Goodwill was $15,946.1 at year-end; the company reported no impairment in its 2022 annual test.

Investor verification priorities

  • Separate continuing-operations performance from discontinued-operation earnings and large disposition gains when assessing earnings growth and EPS.
  • Review the cash-flow decline, including cash taxes, working capital, acquisition spending, and the timing of divestiture proceeds.
  • Assess the terms, valuation assumptions, dilution payments, and potential exit outcomes for Roper’s 49% Indicor investment.
  • Verify debt maturities, interest costs, covenant headroom, and management’s ability to reduce debt while pursuing acquisitions.
  • Monitor Frontline integration, backlog conversion, recurring-revenue growth, and margin trends, particularly Technology Enabled Products’ cost pressures.
