Royalty Pharma Plc annual report, FY2023

Royalty Pharma plc — 2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023. This is an annual filing, not a standalone fourth-quarter report; the filing text does not provide a clear Q4-only set of financial results. Royalty Pharma acquires and funds biopharmaceutical royalties, receiving payments linked primarily to product sales. Its portfolio included royalties on more than 35 marketed products and 14 development-stage candidates.

Financial performance

Metric20232022
Portfolio Receipts$3.049 billion$2.789 billion
Total income and other revenues$2.355 billion$2.237 billion
Operating income$1.492 billion$307.1 million
Consolidated net income$1.700 billion$230.1 million
Net income attributable to Royalty Pharma plc$1.135 billion$42.8 million
Net cash provided by operating activities$2.988 billion$2.144 billion
Capital Deployment$2.192 billion$2.428 billion

Portfolio Receipts, a company-defined performance measure, increased 9.3%. Royalty receipts rose 7.9% to $2.449 billion; milestones and other contractual receipts were $599.3 million, including a $475 million Zavzpret approval milestone. GAAP revenue increased 5.2%. Operating margin was approximately 63% versus 14% in 2022, but comparisons are affected by non-cash provisions and impairment charges; this is not a conventional operating-company margin measure.

2023 GAAP results benefited from lower provision expense for changes in expected royalty cash flows ($560.7 million versus $904.2 million) and no financial royalty impairment charge, compared with $615.8 million of impairments in 2022. Other income included $230.8 million of gains on available-for-sale debt securities and $87.1 million of gains on equity securities. The 2023 provision expense reflected lower sales forecasts for Tysabri, Imbruvica and Tremfya; it is non-cash and can make reported earnings volatile.

Liquidity, debt and capital allocation

  • Cash and cash equivalents were $477.0 million at year-end, down from $1.711 billion; the company held no marketable securities at year-end 2023.
  • Outstanding senior unsecured notes had $6.3 billion principal and $6.135 billion carrying value. The company repaid $1.0 billion of notes at maturity in September 2023. All notes carry fixed rates; the weighted-average coupon was 2.48% at year-end.
  • The company had $1.8 billion of available revolving credit commitments and no revolver borrowings at year-end. It reported compliance with debt covenants.
  • Adjusted EBITDA, a non-GAAP covenant measure, was $2.806 billion; Portfolio Cash Flow was $2.708 billion. These measures are not GAAP cash flow.
  • 2023 investing cash outflow was $2.073 billion and financing cash outflow was $2.149 billion. The latter included $1.0 billion of debt repayment, $358.3 million of dividends and $304.8 million of share repurchases.
  • The company paid four quarterly dividends of $0.20 per Class A share. The board authorized up to $1.0 billion of repurchases through June 2027; future dividends and repurchases are not assured.

Material changes and portfolio developments

  • Growth in receipts was led by the cystic fibrosis franchise ($771.2 million, up 11.8%) and Trelegy ($203.3 million, up 126.1%, including the effect of its 2022 acquisition). Evrysdi receipts rose 62.6% and Tremfya rose 19.6%.
  • Offsets included lower Tysabri receipts (down 8.3%) and Imbruvica (down 18.4%), reflecting pricing pressure or competition; receipts from maturing royalties, including diabetes products, also declined.
  • The company deployed $2.192 billion in 2023 and announced transactions with potential total value of approximately $3.959 billion. Major transactions included $1 billion for additional Evrysdi royalties, $300 million upfront for Adstiladrin, and $150 million for Skytrofa.
  • Operating cash flow rose $843.8 million, driven mainly by higher cash collections from financial royalty assets, including the Zavzpret milestone, and lower development-stage funding payments.

Outlook, commentary and risks

Management stated that existing capital resources, operating cash flows and the revolving facility should support operating needs, planned acquisitions and debt service for the foreseeable future. The filing gives no numerical 2024 revenue, earnings or Portfolio Receipts guidance. Expected portfolio catalysts include regulatory and clinical milestones for candidates such as KarXT, aficamten, pelabresib and vanzacaftor combination therapy; timing and outcomes remain uncertain.

  • Cash flows depend on product sales, market acceptance, pricing and reimbursement, competition, regulatory decisions, manufacturing and marketers’ actions, none of which Royalty Pharma controls.
  • Concentration remains material: the top five product franchises generated 66% of royalty receipts, and the cystic fibrosis franchise represented 36% of total income and other revenues in 2023. Vertex accounted for 32% of the current portion of financial royalty assets at year-end.
  • Royalty asset values and GAAP earnings rely on estimates of long-term sales, growth and royalty duration. A two-year reduction in estimated duration for selected major assets could trigger substantial non-cash provision expense, including $296.0 million for the cystic fibrosis franchise and $269.3 million for Trelegy in the disclosed sensitivity analysis.
  • Leverage, interest rates on any future revolver borrowing, foreign exchange, tax and treaty positions, and the company’s reliance on its external Manager are significant risks. The company also expects to be treated as a PFIC for U.S. federal tax purposes.
  • Management reported no cybersecurity threat identified in 2023 that materially affected or was reasonably likely to materially affect the company. The auditor issued unqualified opinions on the financial statements and internal control over financial reporting; valuation of financial royalty assets and related interest income was a critical audit matter.

Investor verification priorities

  • Reconcile Portfolio Receipts and operating cash flow, particularly the $475 million Zavzpret milestone and other one-time receipts, against recurring royalty collections.
  • Track updated sales expectations, provision activity and royalty-duration assumptions for the cystic fibrosis franchise, Tysabri, Imbruvica and Trelegy.
  • Assess the trajectory of Tysabri and Imbruvica amid competition, as well as concentration in the leading royalty franchises and dependence on Vertex.
  • Review debt maturities, covenant headroom, liquidity after capital deployment, and the balance between acquisitions, dividends and repurchases.
  • Monitor clinical and regulatory progress, as well as the potential cash flows and funding commitments associated with development-stage assets.
