Cash and cash equivalents were $2.96 million at quarter-end, down from $3.62 million at December 31, 2022. Operating cash flow was positive despite the net loss, chiefly because changes in operating assets and liabilities provided $594,790, mainly from higher accounts payable associated with extended vendor payment terms. The company used $466,106 for equipment and intangible-asset purchases and repurchased $208,425 of common stock.

Current assets were $11.95 million and current liabilities $5.29 million (approximately 2.3x current-asset coverage). Total liabilities were $8.48 million. Convertible notes, net of discount, totaled approximately $1.39 million; they bear 10% interest and mature August 30, 2024. The $125,000 CalCap loan was repaid in February 2023. No amounts were drawn on bank credit lines at quarter-end; the revolving lines’ maturity was extended to January 31, 2025. Operating lease liabilities were $3.63 million.

Changes, outlook, and risks

  • Management attributed the revenue decline primarily to distributors reducing inventory to align with demand and lead times, alongside weaker-than-expected U.S. retail demand. It reported no similar slowdown in international business.
  • Gross margin fell 1.6 percentage points, which management attributed primarily to manufacturing overhead being allocated over lower production volumes. Research and development, sales and marketing, and general and administrative expenses all increased.
  • No financial guidance was provided. Management said it continued investing in products and long-term growth; it expected the advanced camera-based SocketCam C860 to be available in Q2 2023.
  • Liquidity commitments include approximately $9.10 million of non-cancelable inventory purchase obligations, mostly due within one year, and approximately $4.26 million of minimum operating lease payments. These commitments compare with $2.96 million of cash at quarter-end.
  • Key risks include continued losses and possible need for additional capital; distributor inventory and customer concentration; reliance on limited suppliers (top three represented 55% of Q1 inventory purchases); product-development and market-acceptance uncertainty; and potential inability to realize $8.67 million of deferred tax assets if future taxable profitability is insufficient. Ingram Micro and BlueStar represented 23% and 20% of Q1 revenue, respectively.
  • The company reported no material legal proceedings and no off-balance-sheet arrangements. Management concluded disclosure controls were effective and reported no material change in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • Whether distributor inventory normalization and weaker U.S. retail demand persist, and whether revenue stabilizes in subsequent quarters.
  • Whether the company can return to profitability while operating expenses remain above gross profit at the reported revenue level.
  • Cash conversion and working-capital trends, especially whether positive Q1 operating cash flow depended on increased vendor payables and extended payment terms.
  • Ability to meet near-term inventory purchase commitments and lease obligations from available liquidity, and access to bank credit lines under their covenants and lender discretion.
  • Repayment or conversion terms for the 10% convertible notes due August 2024, including the related-party portion.
  • Progress on new product launches, including SocketCam C860, and realization of deferred tax assets.
