Sales rose about 1%, while gross margin fell 1.0 percentage point and net income attributable to common stockholders declined about 24%. Operating income increased about 30%, helped by lower operating expenses, including lower SG&A and intangible amortization. The net-income comparison also reflects a $3.6 million investment impairment and credit-loss charge in Q1 FY2021, versus none in the prior-year quarter, and a change from a $2.4 million tax benefit to a $1.4 million tax provision.
Cash and cash equivalents were $268.9 million at April 26, 2020, down from $293.3 million at January 26, 2020. Current assets were $432.3 million and current liabilities $91.6 million. Gross revolving debt was $193.0 million ($190.8 million net of issuance costs), compared with $197.0 million gross at fiscal year-end. The company had $407.0 million of undrawn capacity on its $600 million credit facility and was in compliance with its covenants. A new three-year swap fixed the rate on $150 million of debt at 1.9775%; the remaining $43 million was variable-rate debt at quarter-end.
Financing cash outflow was $38.9 million, including $30.0 million of share repurchases. Investing cash outflow was $11.6 million. Operating cash flow less capital expenditures was approximately $18.4 million, compared with approximately negative $8.5 million in the prior-year quarter.
Material changes and operating drivers
- Signal Integrity sales increased to $59.9 million from $50.3 million; Wireless and Sensing declined to $33.0 million from $42.2 million; Protection increased to $39.8 million from $38.9 million.
- Infrastructure sales grew to $58.0 million from $47.6 million, driven mainly by cloud and hyperscale data-center demand and increased 10G PON sales. High-End Consumer sales declined to $35.5 million from $44.7 million, primarily reflecting lower proximity-sensing sales.
- Distributor sales were $103.9 million, about 78% of total sales, versus $81.1 million, about 62%, a year earlier. Orders received and shipped in the quarter represented 34% of sales versus 47%.
- Gross margin declined primarily because of product mix. Lower interest rates and lower debt reduced interest expense to $1.6 million from $2.5 million.
Outlook, risks, and unusual items
- Q2 FY2021 outlook: Management estimated sales of $138 million to $146 million and gross margin of 60.8% to 61.6%. The sales range reflects uncertainty from macroeconomic conditions and COVID-19. Management expected delayed shipments from Q1 shutdowns to benefit Q2 sales.
- COVID-19: Facility and contractor shutdowns reduced production, delayed shipments, and constrained supplies. Management expected the pandemic to negatively affect FY2021 results, potentially more than the Q1 impact; duration and magnitude remained uncertain. Management cited strong bookings, liquidity, and a predominantly fabless model as mitigating factors.
- Trade and customer exposure: Huawei-related export restrictions and expanded controls could limit sales. Huawei accounted for less than 10% of sales in each comparative quarter. China, including Hong Kong, represented 57% of sales in Q1 FY2021. The filing also highlights reliance on a limited number of suppliers and distributors and concentration among significant customers.
- Investment charges: The company recorded $3.6 million of investment impairments and credit-loss reserves, including $2.4 million of increased credit-loss reserves and $1.2 million of impairment on two equity investments. Total reserves for available-for-sale and held-to-maturity debt securities were $2.8 million at quarter-end.
- Contingencies: The company had a $1.2 million accrual for environmental remediation; estimated probable losses were $5.9 million to $7.5 million, with $4.7 million paid to date. Management said current legal matters were not expected to materially affect the consolidated financial statements, while noting outcomes are uncertain.
- Reporting item: The company corrected immaterial prior-period share-based compensation errors. For Q1 FY2020, corrected net income was $12.7 million and diluted EPS $0.19, versus previously reported $13.3 million and $0.20. The correction did not affect balance sheets or total operating cash flow.
