SmartKem, Inc. — 2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023; filed March 27, 2024. This is an annual report, not a standalone fourth-quarter filing. Financial amounts below are in U.S. dollars.
Business context
SmartKem is a development-stage materials and technology company developing TRUFLEX organic thin-film transistor (OTFT) inks for flexible displays and electronics. It has not commercialized products at scale. Revenue currently comes from ink sales and demonstration products; prototypes are made using external facilities, principally CPI in the U.K. and work with ITRI in Taiwan. The company reported 29 full-time and two part-time employees at year-end.

Gross margin was approximately 15% in 2023, on very low sales. R&D expense fell to $5.556 million from $5.802 million; selling, general and administrative expense rose to $5.188 million from $5.071 million. The smaller net loss primarily reflected a $1.213 million foreign-currency gain in 2023 versus a $1.782 million loss in 2022, along with lower operating expenses. The company also recorded a $465,000 gain from remeasurement of warrant liabilities and $198,000 of warrant-related transaction costs.
Cash provided by financing activities was $12.691 million in 2023, largely reflecting the June preferred-stock-and-warrant financing; investing cash outflow was $18,000. Year-end current assets were $10.525 million and current liabilities $1.768 million. Total liabilities were $3.159 million, including a $1.372 million warrant liability and $249,000 of lease liabilities; the balance sheet reports no conventional borrowings. Stockholders’ equity was $8.113 million and accumulated deficit $95.066 million.
Material changes versus 2022
- Revenue declined by $13,000 and remained immaterial relative to operating costs; the company describes sales as largely one-off at this commercialization stage.
- Net loss narrowed by $2.996 million, but operating loss increased by $297,000. Foreign-currency movements and warrant valuation materially affected the comparison.
- Cash increased by $4.601 million, mainly because of financing, despite continued operating cash burn.
- R&D tax-credit and grant income decreased by $336,000, attributed to lower allowable R&D costs and a lower tax-credit rate.
- A 1-for-35 reverse stock split took effect in September 2023. Share and per-share figures in the filing reflect the split.
Outlook, risks and unusual items
- Management estimates year-end cash will fund operating and capital needs through the end of April 2025. Additional capital will be needed thereafter unless revenue increases, spending falls, or other cash sources are secured. Financing may dilute shareholders or be unavailable on acceptable terms.
- SmartKem expects continued operating losses and has not established commercial-scale manufacturing. Management describes a typical customer sales cycle of approximately 12–24 months, with significant costs incurred before any order and no assurance of a sale.
- The June 2023 financing includes operating-spend limits through June 14, 2024 and investor rights and restrictions that may complicate future financings. Series A-1 preferred stock may accrue dividends at 19.99% annually if the specified market-price condition is met at the applicable 18-month anniversary; cash payment could strain liquidity.
- In January 2024, holders converted or exchanged 90% of Series A-1 preferred shares, resulting in 412,293 common shares and Class C warrants for up to 726,344 additional shares; 1,106 Series A-1 preferred shares remained. This creates potential dilution.
- Key execution risks include customer adoption, competition, reliance on CPI/ITRI and future third-party manufacturers, intellectual-property protection, international operations and Taiwan–China tensions. The filing also highlights potential EU PFAS restrictions affecting a fluorinated material and related export-control requirements.
- A material weakness related to accounting for the June 2023 PIPE was identified during 2023; management reports remediation and concluded internal control over financial reporting was effective at year-end. Disclosure controls were also judged effective. The 2023 financial statements received an unqualified audit opinion; the 2022 auditor report had included a going-concern uncertainty.
- No material litigation was reported. Management stated the 2023 financing and cost-reduction measures alleviated the going-concern issue reported in 2022, but future viability remains dependent on additional capital and commercialization progress.
Important facts for investors to verify
- Whether cash runway through April 2025 remains achievable, and the timing, amount and terms of required additional financing.
- Whether ITRI’s Gen 2.5 manufacturing process and customer collaborations progress to qualified prototypes, commercial orders, licensing or recurring revenue.
- The potential share dilution from preferred-stock conversions and outstanding warrants, and the effect of Series A-1 dividend and financing provisions.
- The status of PFAS regulatory proposals, any applicable exemptions, and export licensing requirements for relevant materials.
- The filing gives 1,355,361 common shares outstanding as of March 27, 2024 on its cover, but its beneficial-ownership section uses 1,305,361 as the outstanding-share denominator. Investors should verify the correct share count and reconcile it with subsequent issuances and conversions.
