- Revenue fell 12%; 2023 revenue consisted of grants, versus grant and licensing revenue in 2022. No royalty revenue has been recognized.
- Net loss narrowed 55%, reflecting lower operating expenses and interest expense and higher other income. The 2023 result included a $1.77 million income-tax benefit from sales of New Jersey net operating loss carryforwards; it also included a $394,000 debt-extinguishment loss and a $121,000 CARES Act employee-retention-credit refund.
- R&D expense declined 58%, mainly because of lower HyBryte NDA-related manufacturing and regulatory costs. G&A declined 33%, primarily due to lower legal and consulting costs. Gross profit and gross margin fell, reflecting the absence of higher-margin licensing revenue and increased costs associated with the HyBryte investigator-initiated study.
- At December 31, cash and cash equivalents were $8.45 million, working capital was $3.36 million, total assets were $9.80 million, and total liabilities were $7.27 million. Shareholders’ equity was $2.52 million, compared with a $2.47 million deficit at year-end 2022.
- Convertible debt had $3.0 million principal outstanding at year-end; its reported fair-value carrying amount was about $3.26 million. The debt is secured by substantially all assets other than intellectual property. The amended terms include quarterly principal payments and conversion provisions.
- 2023 financing included approximately $8.5 million gross proceeds from a public offering, about $3.1 million from at-the-market share sales, and $7.0 million of debt repayments. Cash declined $4.91 million year over year.
Material developments and outlook
- HyBryte (CTCL): The FDA refused to file the NDA submitted in December 2022 and, following a 2023 Type A meeting, requires positive results from a second Phase 3 pivotal study. Discussions with the FDA and EMA on protocol and feasibility were ongoing; the company anticipated clarity in the first half of 2024. The completed FLASH Phase 3 study met its primary endpoint, with reported response rates increasing with longer treatment. U.S. approval is not assured.
- SGX302 (psoriasis): The Phase 2a study was ongoing. Preliminary January 2024 results in four evaluable Cohort 2 patients included two rated “Almost Clear” and an approximately 50% mean reduction in psoriasis severity scores; the company reported good tolerability. These are early, small-cohort results, not confirmatory evidence.
- SGX942 (oral mucositis): The Phase 3 primary endpoint did not meet the prespecified statistical-significance threshold, although the company reported a 56% reduction in median severe-mucositis duration versus placebo. The UK regulator indicated a second Phase 3 study would be needed; further development depends on finding a partner.
- SGX945 (Behçet’s disease): The FDA cleared a Phase 2a study in November 2023. Enrollment was expected to begin in the second half of 2024. The FDA granted Fast Track designation in January 2024.
- Public Health Solutions: RiVax had completed Phase 1 studies; ThermoVax and SGX943 remained preclinical. Filovirus vaccine work reported promising preclinical stability and animal-protection findings, but development depends substantially on government or other external funding. The company reported up to $844,000 in awarded grant funding available at year-end.
- Liquidity and going concern: Management expected available resources to support operations into the fourth quarter of 2024, but stated cash was insufficient for at least 12 months after issuance of the financial statements. The auditor’s report included a going-concern explanatory paragraph. Planned equity or debt financing, partnerships, strategic transactions, additional grants, and potential debt amendments were not committed; there is no assurance they will be secured. Management projected approximately $5.5 million of 2024 development expenditures before grants, with about $0.3 million expected to be reimbursed.
- Nasdaq listing: The company had not regained the $1.00 minimum bid-price requirement and reported that it did not qualify for a second compliance period because of stockholders’ equity. A Nasdaq hearing was scheduled for March 26, 2024; delisting remained a risk.
- Other significant risks include repeated operating losses, dependence on external capital and government funding, clinical and regulatory uncertainty, reliance on single-source manufacturers and service providers, potential dilution from warrants/options/convertible debt, and competition. The filing reports no legal proceedings.
