Revenue decline reflected expiration of the ThermoVax grant in Q4 2014. The higher net loss was primarily driven by a $3,011,616 non-cash charge from remeasuring the June 2013 offering warrant liability, compared with $1,742,090 in Q1 2014. The warrant liability was $5,152,367 at March 31, 2015, versus $3,789,562 at year-end. The liability is a fair-value accounting item, not described as funded debt. The filing does not report conventional borrowings.

Current assets were $5,489,571 and current liabilities were $7,728,498. Management reported working capital of $2,913,440 after excluding the non-cash warrant liability; this was down from $3,174,214 at year-end. The decline was primarily attributed to spending on the SGX942 Phase 2 trial. Financing activities provided $1,005,174, including $758,649 from warrant exercises and $246,525 from Lincoln Park equity-line share sales.

Business developments and material changes

  • Pipeline priorities include a planned Phase 3 SGX301 trial for cutaneous T-cell lymphoma in the first half of 2015; a Phase 2 SGX942 trial for oral mucositis, with data expected in the second half of 2015; and planned Phase 3 SGX203 development for pediatric Crohn’s disease in the second half of 2015.
  • Vaccines/BioDefense revenue was $802,314, compared with $877,045; BioTherapeutics revenue was $13,972, compared with $33,552. Vaccines/BioDefense generated $84,681 of operating income, while BioTherapeutics and corporate activities reported operating losses of $764,876 and $878,072, respectively.
  • Shares outstanding rose from 23,936,568 at year-end to 25,339,364 at March 31, largely through warrant exercises, Lincoln Park sales, and shares issued to vendors. Potentially dilutive warrants and options totaling 8,357,736 shares were excluded from diluted loss per share because they were anti-dilutive.

Outlook, risks, and contingencies

Management stated that available cash, government-contract and grant proceeds, the Lincoln Park equity facility, and New Jersey tax-credit certificate proceeds were expected to fund working capital and capital expenditures for at least the next 12 months. It cited up to $50.5 million in active government contract and grant funding still available, and approximately $9.3 million remaining under a $10.6 million Lincoln Park equity facility through October 2016. These sources are contingent on program funding, facility availability, and other conditions; management also noted that future equity financing may be needed and could not be assured on favorable terms.

The company projected approximately $16.1 million of R&D spending over the next 12 months before grant reimbursements, including $5.7 million for BioTherapeutics and $10.4 million for Vaccines/BioDefense. It anticipated about $10.4 million of contract and grant revenue to offset Vaccines/BioDefense R&D. These are management estimates, not guarantees.

  • Development plans depend on successful clinical results and continued grant or contract support. Delays, lack of funding, regulatory outcomes, and the need for additional capital are material risks.
  • Commitments included approximately $500,000 under consultant and university agreements, plus potential success-based milestones and royalties under collaboration and license arrangements. The filing identifies potential milestone payments of up to $7.9 million and royalties of up to 6% on covered-product net sales; separate Hy Biopharma and Intrexon arrangements also include conditional milestone obligations.
  • The filing reports no additional risk factors beyond those in the 2014 Form 10-K. Management concluded disclosure controls were effective at the reasonable-assurance level and reported no material change in internal control over financial reporting during the quarter.

Key facts for investors to verify

  • Whether government grants and contracts, including cited future funding, remain available on the expected schedule and can support planned development spending.
  • Whether the planned clinical-trial milestones and data timelines are achieved, and what additional financing may be required.
  • The impact of warrant remeasurement and potential warrant exercises on reported earnings, cash proceeds, and dilution. Warrant-exercise share counts differ across filing disclosures: the statements and equity note cite 1,183,786 shares issued, while the warrant note gives different exercised-warrant counts.
  • The filing’s contractual-obligations discussion includes an apparent year-label inconsistency in its schedule; verify the underlying timing and amounts of obligations against the full filing.
