SOLIGENIX, INC. annual report, FY2015

Soligenix, Inc. — FY 2015 Form 10-K

Reporting period: Fiscal year ended December 31, 2015. This annual filing compares FY 2015 with FY 2014; it does not provide a separate fourth-quarter financial summary.

Business context

Soligenix is a development-stage biopharmaceutical company with BioTherapeutics and Vaccines/BioDefense segments. Its pipeline includes SGX301 for cutaneous T-cell lymphoma (CTCL), SGX942 for oral mucositis, oral BDP candidates for gastrointestinal disorders, and government-funded biodefense programs including RiVax and OrbeShield. The company had no approved products and generated no significant product-sales revenue; reported revenue primarily reflects government grants and contracts.

Financial performance and liquidity

MetricFY 2015FY 2014
Revenue$8.77 million$7.04 million
Gross profit$1.89 million$1.73 million
Gross marginApproximately 21.5%Approximately 24.6%
Operating loss$7.11 million$10.76 million
Net loss$7.83 million$6.71 million
Net cash used in operations$5.39 million$2.47 million
Cash and cash equivalents at year-end$4.92 million$5.53 million

Revenue increased 24%, mainly from OrbeShield and RiVax government-contract activity. Gross profit rose 9%, while gross margin declined. Operating loss narrowed largely because FY 2014 included $4.0 million of acquired in-process R&D expense related to SGX301. Net loss increased 17%, principally reflecting a $1.20 million non-cash warrant-liability expense in 2015 versus a $3.44 million non-cash gain in 2014. New Jersey NOL sales provided a $0.49 million tax benefit in 2015, compared with $0.62 million in 2014.

Cash declined $0.60 million after $5.39 million of operating cash use, partly offset by $4.80 million of financing cash inflows. Working capital was reported as $2.18 million after excluding the $2.43 million non-cash warrant liability; using reported current assets and liabilities without that exclusion, working capital was negative approximately $0.25 million. Current liabilities included $4.38 million of accounts payable, $2.43 million of warrant liability, and $0.29 million of notes payable. The notes were due by April 15, 2016. The filing reports no long-term debt.

Shares outstanding increased from 23.94 million at year-end 2014 to 31.27 million at year-end 2015. Financing included equity-line sales and warrant exercises, indicating material dilution alongside cash fundraising.

Material changes and operating developments

  • Vaccines/BioDefense revenue rose 30% to $8.75 million; BioTherapeutics revenue fell 95% to $13,972, mainly because an oral-mucositis grant expired.
  • SGX301’s pivotal Phase 3 CTCL trial began in December 2015. SGX942’s Phase 2 study completed enrollment and reported positive preliminary results: at the selected dose, median severe mucositis duration was reduced, with the reported result statistically significant in the most aggressive chemoradiation subgroup.
  • Reported R&D expense was $5.40 million in 2015. Including the separate $4.00 million acquired in-process R&D charge recorded in 2014, total R&D-related expense was approximately $9.09 million in 2014.
  • The company terminated its 2015 equity-line purchase agreements in March 2016. After year-end, it entered a new Lincoln Park agreement for up to $12 million of stock purchases over approximately 36 months, subject to conditions and registration effectiveness.

Outlook, risks and contingencies

Management said existing cash, expected government-contract and grant proceeds, equity facilities, and New Jersey NOL-sale proceeds should fund operations for at least 12 months. It estimated approximately $12.9 million of R&D spending over the next 12 months before reimbursements, including about $7.6 million expected to be reimbursed through government contracts. The company also cited up to $43.0 million in active government contract funding and $20.2 million available through equity facilities; contract options and future equity proceeds are not assured.

Management’s stated development targets included SGX301 Phase 3 data in the second half of 2016; initiating SGX203 Phase 3 in the second half of 2016; continued SGX942 follow-up, with final Phase 2 follow-up results expected in the fourth quarter of 2016 and FDA protocol discussions targeted for the second half of 2016; and a planned RiVax Phase 1/2 trial in the second half of 2016. These are forward-looking plans, not guaranteed outcomes.

  • The company has incurred substantial cumulative losses and will need continued external funding; failure to obtain funding could delay or stop development programs.
  • Development, clinical-trial, regulatory approval and commercialization outcomes are uncertain. Government biodefense funding and procurement depend on agency options, budgets and priorities.
  • Soligenix relies on third parties for manufacturing and other services; drug substances and finished-product services generally have single suppliers.
  • Competition, reimbursement, intellectual-property rights, product safety, and the ability to secure partners and commercial capabilities pose additional risks.
  • Outstanding warrants and options, equity-line financing and potential milestone shares may dilute shareholders. The stock trades on the OTCQB and is thinly traded.
  • Potential licensing and collaboration obligations include approximately $0.5 million of commitments and up to $7.9 million in milestone payments and royalties of up to 6% of covered net sales, contingent on success. Separate SGX301 acquisition milestones could reach $10 million in stock.

The independent auditor issued an unqualified opinion on the financial statements. Management concluded disclosure controls and internal control over financial reporting were effective as of year-end.

Important facts for investors to verify

  • Whether cash runway assumptions are supported by actual collections, contract reimbursements, agency option exercises and equity availability.
  • Clinical-trial progress and complete results for SGX301 and SGX942, and whether planned SGX203 and RiVax trials proceed on schedule.
  • The terms, remaining capacity and actual dilution from the Lincoln Park agreement and other equity or warrant securities.
  • The status and repayment of the $0.29 million notes payable due April 2016, and the reconciliation of reported working capital with the stated figure that excludes warrant liabilities.
  • Whether government funding, NOL-sale benefits and potential procurement opportunities continue; these are important to the company’s funding plan and are not guaranteed.
