Sarepta Therapeutics, Inc. annual report, FY2022

Sarepta Therapeutics, Inc. — FY2022 Form 10-K Summary

Reporting period: Fiscal year ended December 31, 2022. Although the request references 2022 Q4, this filing is an annual Form 10-K and reports full-year results, with comparative 2021 and 2020 information.

Business context

Sarepta is a commercial-stage biopharmaceutical company developing RNA-targeted therapeutics, gene therapies and other genetic medicines for rare diseases. Its commercial portfolio consists of three FDA accelerated-approved Duchenne muscular dystrophy products: EXONDYS 51, VYONDYS 53 and AMONDYS 45. The pipeline includes more than 40 programs, with key development assets SRP-9001, SRP-9003 and SRP-5051.

SRP-9001 is a Duchenne gene therapy candidate. Sarepta submitted a BLA in September 2022, and the FDA accepted it for priority review in November 2022, with an anticipated action date of May 29, 2023. Roche holds ex-U.S. rights to SRP-9001 and certain options relating to other products.

Product revenue by product was $511.7 million for EXONDYS 51, $214.6 million for AMONDYS 45 and $117.4 million for VYONDYS 53. AMONDYS 45 revenue increased 213% due primarily to a full year of sales following its February 2021 launch. Product revenue was concentrated in the United States, which generated $747.1 million, or approximately 89% of product revenue.

Cost of sales was $140.0 million, excluding $0.7 million of amortization of in-licensed rights. On that basis, product gross margin was approximately 83%; this is not a consolidated company gross margin because collaboration revenue has no comparable product cost component. Operating margin was approximately negative 57%, and net margin was approximately negative 75%.

Research and development expense increased 14% to $877.1 million, primarily due to SRP-9001 development, gene therapy manufacturing and clinical trial activity. Selling, general and administrative expense increased 60% to $451.4 million, including a $108.3 million increase in stock-based compensation. Total stock-based compensation was $233.0 million.

Liquidity, cash flow and debt

  • Cash, cash equivalents, short-term investments and restricted cash totaled approximately $2.008 billion at year-end, including $966.8 million of cash and cash equivalents, $1.0226 billion of short-term investments and $19.0 million of restricted cash.
  • Management stated that available liquidity was sufficient to fund the current operating plan for at least the next twelve months.
  • Operating cash outflow improved to $325.3 million from $443.2 million in 2021, but operations remained cash consumptive.
  • Investing cash outflow was $1.047 billion, primarily reflecting purchases of available-for-sale securities and capital expenditures of $30.8 million.
  • Financing cash inflow was $232.5 million. Sarepta issued $1.15 billion of 1.25% convertible senior notes due 2027, repaid its $550.0 million term loan and repurchased $150.6 million principal amount of 2024 Notes for approximately $248.6 million.
  • Year-end carrying value of convertible debt was $1.544 billion. Principal maturities include approximately $419.4 million of 2024 Notes and $1.15 billion of 2027 Notes. The company recorded a $125.4 million loss on debt extinguishment in 2022.

Material changes versus the prior comparable period

  • Revenue growth accelerated through higher demand for all three commercial products, particularly AMONDYS 45.
  • Operating and net losses widened despite revenue growth because of increased research, manufacturing, commercial and administrative spending.
  • R&D spending on SRP-9001 increased 32% to $424.2 million. The company also recorded a $54.0 million charge for unmet minimum purchase requirements under its Thermo manufacturing agreement.
  • SG&A increased substantially due in part to modification and vesting of the chief executive officer’s equity awards; $109.9 million of related incremental stock-based compensation was recognized in 2022.
  • Liquidity composition shifted from primarily cash and cash equivalents to a combination of cash and short-term investments.
  • The company replaced the term loan and part of the 2024 Notes with the 2027 convertible notes, increasing reported convertible debt while extending a significant portion of maturities.
  • The 2021 results included a $102.0 million gain from selling the AMONDYS 45 Priority Review Voucher; no comparable gain occurred in 2022.

Guidance, outlook, risks and unusual items

Management expects to continue incurring significant operating losses at least through 2023 and does not provide a clear quantitative revenue or earnings forecast in the filing. Key stated milestones include the expected 2023 SRP-9001 regulatory action, a fourth-quarter 2023 data readout for the pivotal Study 301, and FDA discussions regarding a potentially pivotal SRP-9003 trial.

  • All three commercial products received accelerated approval and require post-marketing studies to verify clinical benefit. Failure to meet requirements or obtain supportive results could lead to labeling changes, restrictions or withdrawal of approval.
  • SRP-5051 experienced an FDA clinical hold in 2022 following a serious hypomagnesemia event; the hold was lifted in August 2022. Safety and efficacy remain material development risks for the pipeline.
  • Manufacturing is dependent on third-party suppliers, including Thermo, Catalent and Aldevron. Gene therapy manufacturing is complex, and the company has substantial take-or-pay and other manufacturing commitments.
  • Non-cancelable manufacturing commitments totaled approximately $1.386 billion as of December 31, 2022; debt, lease and manufacturing obligations totaled approximately $3.103 billion. Potential future milestone, royalty and other payments under license and collaboration agreements could reach $3.2 billion, excluding certain unexercised options.
  • Material litigation includes patent infringement litigation by RegenXBIO and the University of Pennsylvania involving AAV manufacturing technology, with trial scheduled for January 2024, and litigation with Nippon Shinyaku involving exon 53 patents and VYONDYS 53. The filing states that no material loss was accrued and no material loss range was estimable.
  • Commercial results remain exposed to reimbursement restrictions, customer concentration, competition, patent challenges, pricing reforms, manufacturing interruptions and the potential for SRP-9001 to reduce demand for existing products if approved.

Most important facts for investors to verify

  • Outcome and timing of the FDA review of SRP-9001, including whether accelerated approval is granted and what post-approval requirements apply.
  • Results of the SRP-9001 Study 301 pivotal trial and the confirmatory evidence supporting all three accelerated-approved products.
  • Product demand, payer coverage, reimbursement trends and the sustainability of the 2022 revenue growth, particularly for AMONDYS 45.
  • Cash burn, inventory growth, manufacturing capacity and the effect of Thermo, Catalent and other supply commitments on future liquidity.
  • Ability to refinance or repay the $419.4 million 2024 Notes and $1.15 billion 2027 Notes without material dilution or unfavorable financing terms.
  • Developments in RegenXBIO and Nippon Shinyaku litigation and the potential effect on SRP-9001, VYONDYS 53 and related intellectual-property rights.
  • Roche’s collaboration obligations, options, potential milestones and ex-U.S. commercialization economics.
