Software-enabled services revenue grew 5.0% to $4,488.3 million. License, maintenance and related revenue increased 0.5% to $1,014.5 million, as acquisition contributions largely offset lower organic license revenue. Gross margin improved 0.6 percentage points. Operating income increased, while net income and diluted EPS declined.
Interest expense rose to $476.3 million from $312.2 million, with the average interest rate increasing to 6.65% from 4.22%. The effective tax rate increased to 29.0% from 25.9%. Management cited higher rates, uncertain macroeconomic conditions and wage inflation among factors affecting results.
Year-end cash, cash equivalents and restricted cash totaled $2,998.6 million, but included $2,564.0 million of restricted cash held on behalf of clients. The balance sheet separately reported $432.2 million of cash and cash equivalents and $2,615.6 million of client funds, matched by client funds obligations. The company reported $598.7 million available under its $600 million revolving facility. It expects cash on hand, operating cash flows and credit availability to cover current obligations, working capital and capital spending for at least the next 12 months.
Operating cash flow was $1,215.1 million. Investing cash use was $268.4 million, including $194.9 million of capitalized software development and $56.6 million of property and equipment additions. Financing cash flow was $712.8 million, driven primarily by a $1,669.7 million increase in client funds obligations; uses included $471.6 million of treasury-stock purchases, $374.7 million of net debt repayments and $220.9 million of dividends. Client-related cash movements make reported cash and financing flows less indicative of unrestricted liquidity.
Material changes versus prior year
- Revenue growth accelerated to 4.2% from 4.6% in 2022 only marginally lower; organic growth was led by GlobeOp fund administration, virtual data rooms, Global Investor and Distribution Solutions, and Blue Prism.
- Operating expenses increased 5.1% to $1,442.9 million. Selling and marketing rose 10.2%, research and development rose 5.9%, and general and administrative expense declined 1.6%.
- Net income attributable to common stockholders fell to $607.1 million from $650.2 million, reflecting higher interest expense and taxes, among other items.
- Debt declined from $7,079.6 million to $6,755.1 million. However, $3,525.2 million of variable-rate debt was scheduled to mature in April 2025, and $4,755.1 million of total debt was variable-rate.
- The October 2023 Iress Managed Funds Administration acquisition contributed $3.6 million of revenue in the period. Blue Prism, acquired in March 2022, contributed to the prior-year comparison and increased term-license and maintenance revenues.
Outlook, risks and unusual items
The filing provides no numerical revenue or earnings guidance. Management describes opportunities in outsourcing, cloud migration, regulatory complexity, automation and healthcare technology, and expects to pursue organic growth and selective acquisitions. These are strategic expectations, not formal guidance.
- Debt and interest rates: Substantial indebtedness, variable-rate exposure, restrictive covenants and the April 2025 maturities create refinancing and cash-flow risks. A 100-basis-point increase in rates was estimated to increase annual interest expense by approximately $47.6 million.
- Client and market exposure: Revenues can be affected by market activity, assets under management, transaction volumes, hedge-fund industry conditions, client consolidation and pricing pressure.
- Technology and regulation: Cybersecurity incidents, service outages, data privacy requirements, software errors and evolving financial-services and healthcare regulation could cause costs, liability or client losses. The company reports regular attempted cyberattacks but does not report a material cybersecurity incident in the supplied text.
- Acquisitions and goodwill: Acquisition integration and realization of expected benefits remain risks. Goodwill was $8,969.5 million; no impairment was recorded, and management reported that reporting-unit fair values exceeded carrying values. Goodwill impairment for the health business was identified by the auditor as a critical audit matter.
- Unusual financial items: Equity in earnings of unconsolidated affiliates was $100.0 million, including $96.3 million attributed to Orbit Private Investments. Other income included $13.4 million from settlement of a pre-acquisition dispute. The increased equity-method earnings contributed to reported results and merit consideration when assessing recurring earnings.
- Legal settlement: The DST ERISA matters were settled and dismissed with prejudice. SS&C recorded a $55.1 million liability; $52.1 million was paid in 2023 and the remaining $3.0 million was paid in January 2024.
- Audits and controls: The auditor issued an unqualified opinion on the financial statements and concluded internal control over financial reporting was effective as of year-end. Management also concluded disclosure controls were effective.
Important facts for investors to verify
- Confirm the timing, refinancing plan and interest-rate exposure for the $3.525 billion of debt maturing in April 2025.
- Assess unrestricted liquidity separately from client funds and verify that client-related balances are not treated as cash available for corporate uses.
- Evaluate the sustainability of organic revenue growth, particularly the decline in organic license revenue and the contribution of acquisitions.
- Review the drivers and recurring nature of the $100.0 million equity in earnings of affiliates, including the $96.3 million Orbit-related amount.
- Monitor goodwill valuation assumptions for the health reporting unit and the potential effect of weaker growth or cash flows.
- Review future tax outcomes, including uncertain tax positions, ongoing audits and the company’s assessment of the Pillar Two rules.
