Star Holdings (Nasdaq: STHO) — 2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. This is an annual filing; it does not provide standalone fourth-quarter results. Star Holdings became an independent public company on March 31, 2023, following its spin-off from iStar. Prior-period financial statements are largely carve-out results and may not represent standalone-company performance.
Business context
Star Holdings is an externally managed company focused on realizing value from legacy real estate assets through active management, development and asset sales. Its principal development holdings are Asbury Park Waterfront and Magnolia Green. It also held approximately 13.5 million Safehold shares, worth $316.4 million at year-end, and a smaller portfolio of loans, land and other assets. The company says it does not currently expect material new investments.

- Revenue was nearly flat year over year. Land development revenue rose to $72.4 million from $61.8 million, with related cost of sales of $62.7 million; operating lease income fell to $6.7 million from $12.9 million, and interest income fell to $2.1 million from $12.3 million.
- The net loss included a $171.4 million unrealized and realized loss on the Safehold equity investment, which is marked to market through earnings. The filing reports no asset impairment charge in 2023, versus $14.5 million in 2022, and loan-loss provision fell to $1.7 million from $45.0 million.
- Cash and cash equivalents were $50.7 million at year-end; cash including restricted cash was $60.7 million. Total assets were $669.2 million and total equity was $433.8 million.
- Debt principal was $196.9 million: $115.0 million under the Safe Credit Facility and $81.9 million under the Margin Loan Facility. Debt obligations, net of discounts and financing costs, were $192.9 million. The facilities mature in March 2027 and March 2026, respectively. The Safe facility bears 8% interest, or 10% while incremental-facility borrowings are outstanding; the margin loan bears SOFR plus 3%, subject to terms including a higher margin after a PIK election.
- Management fees to the Manager were $19.7 million in 2023. General and administrative expense totaled $36.2 million, compared with $10.9 million in 2022; the 2023 amount includes management fees and standalone-company costs.
Material changes and unusual items
- The year-over-year net loss widened by $160.0 million, primarily reflecting the $171.4 million mark-to-market loss on Safehold shares. Those shares were carried at $554.7 million at year-end 2022 and valued at $316.4 million at year-end 2023.
- Investing cash flow remained positive but declined from $236.1 million to $186.0 million, mainly as proceeds from loan repayments and sales and real estate sales decreased. Operating cash outflow narrowed, while financing cash outflow also declined.
- In the second half of 2023, the company repaid margin debt and amended both credit arrangements. The amendments lowered the Safe-share price threshold that can trigger mandatory margin-loan repayment and permitted use of a $25 million incremental Safe facility to replenish funds used for voluntary margin-loan prepayments.
- In December, a subsidiary provided a $10.6 million mezzanine loan and completion and carry guaranty for a venture’s $80 million construction loan. The venture had not drawn the senior loan by year-end; Star consolidated the venture while its mezzanine loan and guarantees remain outstanding.
Outlook, risks and contingencies
- Management expects to fund liquidity needs principally through operating cash flows, asset-sale proceeds and unrestricted cash; incremental Safe Credit Facility borrowings are also identified as a short-term source. Asset-sale timing and proceeds are uncertain, and the filing gives no earnings or revenue guidance.
- Star expects to sell remaining Magnolia Green residential lots over approximately three years, but cautions that the process could take substantially longer. It plans to monetize remaining Asbury Park development sites and operating assets, subject to redevelopment obligations and required approvals.
- The company does not expect regular dividends. Distributions, if any, depend on excess cash from asset sales after debt repayment, expenses and reserves.
- Liquidity and valuation are exposed to the Safehold share price: further declines could require additional margin-loan prepayments or collateral. The filing identifies a $10 closing-price repayment trigger in its risk discussion; the applicable amended facility terms should be checked. The Safe shares also represent a material, concentrated asset.
- Asbury Park Waterfront and Magnolia Green represented 74% of the carrying value of the legacy portfolio at year-end. Development costs, approvals, sales prices, residential demand, lodging conditions, interest rates and financing availability could affect realization of value.
- Debt covenants include restrictions on distributions and other actions, and the Safe facility has a quarterly cash sweep. The filing reports ordinary-course litigation and states that no pending proceeding is expected to have a material adverse effect on the financial statements.
- The financial statements received an unqualified audit opinion. Management concluded disclosure controls and internal control over financial reporting were effective as of year-end; the company was not required to obtain an auditor attestation on internal controls.
Important facts for investors to verify
- Current Safehold share value, permitted sale schedule, margin-loan collateral requirements and the precise amended mandatory-prepayment trigger.
- Unrestricted cash available for corporate obligations versus cash and restricted cash held by consolidated ventures, and access conditions for the $25 million incremental facility.
- Expected development spending, municipal approvals, sales pace and net proceeds at Asbury Park and Magnolia Green.
- Debt covenant compliance, cash-sweep requirements, interest costs and refinancing or repayment plans ahead of the 2026 and 2027 maturities.
- Management-fee schedule and related-party arrangements, including the cost and terms of any early termination of the Management Agreement.
- Whether asset-sale proceeds will exceed debt repayment, operating needs and reserves sufficiently to support any shareholder distributions.
