SWK Holdings Corp annual report, FY2023

SWK Holdings Corporation — FY2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone fourth-quarter filing. SWK operates Finance Receivables, which provides life-sciences companies with royalty-backed and other financing, and Pharmaceutical Development, conducted through Enteris BioPharma.

Financial performance

MetricFY2023FY2022
Revenue$37.8 million$41.5 million
Operating income$14.7 million$10.0 million
Net income$15.9 million$13.5 million
Diluted earnings per share$1.25$1.05
Cash provided by operating activities$14.9 million$8.2 million
Cash used in investing activities$48.9 million$43.5 million
  • Finance Receivables generated $36.3 million of interest income, including fees, versus $35.5 million in 2022. Pharmaceutical Development revenue fell to $1.2 million from $5.5 million.
  • Net income benefited from a $6.3 million gain on remeasurement of Enteris acquisition-related contingent consideration and a $1.3 million income tax benefit. These items, alongside an $8.4 million goodwill impairment charge, materially affected the result.
  • Finance receivables, net, were $274.5 million, including a $13.9 million allowance for credit losses, compared with $236.6 million net at year-end 2022. Gross finance receivables were $288.4 million.
  • At year-end, cash and cash equivalents were $4.5 million and restricted cash was $0.7 million. Total assets were $334.3 million, total liabilities $53.9 million, and stockholders’ equity $280.3 million.
  • Debt included $32.97 million principal of 9.00% senior notes due January 2027 and $12.35 million outstanding under the revolving facility. The facility had $47.7 million available to borrow; the company reported compliance with its covenants at year-end.

Material changes versus FY2022

  • Revenue declined $3.7 million, mainly because FY2022 included $5.0 million of Cara license-agreement milestone revenue not repeated in FY2023. Finance Receivables revenue increased by $0.9 million, supported by new and existing loans and higher reference rates, partly offset by repayments and lower royalty income.
  • Net income increased $2.4 million. Credit-loss expense decreased to $1.9 million from $3.5 million, and pharmaceutical manufacturing, research and development expense declined to $3.4 million from $7.0 million. Interest expense rose to $1.8 million from $0.3 million after the notes issuance and credit-facility changes.
  • SWK recorded an $8.4 million impairment that reduced Enteris reporting-unit goodwill to zero. Management cited lower financial expectations for the Cara license agreement.
  • SWK adopted the current expected credit loss standard (CECL) in 2023, recording a $9.7 million net reduction to opening accumulated deficit after related tax effects.
  • The company issued approximately $33.0 million principal of 9.00% senior notes and increased its revolving credit commitments to $60 million. It repurchased 326,088 shares under its new repurchase program during 2023.

Outlook, commentary and risks

  • Management expects the existing finance-receivables portfolio to generate positive cash flows in 2024, but cautions that timing of new investments and borrower repayments is uncertain and gives no assurance of results.
  • On March 14, 2024, Enteris granted Aptar an exclusive option to acquire specified manufacturing and clinical-supply assets. Aptar may exercise the option by January 1, 2026; the transaction is not a completed sale.
  • Credit risk is significant: four receivables were on nonaccrual at year-end, with a combined gross carrying value of approximately $26.0 million. These were not considered impaired at year-end, but performance and collateral values remain uncertain. The filing identifies concentration, borrower default, product commercialization, regulatory, reimbursement, patent and competitive risks.
  • Other key risks include dependence on floating-rate loan income and borrower capacity to service higher rates; refinancing and debt-service needs; and uncertainty in Enteris licensing revenue. The company also disclosed substantial leadership changes: following the CFO’s February 2024 resignation, the CEO assumed interim principal financial and accounting officer duties while a CFO search began.
  • Funds affiliated with Carlson held 73.0% of issued and outstanding common stock and unvested restricted stock at year-end. SWK has not paid cash dividends and does not anticipate doing so in the foreseeable future.
  • The auditor issued an unqualified opinion on the financial statements. Management concluded disclosure controls and internal control over financial reporting were effective at year-end; the auditor did not attest to internal-control effectiveness.

Important facts for investors to verify

  • How the $13.9 million credit-loss allowance compares with portfolio performance, particularly the nonaccrual positions and the $16.9 million of nonaccrual royalty purchases.
  • Whether Aptar exercises its option, the assets included, and the expected proceeds and operating impact; the filing does not state a purchase price.
  • Cash generation and debt-service capacity, including the 9.00% notes, revolving-facility covenants and availability, and future investment funding needs.
  • Whether finance-receivables income and credit quality remain resilient as loans mature, repay early, or face borrower stress, and how LIBOR-linked loans transition to replacement rates.
  • Enteris’s commercial and licensing prospects following the goodwill impairment, and the sensitivity of contingent consideration and deferred-tax asset assumptions.
