- G&A expense increased 87% to $3.3 million, reflecting higher incentive expense, professional fees, and stock-based compensation.
- The $10.3 million tax benefit was deferred and reflected a partial release of the valuation allowance. The company reported approximately $421 million of federal NOL carryforwards, most expiring by 2021.
- Cash and cash equivalents were $58.7 million versus $7.7 million; working capital was $70.2 million versus $8.7 million. Total assets were $188.2 million and finance receivables were $93.3 million at year-end.
- Year-end borrowings under the related-party credit facility were zero, versus $5.0 million in 2013. Operating, investing, and financing cash flows were respectively +$5.1 million, −$55.6 million, and +$101.6 million in 2014. Equity issuance proceeds drove the financing inflow.
- Two partner companies represented 61% of 2014 revenue, compared with three companies representing 78% in 2013.
Material changes and transactions
- SWK issued shares to Carlson-affiliated funds for approximately $100.5 million and completed a fully subscribed rights offering that raised $12.5 million gross. Carlson held approximately 69% voting ownership at year-end. Shares outstanding increased to 131.1 million from 43.0 million.
- Finance-receivable investment grew substantially: year-end carrying value rose to $93.3 million from $29.3 million. As of March 23, 2015, SWK said it had executed 14 transactions and deployed approximately $124 million; two transactions had been repaid.
- The Dental Products Company loan, approximately $6 million, was in default and classified as non-accrual at year-end. SWK reported collateral value above the outstanding balance and recorded no impairment; it later amended the loan to advance an additional $650,000.
- In February 2015, SynCardia repaid SWK’s second-lien loan with $1.8 million cash, $6.9 million of 10% payment-in-kind convertible notes, and 1,079,138 Series F preferred shares. The notes convert at a 25% discount to the IPO price.
- SWK reported $5.0 million of unfunded loan commitments at year-end and up to $500,000 of contingent Cambia royalty consideration.
Outlook, risks, and other disclosures
- Management expected existing portfolio income to exceed operating expenses in 2015 and said it expected book value to grow. It cautioned that investment timing could prevent positive cash flow beyond income from existing assets. These are forward-looking statements, not guarantees.
- Key risks include borrower default and product/royalty underperformance, the small and concentrated portfolio, reliance on key managers, competition and access to additional financing, and life-science regulatory, patent, reimbursement, and commercialization risks.
- Management highlighted risks to use of NOLs from ownership changes and the possibility that SWK or a subsidiary could fail to qualify for an Investment Company Act exclusion. The company also disclosed Carlson’s control and approval rights.
- The related-party credit facility was secured by substantially all company assets; its draw period expired March 6, 2015. SWK said liquidity was adequate for the 12 months following year-end. No cash dividends were anticipated in the foreseeable future.
- Management concluded disclosure controls and internal control over financial reporting were effective. The independent auditor gave an unqualified opinion on the financial statements; it did not attest to internal control effectiveness.
Investor verification checklist
- Reconcile reported earnings with cash generation, especially the deferred tax benefit and equity-method income, and assess whether the portfolio can sustain recurring cash returns.
- Review the Dental Products Company default, collateral valuation, subsequent advance, and current accrual status.
- Assess concentration by borrower and underlying product, and monitor repayment, prepayment, and commercialization performance across finance receivables.
- Verify the value, liquidity, and conversion terms of SynCardia notes and preferred shares received after year-end.
- Evaluate Carlson’s control and approval rights, share dilution, related-party financing arrangements, and the ability to use NOLs under ownership-change rules.
- Confirm liquidity after the credit facility draw period expired and track unfunded commitments and contingent payments.
