Q1 investing cash flow was positive $5.0 million, primarily due to the Toluca property sale-leaseback; financing cash flow was positive $0.6 million. Cash and cash equivalents exclude $6.0 million of restricted cash pledged as additional term-loan collateral.

At April 3, revolving-credit availability was $3.3 million, of which $3.0 million was reserved to meet minimum availability requirements. The company reported total cash and borrowing capacity of $2.6 million after that reserve. Approximately $2.2 million of unrestricted cash was held by Mexican subsidiaries.

Reported debt and capital-lease obligations totaled approximately $22.2 million, including a $9.6 million term loan, $2.6 million revolving borrowing, $6.5 million related-party note, and capital leases. The related-party note bears 8% interest and is due January 2019. Average borrowing costs rose: the weighted average interest rate was 11.2%, versus 4.7% a year earlier.

Material changes versus the prior period

  • Revenue declined $10.1 million, chiefly in Sypris Technologies: its revenue fell 36.5% to $17.8 million. The Morganton asset sale and transition reduced revenue by $4.8 million, and lower commercial-vehicle demand reduced it by a further $5.4 million.
  • Sypris Electronics revenue rose 1.9% to $9.1 million. Segment gross profit improved to $1.4 million from $0.9 million; Technologies’ gross loss narrowed to $0.7 million from $4.1 million.
  • Consolidated gross profit improved by $3.9 million, and SG&A declined $2.6 million to $6.5 million, including lower legal expense and cost-reduction benefits. Operating loss narrowed by $6.5 million.
  • Net loss also narrowed, but Q1 2016 included a $2.4 million gain on the Toluca sale-leaseback. Interest expense increased with the newer, higher-cost debt arrangements.

Outlook, management commentary and risks

  • Management said its revised 2016 forecast anticipates sufficient liquidity and compliance with debt covenants through 2016. This depends on forecast revenue, cost reductions and recovery initiatives; the filing cautions that these plans may not succeed.
  • Management expects North American truck production in 2016 to remain near Q1’s lower levels, with a slight increase in 2017. Oil-and-gas customers have delayed capital spending. Further cost reductions were planned for Q2 and Q3, alongside efforts to win higher-margin business and shift selected production to Mexico.
  • Sypris Electronics reported new cyber-related sales and a significant defense engineering-services contract. It is pursuing commercial security markets, including SiOMetrics hardware authentication, while facing uncertainty in government spending and program timing. New products may not generate anticipated business.
  • The March 2016 Toluca sale generated approximately $12.2 million gross proceeds; $6.0 million was restricted as loan collateral. Sypris leased back part of the site for ten years at base rent of $936,000 annually, subject to CPI adjustments. A $2.4 million gain was recognized and $5.5 million deferred over the lease term.
  • Debt agreements are secured by substantially all company and U.S. subsidiary assets and include borrowing-base and covenant requirements. If availability falls below $3.0 million, a fixed-charge coverage ratio of at least 1:1 applies. Default could permit acceleration of debt and foreclosure; operating cash outflows heighten this risk.
  • A Tampa facility lease dispute could result in repair costs from zero to $4.0 million; the company accrued $0.5 million. The Dana supply-agreement claims were mutually released and dismissed effective May 2, 2016. Purchase commitments were approximately $8.2 million.
  • On May 3, 2016, Sypris Electronics signed a lease for a new facility beginning in January 2017, with approximately $7.1 million base rent over 11 years plus estimated operating expenses of $2.0 million; Sypris Solutions guarantees the lease.

Important facts for investors to verify

  • Whether operating cash flow and customer demand improve enough to support management’s liquidity forecast and debt-covenant compliance.
  • Remaining usable revolver availability after required reserves, and the conditions for any release of up to $1.0 million from the Toluca collateral account.
  • Progress and costs of planned restructuring, production transfers, and commercial-vehicle and electronics growth initiatives.
  • Final outcome and potential cost of the Tampa lease dispute, including whether exposure approaches the stated $4.0 million maximum.
  • Ongoing impact of higher interest expense, Toluca lease payments, purchase commitments, and the new Tampa-area facility lease on cash needs.
