Material changes and management commentary
- Lower sales volume reduced gross profit, but gross margin improved to 42.7%, supported by EPICENTRAL software installations and early sales of new Printrex color printers and the Ithaca 9700 food safety terminal. Management expected gross margin for the rest of 2013 to exceed 2012 levels.
- Operating income was also affected by $199,000 of legal fees related to the Avery Dennison lawsuit, which management said reduced operating margin by 1.3 percentage points.
- The effective tax rate was 19.3%, versus 36.0% a year earlier, including an approximately $220,000 benefit from the reinstated 2012 federal R&D tax credit. Management expected a 33%–34% annual effective tax rate for the remainder of 2013.
- Management expected 2013 TSG sales to exceed 2012, particularly in the second half, as consumables from new Printrex color printers contributed. Based on backlog and customer forecast, it expected 2013 GTECH sales of approximately $4–$5 million; such sales may fluctuate with installation timing.
- Management expected higher selling and marketing expense in 2013, relatively consistent G&A expense, and approximately $1.2 million of capital expenditures. It stated that cash and operating cash flows should meet needs for at least the next 12 months.
- On May 2, 2013, after quarter-end, the board declared an increase in the quarterly dividend from $0.06 to $0.07 per share. The company expected approximately $2.4 million of cash dividends for 2013. The stock repurchase authorization was scheduled to end May 27, 2013; $5.514 million remained authorized at quarter-end.
Risks, contingencies, and unusual items
- Avery Dennison alleges misappropriation of trade secrets related to TransAct’s food safety terminals and seeks to bar manufacture and sale of the Ithaca 9700 and 9800. The trial court denied preliminary injunctive relief; Avery Dennison appealed, with oral argument scheduled for July 16, 2013. TransAct reported $199,000 of related Q1 legal costs and said future costs were uncertain.
- Printrex contingent consideration was valued at $960,000 at both March 31, 2013 and December 31, 2012; the filing describes a potential undiscounted range of $200,000–$2.4 million. No payment was made in Q1 because the arrangement’s conditions were not met.
- Management noted that international off-premise gaming sales are project-oriented and difficult to predict, and that fewer Italian VLT installations were expected after the government-approved rollout was substantially completed in 2012.
- The filing reported no material change in previously disclosed risk factors or market-risk exposure. Management concluded disclosure controls were effective at quarter-end and reported no material change in internal control over financial reporting.
Investor verification priorities
- Track whether casino/gaming and international sales stabilize, given their outsized contribution to the revenue decline.
- Verify whether new-product sales sustain the improved gross margin and whether forecast TSG and GTECH revenue materializes.
- Monitor operating cash flow quality, particularly receivables collections, inventory growth, and the timing of supplier and bonus payments.
- Follow the Avery Dennison appeal and related legal costs, including any impact on the food safety terminal business.
- Confirm dividend and repurchase decisions, covenant compliance, and capital spending against management’s stated plans.
- Account for the unusually low Q1 tax rate when assessing earnings comparability and full-year expectations.
