- Revenue and margins: Q3 revenue rose about 15% year over year, led by North American console headsets and flight simulation products, alongside share gains. Nine-month revenue rose about 14%. Management attributed stronger gross margins primarily to lower freight costs and less promotional activity. The prior-year comparison included $5.3 million of inventory and component-related charges; excluding those charges, prior-year gross margin was 24.5% for Q3 and 24.8% year to date.
- Operating costs and unusual items: Nine-month operating expenses fell to $68.5 million from $72.5 million. Year-to-date general and administrative expense included $4.0 million of stock compensation and related payroll associated with former CEO Juergen Stark’s departure. Adjusted EBITDA is a non-GAAP measure and includes adjustments for items such as restructuring and proxy-related costs.
- Cash flow: Operating activities generated $7.9 million in the first nine months, compared with $69.5 million used in the prior-year period. Management cited improved working capital, higher gross receipts, and expense management; cash flow also reflected changes in receivables, payables, and inventory. Investing activities used $1.9 million. Financing activities used $5.1 million, including $5.8 million of net revolver repayments and $1.0 million of share repurchases, partly offset by option exercise proceeds.
- Liquidity and debt: At September 30, cash was $12.3 million and revolving-credit borrowings were $13.3 million, versus $11.4 million and $19.1 million, respectively, at December 31, 2022. Current assets were $131.0 million and current liabilities $74.5 million. The amended facility matures April 1, 2025, provides up to $80 million subject to borrowing-base limits, and had approximately $49.5 million of excess availability. Outstanding borrowing rates were 11.00% for base-rate loans and 8.90% for LIBOR-rate loans. The company reported covenant compliance.
- Taxes: The company recorded tax expense of $0.5 million in Q3 and $0.4 million for the first nine months despite pretax losses. Management said the year-to-date effective tax rate was affected by the U.S. valuation allowance, foreign and state taxes, and interest on uncertain tax positions. Uncertain tax positions, including interest and penalties, totaled $2.9 million.
Changes, outlook, and risks
- Compared with 2022, revenue, gross margin, operating loss, net loss, and Adjusted EBITDA improved in both the quarter and year-to-date periods. Operating cash flow also improved substantially, although the filing attributes this partly to working-capital movements.
- The filing provides no specific numerical revenue or earnings guidance. Management said cash, revolver availability, and operating cash flows should be sufficient for anticipated working capital and capital expenditure needs, including product development, possible repurchases, and strategic opportunities. This view depends on assumptions, including no material adverse developments.
- Management described gaming accessories demand, product launches, and holiday sales as market drivers. Freight and component challenges had begun to abate, but the company remains exposed to supply-chain costs, inflation, consumer spending weakness, and foreign-exchange and interest-rate movements.
- Litigation matters include an appeal of a judgment in the company’s favor in a shareholder opt-out case and an appeal in an employment case. No contingent-loss accrual was recorded because losses were not considered probable; possible loss ranges were not estimable. Management cautioned that an unfavorable outcome could materially affect the business.
- The credit facility is secured by substantially all company assets and includes financial and other covenants. The company also maintains a valuation allowance on U.S. deferred tax assets. Management reported effective disclosure controls as of September 30, 2023.
