Q3 revenue fell about 24% year over year, while nine-month revenue rose about 13%. Q3 gross margin contracted 6.7 percentage points; the nine-month margin declined 1.8 points. Management attributed margin pressure primarily to unfavorable product mix and higher logistics costs. Operating expenses increased, including spending on digital marketing, product development and new categories.
Q3 2021 included $2.8 million of non-recurring business costs in the company’s Adjusted EBITDA reconciliation; the nine-month amount was $4.5 million. Adjusted EBITDA is a company-defined non-GAAP measure and should be considered alongside GAAP results.
Cash flow, balance sheet and liquidity
- Operating cash flow was negative $10.3 million for the first nine months of 2021, versus positive $32.6 million in 2020. The company cited inventory purchases, supply-chain challenges and lower gross receipts.
- Investing cash outflow was $7.0 million, including $2.5 million for the Neat acquisition; financing cash outflow was $0.9 million.
- Cash was $28.1 million at September 30, down from $46.7 million at year-end 2020. Inventory rose to $113.3 million from $71.3 million, while accounts payable increased to $55.5 million from $42.5 million.
- No borrowings were outstanding under the revolving credit facility. The company reported approximately $54.6 million of excess availability, compliance with financial covenants, and a facility expiration date of March 5, 2024.
- Management said cash, facility availability and operating cash flows were expected to cover anticipated working-capital and capital-expenditure needs for at least the next 12 months, subject to assumptions including no material adverse developments.
- Total liabilities were $102.7 million and stockholders’ equity was $133.6 million. The balance sheet included $8.2 million of operating lease liabilities and $3.8 million of income tax payable.
Management commentary, outlook and risks
Management described 2020 demand as unusually elevated due to stay-at-home conditions and channel replenishment. For the first nine months of 2021, it said console-headset demand remained elevated early in the year and retailers increased channel inventory amid supply concerns. Q3 comparisons were affected by the prior-year surge and replenishment.
The filing provides no quantified revenue, earnings or margin guidance. Management expected global supply-chain constraints, component shortages, transportation delays and inflationary cost pressures to continue for the foreseeable future; it said these had already affected costs, sales and results. The company was working with suppliers on product availability and cost-saving measures. Other key risks include demand normalization after pandemic-related buying, seasonal holiday demand and forecasting, dependence on third-party manufacturers and a limited number of suppliers, customer concentration, competition, and reliance on gaming platforms and game releases.
The effective tax rate was unusually low: the company recorded a $1.8 million Q3 tax benefit and a $0.3 million nine-month benefit. Management cited stock-based compensation tax benefits, R&D credits and the reduced rate on foreign-derived intangible income; these items make the reported rate less indicative of a normalized rate.
Legal matters: defendants prevailed in the shareholder opt-out trial, with final judgment entered September 3, 2021; the plaintiff indicated an appeal. In a separate employment case, a jury verdict and judgment favored the company in October 2021, after quarter-end. A UK trademark dispute concerning use of “STEALTH” remained unresolved. The company recorded no accrual for losses on unresolved matters, stating losses were possible but not probable and any range could not be reasonably estimated. Management reported disclosure controls were effective as of September 30, 2021 and no material change in internal control over financial reporting.
Important facts for investors to verify

- Whether the substantial inventory build converts into sales without elevated returns, markdowns or obsolescence.
- How demand evolves after the prior-year pandemic-driven surge, particularly through the holiday season and across console and PC products.
- The recurring earnings and cash-flow profile, considering non-recurring costs, tax benefits, stock compensation and negative operating cash flow.
- Neat Microphones’ contribution to revenue and earnings, and whether earn-out targets or integration costs affect results.
- Updates on the trademark dispute, shareholder appeal and other contingencies, including any change in the company’s assessment of potential losses.
