Taboola.Com Ltd. annual report, FY2022

Taboola.com Ltd. 2022 Form 10-K Summary

Business context and reporting period

Taboola is an Israel-incorporated technology company operating a single reportable segment. Its AI-powered recommendation platform helps digital properties monetize and grow audiences and enables advertisers to deliver native advertising, performance marketing and e-commerce recommendations across the Open Web. The filing covers the fiscal year ended December 31, 2022; it is an annual Form 10-K rather than a standalone fourth-quarter filing.

Taboola served approximately 15,000 digital property partners and 18,000 advertisers in the fourth quarter of 2022, reaching more than 500 million daily active users. Microsoft represented approximately 13% of gross advertiser revenue generated on digital properties in 2022; the top five digital property partners represented approximately 22%.

Traffic acquisition costs declined 3.3% to $831.5 million, while other cost of revenue increased 35.5% to $105.4 million. Operating expenses increased 5.2% to $477.9 million, including higher research and development and sales and marketing costs. Sales and marketing expense rose 19.8%, while general and administrative expense declined 21.9%, primarily because 2021 included substantial public-company, merger and equity-vesting costs.

At December 31, 2022, Taboola had $165.9 million of cash and cash equivalents, $96.9 million of short-term investments and $4.8 million of restricted deposits. Total assets were $1.53 billion and shareholders’ equity was $834.5 million.

Debt consisted primarily of a senior secured term loan. Taboola repaid and retired $61.3 million of principal in December 2022, leaving approximately $235.0 million of principal outstanding, including $3.0 million of current maturities. The company also established a $90.0 million revolving facility, with no borrowings outstanding at year-end, and was in compliance with its debt covenants.

Material changes versus the prior comparable period

  • Revenue growth slowed materially to 1.6%, compared with 15.9% growth in 2021, as weaker advertising demand reduced yields from existing partners.
  • New digital property partners contributed approximately $108.3 million of revenue on a 12-month run-rate basis, more than offsetting an approximately $85.6 million decline from existing partners.
  • Ex-TAC gross profit grew faster than revenue, aided by the Connexity acquisition, Taboola News growth and a mix shift toward higher-margin digital properties and e-commerce.
  • Adjusted EBITDA declined despite higher gross profit, reflecting increased operating investment, macroeconomic pressure and lower operating leverage.
  • Operating cash flow and free cash flow declined, while investing cash outflows totaled $139.6 million, including purchases of short-term investments, capital expenditures and acquisition spending.
  • In September 2022, Taboola implemented a restructuring affecting approximately 6% of global headcount and recorded $3.4 million of restructuring expense. The company did not expect additional costs from this program.
  • Taboola acquired Gravity R&D in July 2022 for approximately $7.0 million net of cash acquired. The acquisition was immaterial to 2022 results.

Guidance, outlook, commentary and risks

The filing does not provide a clear numerical 2023 revenue or earnings guidance range. Management stated that it was reducing discretionary spending and slowing hiring in response to macroeconomic uncertainty, weaker advertising demand and spending volatility.

The principal strategic development was a 30-year exclusive commercial agreement with Yahoo, announced in November 2022 and closed in January 2023. Under the related agreements, Yahoo received 24.99% of Taboola’s combined voting and non-voting equity on a post-transaction basis and a board seat. The partnership is expected to expand Taboola’s native advertising inventory, but the filing highlights execution, integration, advertiser migration, employee retention, cost and timing risks. The filing does not provide a clear quantified financial contribution from Yahoo.

  • Macroeconomic conditions, inflation, rising interest rates, geopolitical events and reduced advertiser budgets may pressure demand, yields, margins and liquidity.
  • Minimum-guarantee arrangements with digital properties can create losses or reduce gross profit if advertising performance falls below contractual thresholds.
  • Microsoft concentration and dependence on major digital property partners create renewal, pricing and inventory risks.
  • Privacy regulation, third-party cookie restrictions, browser and mobile-platform changes may reduce targeting, measurement and personalization effectiveness.
  • Competition from Google, Facebook, Amazon and advertising intermediaries may pressure pricing, revenue shares and margins.
  • Cybersecurity incidents, technology defects, click fraud, content-quality issues and service outages could result in lost advertisers or partners, liability and reputational damage.
  • The company is cooperating with a U.S. Department of Justice Antitrust Division criminal investigation concerning hiring activities in the industry. Taboola states that it does not believe its conduct violated applicable law; the ultimate outcome is uncertain.
  • Goodwill was $555.9 million at year-end. The 2022 impairment analysis indicated that estimated fair value exceeded carrying value, but the valuation remains sensitive to revenue growth, cash flows, discount rates and broader market conditions.
  • Approximately $22.6 million was held at Silicon Valley Bank as of March 10, 2023. Management did not anticipate a material impact from the bank’s failure.

Important facts for investors to verify

  • Verify fourth-quarter standalone revenue, profitability, cash flow and operating metrics separately, because this filing primarily reports full-year results.
  • Assess whether Yahoo integration milestones, advertiser migration and incremental inventory are being achieved and whether the partnership is financially accretive.
  • Monitor revenue yield, ex-TAC gross profit, Adjusted EBITDA margin and minimum-guarantee costs as indicators of underlying advertising economics.
  • Reconcile non-GAAP measures to GAAP results, particularly the effects of share-based compensation, acquired-intangible amortization, warrant revaluation, restructuring and foreign-exchange items.
  • Track debt amortization, variable-rate interest expense, covenant compliance and the availability of the $90.0 million revolving facility.
  • Evaluate the sustainability of cash generation after capital expenditures, working-capital requirements, debt service and potential acquisitions.
  • Review concentration with Microsoft and other large digital property partners, advertiser retention and the effect of privacy and cookie changes on targeting performance.
  • Consider dilution from outstanding options, RSUs, warrants and the Yahoo-related issuance of 39.5 million voting shares and 45.2 million non-voting shares in January 2023.
