Balance sheet, debt and liquidity

  • Cash and cash equivalents were $60.7 million at March 31, 2024, versus $61.0 million at December 31, 2023. Current assets were $141.3 million and current liabilities $33.1 million.
  • Outstanding credit-agreement borrowings were $28.5 million, all term debt; the reported net note payable was $28.4 million after deferred financing fees. The loan bore interest at 7.16%; quarterly principal installments are $0.75 million, with facility maturity on August 1, 2026.
  • The company repaid its revolving-credit balance in December 2023 and reported compliance with its financial covenants at quarter-end. Management believes cash, cash equivalents and operating cash flows will cover working capital, capital expenditure, debt service and other requirements for at least the next 12 months.
  • Cash decreased $0.3 million in Q1. Investing cash use was $0.5 million and financing cash use $0.7 million. Q1 2023 financing cash flow included $34.6 million of net proceeds from a public stock offering.

Material changes and management commentary

  • Lymphedema growth was attributed to increasing field-sales productivity and strength in the entry-level Entre Plus system. The field team expanded to 269 representatives from 246 a year earlier.
  • AffloVest sales were affected by slower placements at one large DME provider after expiration of the COVID-19 Public Health Emergency waiver and a return to pre-emergency eligibility requirements. Medicare revenue fell to $14.2 million from $18.5 million, while private insurers and other payers rose to $31.3 million from $25.4 million; the filing does not attribute those channel movements individually to specific causes.
  • Management said inflation and changing prices did not materially affect the quarter and are not expected to have a material effect over at least the next 12 months. It identified possible sensitivities including reimbursement, competition, interest rates, labor and component costs, supplier availability, regulation, acquisitions and product development.
  • No full-year revenue or earnings guidance is provided in the filing. Management cautions that Q1 results are not necessarily indicative of full-year results.

Risks, contingencies and other notable items

  • A stockholder derivative lawsuit related to allegations also involved in a previously settled securities class action remains pending. The parties reported a non-binding settlement-in-principle in July 2023; a motion to dismiss the amended complaint was pending. The lawsuit seeks unspecified damages.
  • Purchase orders outstanding for goods expected within the next year totaled $25.7 million. One vendor represented 23% of purchases in Q1 2024, compared with 29% in Q1 2023.
  • The filing identifies an upcoming CEO transition as a risk. The exhibit index references an April 23, 2024 offer letter for Sheri L. Dodd and a transition letter agreement for Daniel L. Reuvers.
  • Disclosure controls were judged effective at the reasonable-assurance level, and no material change in internal control over financial reporting was reported for the quarter.

Important facts for investors to verify

  • How revenue, margins and cash generation develop through the seasonally stronger second half, and whether operating expenses remain aligned with growth.
  • Debt service, covenant headroom, interest-rate exposure and management’s 12-month liquidity assessment.
  • Developments in reimbursement and payer policies, dependence on a major vendor and the $25.7 million purchase commitments.
  • Status and potential financial impact of the derivative lawsuit and the CEO transition.
