Revenue growth reflected 20% more Lapiplasty procedure kits sold and a 10% increase in blended revenue per kit, which includes sales of the broader product portfolio. Gross margin fell primarily because of product mix, higher overhead and inventory provisions, partly offset by lower royalty rates on newer products. Sales and marketing and general and administrative expenses rose 34.7% and 42.5%, respectively, largely with headcount and business growth.
At year-end, cash and cash equivalents were $13.0 million and short-term marketable securities were $110.2 million. Current assets totaled $198.4 million against current liabilities of $45.0 million. Total assets were $251.9 million and total liabilities were $114.0 million. Debt principal outstanding was $54.0 million ($50.0 million term loan and $4.0 million revolver); the balance-sheet carrying value of long-term debt, net of discounts and issuance costs, was $53.0 million. The company reported an accumulated deficit of $134.2 million.
Financing activities provided $109.4 million, principally from the February 2023 equity offering, which generated approximately $107.5 million in net proceeds. Investing activities used $81.3 million, including the $20.0 million RPM-3D acquisition and purchases of marketable securities and property and equipment.
Operating indicators included 29,675 Lapiplasty procedure kits sold, 2,855 active surgeons and average utilization of 10.4 kits per active surgeon. The filing reports approximately 20% growth in kits sold and active surgeons year over year.
Material changes and notable items
- Revenue increased 31.9%, but net loss widened by $6.7 million as operating expenses grew faster than gross profit.
- Cash used in operations increased by $3.9 million. Inventory and accounts receivable rose by $9.8 million and $9.3 million, respectively, contributing to operating cash use.
- In February 2023, Treace issued 5.48 million shares at $21.00 per share, raising approximately $107.5 million net.
- In June 2023, Treace acquired RPM-3D assets for $20.0 million cash, with up to $10.0 million of additional milestone-related payments. A $3.0 million contingent consideration liability was recorded at year-end; other potential payments are tied to transition services and patent milestones.
- New product activity included the SpeedPlate fixation platform and Hammertoe PEEK system, plus a limited commercial launch of Micro-Lapiplasty in Q4. Patient-specific instrumentation was in limited clinical release, with full commercialization planned for the second half of 2024.
Outlook, risks and contingencies
Management expects continued investment in sales, marketing, research and development, and infrastructure, and anticipates operating at a loss in the near term. It believes cash, cash equivalents, marketable securities, available debt borrowings and expected revenue will fund planned operations for at least 12 months from issuance of the financial statements; this assessment depends on assumptions that may change. The filing provides no specific revenue or earnings guidance.
Management cited macroeconomic uncertainty, inflation, higher interest rates, supply-chain costs and elective-surgery demand as factors that may affect results. Key risks include ongoing losses and the need to achieve profitability; dependence on Lapiplasty; competition and surgeon/facility adoption; reimbursement and pricing pressure; clinical evidence and product safety; regulatory compliance; supplier continuity; intellectual-property disputes; and debt covenants. The MidCap loans are secured by substantially all company assets, including intellectual property, and carry revenue/liquidity-related covenant provisions. No material legal proceedings or litigation accruals were reported. No material cybersecurity incident was reported in the prior three years.
The independent auditor issued an unqualified opinion on the financial statements and internal control over financial reporting; the auditor reported no critical audit matters. Management also concluded disclosure controls and internal controls were effective at December 31, 2023.
Important facts for investors to verify
- Whether procedure-kit growth, surgeon utilization and newer products can sustain revenue growth without further margin erosion.
- Cash burn, working-capital needs and the assumptions supporting management’s at-least-12-month liquidity assessment.
- Debt availability and covenant headroom, including conditions for accessing remaining term-loan tranches and revolver capacity.
- Timing, achievement and cash cost of RPM-3D milestones, and commercialization progress for patient-specific instrumentation.
- Longer-term clinical-study outcomes, product safety and recurrence rates; interim clinical results cited in the filing are not a substitute for final long-term evidence.
