TPG Inc. — FY2023 Form 10-K
Reporting period: Year ended December 31, 2023. This is an annual filing, not a standalone fourth-quarter report; the provided filing text does not give clear Q4-only financial results. TPG is a global alternative asset manager. Its November 1, 2023 acquisition of Angelo Gordon is included in consolidated operating results only from that date.
Financial and operating performance
- Scale: Year-end AUM was $221.6 billion, up from $135.0 billion in 2022, largely reflecting $75.3 billion of acquired Angelo Gordon AUM. Fee-earning AUM rose to $136.8 billion from $77.9 billion. TPG raised $15.7 billion during 2023 versus $30.0 billion in 2022; realizations were $10.2 billion versus $14.0 billion.
- Revenue: GAAP revenue was $2.390 billion, up 19%. Fees and other increased 23% to $1.535 billion, including management fees of $1.188 billion, up 29%. Capital allocation-based income rose 13% to $855.3 million. Performance allocations were $808.2 million, up 12%, but included $582.2 million of realized allocations versus $1.410 billion in 2022; unrealized gains were $226.0 million, compared with a $689.7 million unrealized loss in 2022.
- Profit: GAAP net income was $23.4 million versus a $56.2 million loss in 2022; income before taxes was $83.7 million. Net income attributable to TPG Inc. was $80.1 million. Basic EPS was $0.89; diluted EPS was a loss of $0.04, reflecting the effect of exchangeable Operating Group units and other dilution. The effective tax rate was 72.0%, affected in part by an increase in the valuation allowance.
- Non-GAAP measures: Fee-Related Earnings (FRE) increased 34% to $606.3 million, on fee-related revenue of $1.337 billion. FRE margin was approximately 45% versus 42% in 2022. Distributable Earnings (DE) fell 17% to $627.9 million, and after-tax DE declined to $585.3 million from $700.3 million, principally because realized performance allocations were lower. These measures are not GAAP and may not be comparable with other managers’ measures.
- Cash flow: Operating cash flow was $720.5 million, down from $1.376 billion, with lower performance-allocation and co-investment proceeds. Investing activities used $373.6 million, primarily for the acquisition. Financing activities used $789.2 million, including dividends, distributions and SPAC share redemptions. Cash and cash equivalents ended the year at $665.2 million; including restricted cash, reported cash was $678.4 million.
- Debt and liquidity: Debt obligations were $945.1 million at year-end, versus $444.6 million a year earlier, mainly due to acquisition-related revolving-credit borrowing. TPG reported total liquidity of $1.544 billion, including $699.0 million available on its senior revolver, $30.0 million on its subordinated facility and a $150.0 million 364-day facility. The company reported $521.3 million of unfunded fund commitments. The senior revolver balance was $501.0 million; the term loan balance was $200.0 million. TPG reported covenant compliance at year-end and drew another $58.5 million on the revolver in January 2024.
- Other items: The acquisition’s GAAP purchase price was $1.146 billion, including $740.7 million cash consideration. It added $547.5 million of identifiable intangible assets and $205.9 million of goodwill. Approximately $1.110 billion of grant-date value for acquisition-related unvested units is expected to be recognized as compensation over service periods; the filing’s pro forma presentation is not a forecast.
Changes versus prior periods
- Reported revenue growth and higher FRE reflect fundraising and management-fee growth, along with two months of Angelo Gordon results. The acquisition materially changes the scale and mix of the business, so reported 2023 results are not directly comparable with a full-year combined-company period.
- FRE increased, while DE and operating cash flow decreased because realized performance-allocation proceeds were substantially lower than in 2022. The prior year’s GAAP results also included a different mix of unrealized valuation movements.
- Operating expenses rose: compensation and benefits increased to $1.794 billion, including equity-based compensation of $654.9 million and performance-allocation compensation of $591.7 million. General, administrative and other expense rose 31% to $482.6 million; interest expense rose 78% to $38.5 million.
- AUM increased sharply with the acquisition, but capital raised declined by nearly half and realizations also declined year over year.
Outlook, commentary and principal risks
- Management said 2023 markets improved as inflation eased and the Federal Reserve paused rate increases, while noting continuing uncertainty over the timing and pace of rate cuts. Commercial real estate transaction activity remained muted amid elevated financing costs and limited liquidity.
- TPG says current liquidity is sufficient for projected needs for at least 12 months. Its current dividend intention is to pay at least 85% of TPG Inc.’s share of distributable earnings, but payment and amount remain discretionary and subject to business needs, legal and financing limits, taxes and clawback obligations.
- Acquisition-related risks include integration, retention of Angelo Gordon personnel and clients, realization of expected benefits, added costs and systems/cybersecurity integration. The earnout can be up to $400 million in value, contingent on 2026 fee-related revenue targets; separate annual cash holdbacks total up to $150 million and are subject to stated conditions.
- Performance allocations, valuations and cash flows are volatile and depend on fund exits and market conditions. TPG disclosed a $58.3 million estimated clawback obligation at current carrying values; the potential amount would be approximately $1.910 billion if remaining investments were worthless, which management considers remote.
- Key risks include weak fund performance or fundraising, higher interest rates and refinancing costs, illiquid and leveraged investments, real estate and credit exposure, subjective valuations, foreign-market and China risks, regulation and ESG-related disclosure requirements, conflicts of interest, cybersecurity threats, litigation, and dependence on senior professionals. TPG is a controlled company with unequal voting rights; Class B shares carry ten votes each until the Sunset.
- The auditor issued an unqualified opinion on the financial statements and internal control over financial reporting. The internal-control assessment excluded Angelo Gordon, which represented 19.2% of consolidated assets and 9.8% of 2023 revenue; integration and control coverage merit monitoring.
Important facts for investors to verify
- Separate organic growth from Angelo Gordon’s acquired contribution; review full-year pro forma figures and subsequent fundraising, fee-earning AUM and realizations.
- Reconcile GAAP net income, income attributable to TPG Inc., basic and diluted EPS, FRE and DE; examine the effect of compensation, non-controlling interests, unrealized allocations and taxes.
- Track realized performance allocations and cash conversion against accrued allocations, including the sensitivity of performance fees to portfolio valuations and the disclosed clawback exposure.
- Confirm post-acquisition debt, revolver usage, interest costs, liquidity, 2024 commitments and cash needs, including tax-receivable payments, holdbacks and potential earnout obligations.
- Monitor integration progress, key-person retention, internal controls and cybersecurity; assess whether acquisition-related synergies and fee growth materialize without impairing margins.
- Review dividend capacity and policy discretion, controlled-company voting rights, potential share issuance or exchanges, and the Tax Receivable Agreement’s cash and change-of-control implications.
