Entrada Therapeutics, Inc. — Q3 2023 Form 10-Q
Reporting period: Quarter and nine months ended September 30, 2023. The unaudited results are for an early-stage biotechnology company developing Endosomal Escape Vehicle (EEV) therapeutics; it had no product sales.
Financial performance and liquidity
- Q3 revenue: $43.7 million, entirely from the Vertex collaboration, versus none in Q3 2022. It included $39.8 million of upfront-payment recognition and $3.9 million of collaboration service revenue. A $21.3 million cumulative catch-up adjustment from revised remaining-cost estimates contributed to Q3 revenue.
- Nine-month revenue: $87.2 million, versus none in the prior-year period; this comprised $74.8 million of upfront-payment recognition and $12.3 million of service revenue.
- Q3 results: Operating income was $14.0 million, compared with an operating loss of $25.9 million in Q3 2022. Net income was $35.5 million, or $1.02 per diluted share, including a $17.4 million income-tax benefit. The tax benefit is unusual and should not be treated as recurring earnings.
- Nine-month results: Operating loss was $8.1 million, versus $71.7 million in 2022. Net income was $2.9 million, or $0.08 per diluted share, versus a $70.0 million net loss. Interest and other income was $10.9 million.
- Expenses: Q3 R&D was $22.2 million and G&A $7.5 million. For nine months, R&D was $71.6 million (up $20.7 million year over year) and G&A was $23.6 million (up $2.9 million). The filing does not present a product gross margin; revenue is collaboration revenue.
- Cash flow: Nine-month operating cash flow was positive $143.8 million, compared with cash use of $66.5 million in 2022. The 2023 inflow was driven principally by $158.9 million of deferred revenue from Vertex, rather than recurring product operations. Investing cash use was $157.4 million; financing cash provided $20.3 million.
- Liquidity: Cash and cash equivalents were $51.9 million and marketable securities $301.7 million at September 30, totaling $353.6 million. Current assets were $383.0 million versus current liabilities of $165.4 million. Marketable securities were available-for-sale investments, primarily U.S. government securities and corporate debt.
- Debt and obligations: The filing reports no borrowings. Total liabilities were $238.4 million, including $158.9 million of deferred revenue and $69.1 million of operating lease liabilities. The lease balance reflects, in part, commencement of the approximately 10-year IDB facility lease.
Material changes and business developments
- Vertex paid a $223.7 million upfront collaboration fee and made a separate $26.3 million equity investment in February 2023. The agreement grants Vertex an exclusive worldwide license to ENTR-701 for DM1 and provides four years of research collaboration, cost reimbursement, up to $485.0 million in potential milestones, and tiered mid-to-high-single-digit royalties.
- In October 2023, Entrada achieved a $17.5 million ENTR-701 preclinical milestone, expected to be received in Q4 2023. The agreement was amended in October to clarify milestone and payment terms. The payment was not included in September 30 revenue.
- Cash and marketable securities increased substantially from year-end 2022, while deferred revenue and lease obligations also increased. The company entered into a $150 million at-the-market equity sales program in September; no shares had been sold under it by September 30.
- Operating cash flow shifted from a large use in the prior-year period to a large source, primarily because of the Vertex upfront payment and related deferred revenue. Revenue recognition depends on estimates of costs to complete research obligations and may change with updated estimates.
Outlook, risks and unusual items
- Management expected September 30 cash, cash equivalents and marketable securities, together with ongoing Vertex research support and anticipated milestones, to fund operations through 2025. The financial-statement liquidity assessment separately states resources are expected to cover at least 12 months from issuance. Both estimates depend on assumptions and future collaboration payments; additional financing may be needed.
- The FDA placed the U.S. IND for ENTR-601-44 (Duchenne muscular dystrophy, exon 44) on clinical hold and requested additional information. Entrada was working to resolve the hold and expected to provide an update in Q4 2023. Separately, the UK authorized a Phase 1 healthy-volunteer trial, and the first participant was dosed in September; data were expected in the second half of 2024.
- Management planned a CTA/IND submission for ENTR-601-45 in Q4 2024. The filing also reports the subsequent selection of ENTR-601-50, with preclinical data expected in the first half of 2024 and a planned CTA/IND submission in 2025.
- Key risks include clinical and regulatory uncertainty, the novel and unproven EEV approach, manufacturing and supply challenges, reliance on third parties and Vertex, competition, patent protection, and the need for additional capital. The company expects operating losses and negative operating cash flows for the foreseeable future.
- The company recorded a $17.4 million Q3 income-tax benefit despite forecasting a current tax liability related largely to the Vertex upfront payment; it expected to record the remaining tax provision in Q4 and maintained a valuation allowance against remaining deferred tax assets.
- Entrada paid OSIF a $2.8 million sublicense fee in April 2023, recorded in R&D expense. It reported no material litigation proceedings as of September 30 and no material changes to its disclosed commitments other than those described in the filing.
Most important facts for investors to verify
- Whether and when the FDA lifts the ENTR-601-44 clinical hold, and whether the UK Phase 1 trial produces interpretable safety, tolerability, pharmacokinetic and target-engagement data.
- Receipt and accounting treatment of the $17.5 million Vertex milestone, and the timing and terms of any further milestone or research-support payments.
- Whether Vertex-related revenue recognition and deferred revenue estimates change as the research plans and remaining costs evolve; Q3 revenue included a material catch-up adjustment.
- Whether the cash runway through 2025 remains achievable after operating costs, lease payments, clinical development spending and any changes in milestone assumptions.
- Any use of the $150 million ATM program, resulting dilution, and progress toward planned ENTR-601-45 and ENTR-601-50 development timelines.
