The weighted-average effective borrowing rate was 7.2%, compared with 6.2% in FY2022. The company reported $8.0 million of PIK interest income, versus $0.3 million in FY2022; PIK is accrued income and is not necessarily received in cash.

Operating cash flow was $(96.3) million; investing cash flow was $(2.7) million; financing cash flow was $93.2 million. Cash declined by $5.9 million to $4.8 million. Management reported $137.0 million of available borrowings under the KeyBank facility and said cash plus available borrowings should be sufficient for near- and long-term operations and investing activities. The KeyBank facility matures October 27, 2026. Total principal debt includes $213.0 million under KeyBank, $182.5 million of 7.00% notes due 2025, $50.0 million of 6.00% convertible notes due 2025, $125.0 million of 4.375% notes due 2026, and $75.0 million of 4.25% notes due 2026.

Material changes versus FY2022

  • Investment income rose about 25%, mainly with a larger income-producing debt portfolio and higher stated interest rates. Net investment income increased about 26%.
  • Net realized results swung from a $32.9 million gain to a $28.1 million loss. Unrealized results improved by $149.9 million, from $134.8 million of depreciation to $15.1 million of appreciation; the company nevertheless recorded significant realized losses.
  • Non-accrual investments increased to 3.5% of debt investments at fair value from 1.7%. The weighted-average debt risk rating improved slightly to 2.7 from 2.8, but investments rated Default/Workout rose to 2.7% of the debt portfolio from 1.0%.
  • The portfolio expanded and shifted toward space technology, which reached 14.6% of investments at fair value, versus 6.5% a year earlier. Green technology was 11.2%, versus 14.0%.
  • Principal borrowings increased $25.5 million; higher borrowing and KeyBank rates contributed to the increase in interest expense. Asset coverage improved to 194.7% from 174.1%.
  • Common shares outstanding increased to 46.3 million from 35.0 million, primarily reflecting equity issuance. Net assets rose to $611.2 million from $459.6 million, while NAV per share was nearly unchanged.

Distributions, outlook, risks and unusual items

The company declared $2.04 per share in 2023 distributions, including supplemental distributions, and paid $78.8 million in cash distributions during the year. Its variable distribution policy aims to distribute approximately 90%–100% of taxable quarterly income or potential annual income. Future distributions remain at the Board’s discretion and depend on earnings, liquidity, RIC requirements, and BDC asset-coverage limits.

The filing gives no specific earnings, investment, or distribution guidance. Management reported no material subsequent event through the filing date. The filing’s principal risks include borrower defaults and funding needs, illiquid and Level 3 portfolio valuations, leverage and refinancing, interest-rate sensitivity, geographic and sector concentration, competition, and maintaining BDC and RIC status. Approximately 69% of debt investments by outstanding principal were floating rate; the KeyBank facility also bears floating-rate interest. The filing’s sensitivity analysis estimates that a 100-basis-point increase in base rates would increase annual net income by $7.1 million, assuming no change in investment or borrowing structure.

Valuation is a key estimate: substantially all private-company investments are Level 3, and the Board determines fair value in good faith with assistance from independent valuation firms. The company recorded a $26.3 million realized loss on affiliate investments, primarily related to FemTec Health, and reported $28.1 million in total net realized investment losses. Its 2023 equity issuance included public and at-the-market offerings; stockholders had approved below-NAV issuance authority through the earlier of June 14, 2024 or the 2024 annual meeting, subject to stated conditions. The repurchase program expired November 11, 2023.

Ernst & Young LLP issued an unqualified audit opinion on the financial statements. Management concluded disclosure controls and internal control over financial reporting were effective as of December 31, 2023. The auditor was not engaged to attest to internal control effectiveness.

Important facts for investors to verify

  • Review the non-accrual and Default/Workout exposures, borrower-specific updates, and subsequent cash collections; compare their reported fair values with potential recoveries.
  • Assess the significant realized losses and the assumptions supporting Level 3 valuations, especially for equity, warrants, and distressed investments.
  • Reconcile the distribution rate with recurring cash interest income, PIK and other non-cash income, excise taxes, and the RIC distribution requirement.
  • Check liquidity and refinancing plans for the 2025 maturities and 2026 facility and notes, including borrowing-base and covenant headroom. The filing lists a February 13, 2024 KeyBank facility amendment; review its terms.
  • Evaluate dilution from share issuance and convertible-note conversion, and confirm the effect of any below-NAV issuance authority and market price versus NAV.
  • Monitor concentration in space and green technology, regional exposure, floating-rate borrower repayment capacity, and the company’s BDC/RIC compliance.
