Q3 sales were nearly flat year over year, while gross margin improved on pricing and cost reductions. Operating income fell as marketing, engineering and administrative expenses rose 17.6% to $17.2 million, including higher wages, bonuses, travel and acquisition-related professional fees. For the first three quarters, sales rose 9.2%, but operating income declined; the prior-year comparison included $4.1 million of income from a Belgian property sale.

Q3 sales growth in marine and propulsion products (3.2%) and distribution (9.2%) was offset by weaker industrial and North American demand. Year to date, marine and propulsion sales increased 17.3%, while industrial shipments declined 15.5%. Management cited improving delivery performance and supply-chain conditions, strong European and Asia-Pacific demand, and softer North American energy aftermarket and housing/construction markets. The BCS business sale reduced Italian manufacturing sales; the associated boat-management inventory write-downs and transferred liabilities produced a $3.1 million reported cost-of-goods-sold charge in the first three quarters.

Cash flow, balance sheet and liquidity

  • Operating cash flow for the first three quarters was $22.3 million, versus $6.9 million a year earlier. Capital expenditures were $7.6 million, and management reported free cash flow of $14.7 million, defined as operating cash flow less fixed-asset purchases.
  • Cash was $23.8 million at March 29, 2024, up from $13.3 million at June 30, 2023. Net working capital was $119.9 million. Receivables were $41.0 million and inventory $129.8 million.
  • Total debt was $17.0 million, down from $18.6 million at fiscal year-end; cash exceeded debt by $6.8 million. The company reported approximately $29.7 million of available revolving borrowings at quarter-end and stated it was in compliance with liquidity and other covenants.
  • Backlog scheduled for shipment over the next six months was approximately $130.5 million, versus $119.2 million at June 30, 2023. Total equity was $146.9 million.

Outlook, material developments and risks

  • Management expects fiscal 2024 capital spending of $9–$11 million, mainly for replacement, manufacturing modernization and efficiency projects. It expects approximately $0.7 million of pension-plan contributions and approximately $0.7 million for postretirement benefits.
  • On April 1, 2024, after quarter-end, Twin Disc amended and extended its credit agreement through April 1, 2027, increased revolving commitment to $45 million and borrowing-base availability, and raised applicable interest-rate margins. The company said expanded capacity is intended to help finance its proposed acquisition of Katsa Oy; the filing does not establish that the acquisition had closed.
  • The filing identifies market demand, currency movements, supply and operational execution, pension estimates and warranty claims as relevant uncertainties. Warranty reserves were $4.9 million; management considers them adequate but actual claims may differ. Litigation outcomes were described as presently undeterminable, with no expected material impact according to management. No material change to previously disclosed risk factors was reported.
  • The company retrospectively changed its method for recognizing pension and postretirement actuarial gains and losses. Prior-period figures are presented as adjusted. Management said disclosure controls were effective and reported no material change in internal control over financial reporting.

Important facts for investors to verify

  • Reconcile the filing’s differing effective-tax-rate disclosures: the income-tax note reports 9.3% for Q3 and 41.0% year to date, while MD&A gives 10.6% and 41.9%, respectively.
  • Track progress, funding and final terms of the proposed Katsa Oy acquisition, including any resulting debt and covenant effects.
  • Assess whether backlog converts to shipments and whether weaker North American energy and industrial demand persists.
  • Monitor gross-margin gains against higher operating expenses, and assess the remaining impact of the BCS divestiture and inventory write-downs.
  • Review availability under the amended borrowing base, increased borrowing costs, covenant headroom, and the company’s capital-spending plans.
