Europe generated $24.0 million of revenue and $1.3 million of operating income, versus an operating loss of $1.8 million in 2022. Jack’s Flight Club generated $4.2 million of revenue and an operating loss of $23,000. New Initiatives generated $204,000 of revenue and an operating loss of $976,000.
At December 31, 2023, cash and cash equivalents were $15.7 million, including $10.7 million held outside the United States, and restricted cash was $675,000. Total cash, cash equivalents and restricted cash declined by $3.0 million during the year, primarily because of $16.8 million of share repurchases, partly offset by operating cash flow and $3.0 million of payments on the shareholder promissory note.
The company reported negative working capital of $3.4 million, principally reflecting $20.6 million of current merchant payables related to unredeemed vouchers. Management expects cash on hand to cover working-capital needs for at least the next twelve months based on projected voucher redemptions. The filing reports no outstanding debt at December 31, 2023; operating lease liabilities totaled $9.2 million.
Material changes versus the prior comparable period
- Revenue increased 19.7%, led by higher travel advertising, hotel-booking commissions, Getaways voucher commissions and Jack’s Flight Club subscriptions.
- Travelzoo North America revenue increased 17.7%; Europe revenue increased 23.5%, including a $343,000 favorable foreign-currency effect.
- Local revenue declined to $4.2 million from $4.6 million, reflecting lower Local Deals voucher commissions.
- Cost of revenues declined to 12.9% of revenue from 14.2%, while sales and marketing declined to 44.7% from 46.8% of revenue.
- Operating income more than doubled as revenue growth exceeded expense growth. Sales and marketing expense nevertheless increased 14.2% to $37.8 million.
- Operating cash flow improved substantially as the prior-year reduction in merchant payables moderated; merchant payables declined by $12.1 million in 2023 versus $35.2 million in 2022.
- The company repurchased approximately $16.8 million of common stock and retired the repurchased shares. A further 400,000 shares remained authorized for repurchase at year-end.
- Travelzoo launched Travelzoo META in May 2023. New Initiatives remained loss-making and includes META, licensing activities and MTE.
- Travelzoo restated 2022 equity presentation to reclassify $4.6 million of Jack’s Flight Club non-controlling interest from temporary to permanent equity. The restatement did not affect total assets, total liabilities, total equity, results of operations or cash flows.
Guidance, outlook, risks and unusual items
Management did not provide specific numerical revenue or earnings guidance. The company expects to continue investing in its brands, membership engagement, advertiser relationships, product development and new revenue streams. Beginning in 2024, new members in the United States, Canada, the United Kingdom and Germany are charged an annual fee of $40 or local equivalent; the 2024 fee is waived for members existing at December 31, 2023. Management does not expect this initiative to contribute materially to 2024 results and is testing new acquisition and conversion strategies.
- The paid-membership transition could reduce audience reach, engagement, advertising value and member acquisition efficiency. The company expects the cost of acquiring paying members to be higher than the prior cost of acquiring free members.
- Travelzoo remains exposed to discretionary travel demand, economic downturns, inflation, interest rates, geopolitical conflict, natural disasters, public-health events and travel disruptions.
- Competition is intense across digital advertising, online travel, hotel booking, vouchers and flight-alert subscriptions, including from substantially larger companies.
- The company depends heavily on email delivery, search-engine traffic, mobile platforms, cloud providers, payment processors and third-party travel data. Changes in algorithms, privacy rules, cookies or platform policies could adversely affect traffic and revenue.
- Voucher refund estimates, merchant solvency and redemption timing affect revenue, liquidity and merchant-payable obligations. Unredeemed vouchers represented approximately $5.2 million of the company’s commission at year-end, with a $268,000 refund reserve.
- Travelzoo recognized $205,000 of German pandemic-related funding in 2023, compared with $1.7 million in 2022, and must submit a final declaration by September 30, 2024. Management does not expect a significant adjustment.
- The company has approximately $23.9 million of gross unrecognized tax benefits, plus approximately $803,000 of accrued interest and penalties. The filing states that the possible range of changes over the next twelve months cannot be estimated.
- Management identified a material weakness in internal control over financial reporting related to insufficient resources and expertise for unusual or complex transactions. The weakness remained outstanding at December 31, 2023, although a remediation plan is in progress. The auditor did not provide an internal-control attestation because Travelzoo is a smaller reporting company.
- Azzurro Capital held approximately 40.2% of Travelzoo’s outstanding shares, and CEO Holger Bartel separately held approximately 3.8%. The remaining principal balance of the related-party promissory note was approximately $1.8 million at year-end and was expected to be paid in 2024.
Most important facts for investors to verify
- Whether the 2024 paid-membership model retains members and supports advertising revenue without materially increasing acquisition costs.
- Whether operating cash flow remains positive after accounting for voucher redemptions, merchant-payable settlements and continued share repurchases.
- The timing and collectability of the remaining Azzurro promissory-note balance and the terms of the related-party transaction.
- Progress in remediating the material weakness in internal control over financial reporting.
- Potential changes in unrecognized tax benefits, acquired MTE NOLs, related indemnification rights and tax liabilities.
- Actual performance of Travelzoo META and other New Initiatives relative to their operating losses.
- Trends in local voucher demand, refund rates, merchant solvency and the $20.6 million merchant-payable balance.
