  • Q3 revenue rose 14.7%; nine-month revenue rose 21.6%. Products generated $556.3M of Q3 revenue and Services $78.7M. Management attributed growth mainly to stronger semiconductor and wafer-fabrication equipment demand; the nine-month comparison also reflects a full period of Fluid Solutions (Ham-Let) contribution in 2022.
  • Q3 gross margin fell 1.0 percentage point year over year, chiefly from higher Products labor and overhead costs. Services gross margin was 34.8% versus 35.6%; Products was 17.4% versus 18.4%.
  • Profit declined despite higher revenue. Divestiture losses were $20.8M in Q3 and $77.4M for the first nine months, weighing on operating income. Higher interest expense and an increased effective tax rate also contributed. The nine-month effective tax rate was 57.2%, versus 21.8%.

Liquidity, debt, and cash flow

  • At September 30, cash and cash equivalents were $453.5M, compared with $466.5M at December 31, 2021. Current assets were $1,136.1M and current liabilities $407.4M.
  • Total bank debt was reported at $529.3M, net of $11.1M of unamortized debt issuance costs. The $532.3M term loan carried a 6.3% interest rate at quarter-end; the borrowing table reports a 4.8% weighted-average rate. The term loan matures August 2025.
  • The amended U.S. revolving facility provides $150.0M of commitments; $146.6M was available after letters of credit. The company reported compliance with its financial covenants. It also had $4.9M available under a Czech revolving facility.
  • Nine-month operating cash flow of $86.0M was down from $170.0M. The company cited increased working-capital needs, lower net income, and payment timing. Investing used $64.2M, including $67.9M of property and equipment purchases; financing used $27.2M. Cash decreased $13.0M over the period.

Material changes, outlook, and risks

  • UCT sold three non-core Fluid Solutions subsidiaries and planned to sell its majority interest in another entity, with closing expected in Q4 2022. The divestitures supported its stated focus on the core semiconductor business and produced the reported losses, including write-offs of goodwill and intangible assets.
  • Management said existing cash, operating cash flow, and available credit should be sufficient for debt service and working-capital needs for at least the next 12 months. The filing provides no numerical revenue or earnings guidance. Management described long-term demand drivers including 5G, cloud, AI, machine learning, and increasing outsourcing by semiconductor equipment manufacturers.
  • Customer concentration is significant: Lam Research and Applied Materials together represented 64.2% of Q3 revenue and 62.8% for the first nine months. Their combined share of accounts receivable was 35.7% at quarter-end.
  • Inventory purchase commitments were approximately $645.2M. Other risks include semiconductor industry cyclicality, higher borrowing costs, foreign-exchange exposure, working-capital requirements, and potential financing needs. The company reported no material change to previously disclosed risk factors and no legal proceedings expected to materially affect its financial condition or results.
  • On October 20, 2022, the board authorized up to $150.0M of share repurchases over three years. This is a subsequent event, not a quarter-end repurchase balance.

Important facts for investors to verify

  • Whether demand growth and improved operating performance can offset cost pressure and the impact of divestitures.
  • Progress and final proceeds or losses from the planned remaining subsidiary sale, and the use of proceeds under the share-repurchase authorization.
  • Debt-rate exposure, refinancing plans ahead of the 2025 maturity, and continued compliance with credit covenants.
  • Working-capital trends, including inventory levels and the substantial purchase commitments.
  • Customer concentration and the sustainability of demand from Lam Research and Applied Materials.
