  • Cash was $92,868 at year-end, up from $75,052; working capital was $101,559, up 21% from $83,959.
  • Total assets were $135,458 and stockholders’ equity was $128,313. Total liabilities were $7,145. The company reported no long-term debt and no interest expense.
  • Operating cash flow of $22,281 funded $639 of capital expenditures and $4,282 of dividends. No shares were repurchased in 2023; UTMD repurchased $2,495 of shares in 2022.
  • Management reported a 5% year-end total debt ratio. Contractual obligations totaled $4,533, primarily $4,152 of purchase commitments.

Changes, outlook and risks

  • Revenue mix and customer concentration: U.S. OEM sales fell 22.4%, largely due to reduced orders from the largest OEM customer, which represented $8.6 million, or 17% of consolidated revenue. OUS revenue rose 8.4% to $22,020, or 44% of sales. Neonatal sales declined, with supply and sterilization disruptions cited; blood-pressure-monitoring revenue also fell.
  • 2024 outlook: Management estimates revenue of $42–$43 million, down 14–16%; net income approximately 17% lower; operating income down 24–27%; and non-GAAP EBITDA of $19–$20 million. It expects gross margin could be about five percentage points lower and gross profit down 20–23%, reflecting reduced manufacturing overhead absorption, input costs and regulatory quality-assurance costs. These are management estimates, not guarantees.
  • Demand uncertainty: Management projects a further $5.5 million reduction in sales to the largest OEM customer in 2024, with a worst case of $6.5 million, and a $1.6 million reduction from its largest OUS distributor. It estimates the combined impact at about $7.1 million if other revenue is flat. The OEM customer has not provided visibility for the second half of 2024.
  • Litigation: UTMD is defending Filshie Clip migration lawsuits and is self-insured for product-liability risk. The filing reports 13 open cases at the end of January 2024 and also describes 18 cases filed across states, with five dismissed by that date. Management considers the claims without merit and expects the outcome not to materially affect consolidated results; legal costs may rise, and management budgeted $2,432 for 2024 litigation expense.
  • Other risks and plans: Foreign-currency movements, supply-chain and tariff disruption, hospital purchasing restrictions, regulatory burdens, and dependence on distributors and major customers may affect performance. UTMD plans to market high-pressure transducers directly to biopharmaceutical manufacturers in 2024, while continuing dividends and considering share repurchases or acquisitions.

Most important facts for investors to verify

  • Whether the largest OEM customer’s projected order reductions and the distributor’s lower 2024 order translate into the forecast revenue decline.
  • Whether new direct biopharma transducer sales can offset customer concentration and support manufacturing utilization.
  • Actual 2024 gross margin, operating income, cash generation and litigation spending compared with management’s estimates.
  • Developments in Filshie Clip litigation, including case count, outcomes, defense costs and any change in management’s materiality assessment.
  • Whether the strong cash position is maintained or used for dividends, repurchases, investment or acquisitions.
