Vir Biotechnology, Inc. — Q2 2020 Form 10-Q
Reporting period: Three and six months ended June 30, 2020; unaudited consolidated results. Vir is a clinical-stage immunology company developing treatments and preventives for infectious diseases. It had no approved products and generated no product sales revenue.
Financial results and liquidity
| Metric | Q2 2020 | Q2 2019 | Six months 2020 | Six months 2019 |
|---|---|---|---|---|
| Revenue | $67.0 million | $2.0 million | $72.7 million | $5.7 million |
| Research and development expense | $79.7 million | $29.8 million | $144.6 million | $55.7 million |
| General and administrative expense | $16.4 million | $8.0 million | $29.0 million | $16.6 million |
| Net loss | $31.2 million | $33.9 million | $108.4 million | $62.6 million |
| Operating cash flow | Not separately reported | Not separately reported | $(59.0) million | $(53.8) million |
- Q2 revenue included $43.3 million recognized from the GSK antibody-program license and $22.7 million from Brii Bio’s exercise of its VIR-2218 China-territory option. These collaboration and license receipts—not product sales—drove the increase.
- At June 30, cash and cash equivalents were $371.8 million and short-term investments were $180.6 million; management reported $552.4 million in these resources excluding restricted cash. Total cash, cash equivalents and restricted cash were $384.0 million.
- In July, Vir raised $323.2 million net in a follow-on offering. Management said June 30 resources plus the offering proceeds were expected to fund operations for at least 12 months from issuance of the financial statements.
- Six-month investing cash flow was positive $114.8 million, largely reflecting investment maturities; financing cash flow was positive $205.4 million, principally from the GSK share issuance. Cash generation therefore did not reflect operating profitability.
- Vir reported no debt outstanding. Accumulated deficit was $476.9 million at June 30. No meaningful operating margin was reported; the company remained loss-making.
Changes versus prior comparable periods
- Q2 revenue rose by $64.9 million year over year, largely from the GSK and Brii Bio transactions. Six-month revenue increased by $67.0 million.
- R&D expense increased $49.8 million in Q2 and $89.0 million for the first half, reflecting COVID-19 program work and manufacturing, higher collaboration and license costs, clinical-trial start-up, and increased personnel.
- Despite much higher Q2 operating expenses, the quarterly net loss narrowed to $31.2 million from $33.9 million, aided by collaboration revenue. The six-month net loss widened to $108.4 million from $62.6 million.
- Q2 results included substantial non-cash fair-value charges: Humabs contingent consideration increased, and other expense included remeasurement of TomegaVax contingent consideration. Six-month operating cash flow use rose modestly despite the larger net loss, partly because of non-cash charges.
- Common shares outstanding increased from 107.6 million at December 31, 2019 to 117.7 million at June 30, 2020; the July follow-on added 8.2 million shares.
Outlook, developments and key risks
- Pipeline plans stated in the filing: VIR-7831 was planned to enter a Phase 2/3 COVID-19 trial in August 2020, with initial data anticipated before year-end; VIR-7832 was planned for a Phase 2 trial later in 2020; and preclinical work on VIR-2703 was expected to continue through year-end. These were plans, not guaranteed outcomes.
- For HBV, VIR-2218 was in Phase 2; the company reported initial data showing substantial, durable, dose-dependent HBsAg reductions and generally good tolerability. A combination trial with pegylated interferon-alpha had started, as had a Phase 1 trial of VIR-3434. VIR-2482 was in a Phase 1/2 influenza trial and described as generally well tolerated; a Phase 1 trial of HIV candidate VIR-1111 was planned for the second half of 2020.
- COVID-19 disruptions had delayed or could delay trial-site activation, enrollment, patient assessments, manufacturing, and other development timelines; Vir specifically reported delays to VIR-1111 and VIR-2482 trials. Management cautioned that the pandemic’s effects remained uncertain.
- Vir expects significant operating losses and higher R&D and G&A spending for the foreseeable future and said additional capital will be needed to complete development and commercialization. The stated 12-month runway does not remove that longer-term funding risk.
- Manufacturing commitments: The company disclosed approximately $362 million of reserved Samsung capacity and up to approximately $130 million for WuXi batches under earlier binding letters. These arrangements were subsequently assigned to GSKTSL and superseded by MSAs; Vir remained responsible for 72.5% of relevant costs and GSK for 27.5%, subject to terms and exceptions. Vir estimated its aggregate commitments under the Samsung and WuXi MSAs at approximately $482 million, excluding a possible approximately $100 million Biogen access fee. These are material obligations relative to liquidity and depend on manufacturing and program outcomes.
- Other notable items include a $10 million Humabs milestone payment following an HBV clinical milestone; a $15 million Alnylam milestone payment and 1,111,111 Alnylam milestone shares; and $35.4 million of contingent consideration at June 30. The filing describes significant estimation uncertainty in contingent-consideration valuations.
- COVID-19 antibody development carries competitive, regulatory, clinical, and execution risks. The filing highlights reliance on third-party manufacturers and CROs, possible pandemic-related supply and trial disruption, uncertain regulatory pathways, and the possibility that candidates may not prove safe, effective, approvable, or commercially successful.
Important facts for investors to verify
- Whether VIR-7831, VIR-7832, and other pipeline programs met the trial-start and data timelines described as planned, and what subsequent clinical results show.
- How the GSK license premium and Brii Bio option exercise affected reported revenue, and whether future collaboration revenue depends on milestones, sales, or cost-sharing arrangements.
- The current amount, timing, and enforceable allocation of Samsung, WuXi, and Biogen manufacturing commitments after assignment to GSKTSL and execution of the MSAs.
- Cash use, future financing needs, and whether the stated runway remains valid as clinical and manufacturing spending develops.
- The assumptions and future changes underlying Humabs and TomegaVax contingent consideration, and any additional milestone or royalty obligations under collaboration and license agreements.
- The effect of COVID-19 on trial enrollment, manufacturing supply, and development schedules; the filing provides no assurance that anticipated timelines will be achieved.
