VINCE HOLDING CORP. quarterly report, Q3 FY2014

VINCE HOLDING CORP. — Form 10-Q Summary

Reporting period: Quarter ended November 1, 2014 (the filing’s period; this differs from the request metadata “2013 Q3”). Unless otherwise stated, dollar figures below are in millions. Vince is a contemporary apparel brand selling through wholesale partners, retail stores and e-commerce. The non-Vince businesses were separated in November 2013, so the prior-year results include discontinued operations in reported net income and loss.

  • Sales channels: Third-quarter wholesale sales were $78.9 million, up 17.3%; direct-to-consumer sales were $24.0 million, up 30.2%. Comparable-store sales growth was 5.2% for the quarter and 7.4% for the nine-month period.
  • Cash flow and working capital: Nine-month operating cash flow benefited from earnings and noncash items, but inventory growth used $18.8 million of cash. Cash and cash equivalents fell to $0.034 million from $21.5 million at February 1, 2014. Investing outflows were $15.3 million, chiefly for store, shop-in-shop and office build-outs.
  • Debt and liquidity: At November 1, total debt was $122.5 million: $102.0 million term loan and $20.5 million revolver. The company had $21.9 million of revolver availability and $7.6 million of letters of credit outstanding. It reported compliance with financial covenants. Current assets were $98.1 million and current liabilities $41.9 million.
  • Other balance-sheet items: Total assets were $404.2 million and stockholders’ equity $60.7 million. Inventory was $52.7 million, versus $34.0 million at fiscal year-end. The Tax Receivable Agreement obligation was $172.1 million, including $3.2 million accrued and expected to be paid in the fourth quarter of 2014.

Changes versus the prior comparable period

  • Revenue and operating income increased in both the quarter and nine-month period. Management attributed improved gross margins primarily to supply-chain efficiencies and a higher sales mix from direct-to-consumer, international and licensing activity; higher promotions, markdowns and returns allowances partly offset the improvement.
  • Direct-to-consumer growth reflected new stores and e-commerce as well as comparable-store gains. Vince had 37 stores at quarter-end, compared with 27 a year earlier, and 2,408 wholesale doors, compared with 2,300.
  • SG&A dollars rose 6.8% in the quarter and 21.6% for nine months, including higher compensation, occupancy, marketing and depreciation costs. Prior-year public-company transition costs partly complicate the comparison.
  • Interest expense was $2.2 million in the quarter; the prior-year quarter had no continuing-operations interest expense. Nine-month interest expense declined 52.3% to $7.6 million, reflecting lower average debt balances.
  • Prior-year net income comparisons include losses from the now-separated non-Vince businesses: $18.8 million for the quarter and $43.1 million for nine months. Therefore, reported total net-income improvement is not solely a change in Vince’s ongoing business.

Outlook, risks and unusual items

  • The filing provides no specific financial guidance. Management described growth opportunities from expanding wholesale distribution, retail stores, product offerings and e-commerce, while noting the need for further investment in personnel, systems and distribution capabilities.
  • Key disclosed risks include changing consumer demand and confidence, competition, maintaining margins and brand strength, weather, store-growth execution and real-estate availability, international expansion, sourcing and cost increases, cybersecurity, key-personnel retention, litigation and economic or credit-market changes. Apparel sales are seasonal, so interim results may not indicate full-year performance.
  • Debt is variable-rate. Management estimated that a one-percentage-point rate increase would add approximately $1.2 million of annual interest expense at the November 1 debt balance. The company reported no material expected foreign-currency, commodity-price or inflation exposure.
  • On December 3, 2014, after quarter-end, the company made a further $7.0 million voluntary term-loan prepayment, partly funded by $3.7 million of revolver borrowings; term debt then stood at $95.0 million.
  • Management said routine legal proceedings were not expected to have a material adverse effect, while noting litigation uncertainty. Disclosure controls were assessed as effective, and the filing reported no material change in internal control over financial reporting.

Investor verification points

  • Confirm the filing period and distinguish continuing-operations performance from prior-year discontinued-operations losses.
  • Assess whether inventory growth, near-zero cash, revolver availability and seasonal working-capital needs leave sufficient liquidity.
  • Review debt covenants, variable-rate exposure, voluntary prepayments and the post-quarter-end transfer of borrowing from term debt to the revolver.
  • Examine the sustainability of margin gains against markdowns, returns, store expansion costs and rising SG&A.
  • Verify the timing and cash impact of the $172.1 million Tax Receivable Agreement obligation, including the expected 2014 payment.
