Aviation revenue increased 43% to $162.4 million, driven by Desser Aerospace, new distribution awards, expanded offerings and stronger commercial aerospace demand. Aviation operating income increased 42% to $22.3 million, with a 13.7% profit margin versus 13.8% in the prior-year quarter.

Fleet revenue increased 5% to $79.2 million and operating income increased 12% to $6.6 million. Commercial revenue rose 37%, while USPS-related revenue declined because of a transition to a new fleet management information system. Fleet profit margin improved to 8.4% from 7.8%.

Cash and cash equivalents were $10.6 million at March 31, 2024, compared with $7.8 million at December 31, 2023. Inventory increased to $521.2 million from $500.9 million, and receivables increased to $145.4 million from $128.0 million. Total assets were $1.34 billion.

Total debt was $481.6 million, including $300.0 million under the term loan and $184.9 million under the revolving facility. The weighted average interest rate on revolving borrowings was 8.54%, and the term loan rate was 8.18%. The company had $164.2 million of unused credit commitments and was in compliance with its debt covenants.

Material changes versus the prior comparable period

  • Revenue increased $53.0 million, primarily from a $49.1 million increase in Aviation and a $3.8 million increase in Fleet.
  • Operating income increased $7.4 million, although interest expense rose 54% to $9.2 million because of higher borrowings and interest rates.
  • Operating cash flow worsened by $30.4 million, primarily due to increased inventory purchases and working-capital requirements.
  • Investing cash flow was positive $33.4 million, including $41.1 million of proceeds from the Federal and Defense asset sale, compared with negative $14.6 million in the prior-year quarter.
  • The effective tax rate on continuing operations decreased to 19.3% from 24.8%, primarily because of excess tax deductions related to stock vesting.
  • Weighted average diluted shares increased to 15.9 million from 12.9 million, reflecting the company’s increased share count following prior-period activities.

Guidance, outlook, risks and unusual items

Management did not provide specific quantitative revenue or earnings guidance in the filing. Management expects existing cash, operating cash flow and available credit capacity to support operations, capital expenditures, dividends and other requirements over the next twelve months and thereafter for the foreseeable future.

In February 2024, VSE agreed to sell substantially all Federal and Defense assets for approximately $44.0 million. The company recorded a $12.7 million pretax loss on the sale, $2.5 million of transaction fees and other impairment charges. Discontinued operations produced an $18.7 million net loss in Q1 2024 versus $1.0 million of net income in Q1 2023. The sale supports management’s strategy to focus on higher-margin, higher-growth aftermarket distribution and MRO businesses.

VSE announced a strategic process concerning its Fleet segment, which could include a potential sale. No transaction or outcome is assured.

In April 2024, VSE completed the approximately $120.0 million acquisition of Turbine Controls, Inc., consisting of $110.0 million in cash and $10.0 million in VSE shares. The cash consideration was funded with cash on hand and additional revolving borrowings. VSE also amended its credit agreement to permit certain accounts receivable factoring arrangements.

Key risks include high leverage and variable-rate debt, exposure to interest-rate changes, substantial working-capital needs, integration and valuation risks related to acquisitions, dependence on government and commercial customers, USPS volume reductions, and potential claims or government audits. The filing states that no material changes occurred to previously disclosed risk factors and that no material legal proceedings were pending.

Investor verification points

  • Verify the final purchase accounting, financing impact and integration results for the Turbine Controls acquisition.
  • Monitor debt balances, interest expense, covenant compliance and available revolver capacity following the acquisition.
  • Assess whether Aviation growth and margins remain sustainable after the Desser Aerospace and Turbine Controls acquisitions.
  • Track the USPS program transition and the Fleet strategic review, including whether a sale or other strategic alternative is completed.
  • Reconcile reported consolidated net loss with continuing-operations earnings after the Federal and Defense divestiture.
  • Evaluate cash conversion, inventory growth and the company’s ability to reduce reliance on additional borrowings.
