The year-over-year reduction in net loss was substantially affected by lower stock-based compensation: $17.6 million versus $165.0 million. Material changes versus the prior comparable period
- Revenue declined 16%, primarily because COVID-19 testing volumes fell 61% and the company discontinued COVID-19 testing after March 31, 2022. Oncology test volumes increased 159%; women’s health volumes increased 23%, partly offset by lower average selling prices.
- Overall laboratory test volume fell to 151,264 from 237,729, but excluding COVID-19 tests, resulted volume increased 27%.
- Operating expenses fell notably, particularly stock-based compensation, while operating cash use increased to $81.5 million from $42.2 million. Adjusted EBITDA loss widened.
- Adoption of lease accounting guidance on January 1, 2022 added operating lease right-of-use assets of $39.2 million and lease liabilities of $42.2 million.
Outlook, management commentary, risks and unusual items
- Management stated that cash and cash equivalents were expected to fund operations for at least twelve months from the filing date. The filing cautions that forward-looking information generally excludes the impact of the GeneDx acquisition and related PIPE financing.
- On April 29, 2022, Sema4 acquired GeneDx for $150 million cash and 80 million shares, with up to $150 million in additional revenue-based milestone consideration. Concurrently, it raised $200 million gross by issuing 50 million shares in a private placement. These are subsequent events, not Q1 operating results.
- A May 2022 restructuring was expected to generate $5.4 million of expenses in Q2; $2.7 million of restructuring charges were recorded in Q1.
- Key risks include reimbursement and collections, competition, supplier concentration, regulatory and laboratory requirements, privacy and cybersecurity, and execution and integration of GeneDx. The filing also notes potential exposure to repayment of $2.8 million of deferred Employee Retention Credit proceeds; eligibility was under review.
- Disclosure controls were assessed as ineffective at March 31 because previously reported material weaknesses in financial reporting had not been fully remediated. Management nevertheless stated that the interim financial statements were fairly stated in all material respects.
- The company reported $19.4 million of noncancelable purchase commitments with remaining terms over one year. It reported no material legal proceedings as of March 31 or the financial statements’ issuance date.
