Genedx Holdings Corp. annual report, FY2021

Filing identity and reporting period

The supplied filing is Sema4 Holdings Corp.’s Form 10-K for the fiscal year ended December 31, 2021, filed March 14, 2022—not a GeneDx Holdings Corp. filing. Sema4 completed its business combination with CM Life Sciences on July 22, 2021; its shares trade as SMFR. The results below are for Sema4 and its consolidated subsidiaries.

Business context

Sema4 is a genomics diagnostics and health-intelligence company. Its diagnostic business focuses principally on Women’s Health and Oncology, alongside data and research services for health systems and biopharma partners. It reported more than 12 million de-identified clinical records and a data asset exceeding 47 petabytes. COVID-19 testing contributed substantially to test volumes in 2021, but the company announced it would discontinue that service by March 31, 2022.

Financial results

Amounts are in U.S. dollars; financial comparisons are for the years ended December 31. The 2020 and 2019 statements were restated for expense classification.

Women’s Health and Oncology test volumes increased 38% and 135%, respectively, year over year; revenue growth was partly offset by test mix and reduced reimbursement rates.

Liquidity, debt and obligations

At December 31, 2021, cash and cash equivalents were $400.6 million, restricted cash was $0.9 million, current assets were $483.5 million and current liabilities were $101.3 million. Long-term debt was $11.0 million and capital lease obligations totaled $21.8 million, of which $3.4 million was current. The company also disclosed $68.3 million of future operating lease payments, $65.6 million of capital lease payments before $43.7 million of imputed interest, and $23.1 million of purchase commitments.

A $125 million revolving credit facility with Silicon Valley Bank, maturing November 15, 2024, was undrawn at year-end. Management stated that available cash provided sufficient liquidity for at least 12 months from the filing date. Operating cash burn and continuing losses remain material considerations.

Material changes, outlook and risks

  • Revenue rose, but cost of services grew faster, and GAAP gross profit moved to a loss. Operating expenses also increased substantially, including research and development of $105.2 million, selling and marketing of $112.7 million, and general and administrative expenses of $206.0 million.
  • Stock-based compensation expense was $219.4 million in 2021, versus $120.2 million in 2020. The reported net loss was materially affected by the non-cash fair-value gain on warrant and earn-out liabilities; operating loss and adjusted EBITDA give different views of performance.
  • Management expects to concentrate resources on its core precision-medicine business after discontinuing COVID-19 testing. It stated it did not expect declines in other revenue streams during 2022. The filing provides no formal numerical revenue or profitability guidance.
  • On January 14, 2022, Sema4 agreed to acquire GeneDx, subject to closing conditions. Consideration includes $150 million cash, 80 million Sema4 shares and up to $150 million of revenue-based milestone payments. A concurrent $200 million private placement at $4 per share was expected to close substantially with the acquisition; the acquisition was expected in the first half of 2022. These were post-period proposed transactions, not completed year-end items.
  • Key risks include ongoing losses and cash burn; dependence on reimbursement and customer adoption; COVID-related changes in demand; competition; reliance on key laboratory and cloud-service suppliers; regulatory uncertainty for laboratory-developed tests; privacy and cybersecurity exposure; and execution and financing risks related to the GeneDx acquisition.
  • Financial reporting controls were not effective at year-end, and previously identified material weaknesses had not been fully remediated. The company also disclosed quarterly out-of-period adjustments and a classification restatement. The auditor’s opinion was unqualified on the financial statements, but the auditor did not audit internal control effectiveness.
  • The 2020 and 2019 annual statements were restated to move genetic-counseling costs from cost of services to selling and marketing; the reclassification did not change operating loss or net loss. The filing also deferred recognition of a $2.8 million 2020 Employee Retention Credit because eligibility was being reassessed. Sema4 recognized $5.6 million of 2021 Provider Relief Fund assistance as other income.

Important facts for investors to verify

  • Confirm the filing entity: this is Sema4 Holdings Corp., while the request names GeneDx Holdings Corp.
  • Review the audited statements and restatement disclosures, including the 2021 quarterly adjustments and the unresolved material weaknesses in financial controls.
  • Assess the sustainability of revenue excluding COVID-19 testing, reimbursement rates, test mix, gross margins and the growth in operating expenses and cash burn.
  • Track cash runway, capital lease and operating lease commitments, credit-facility covenants, and any need for additional financing.
  • Verify the GeneDx acquisition’s closing status, actual financing and share issuance, milestone terms, integration costs and resulting dilution.
  • Evaluate the effect of stock-based compensation and liability remeasurement on reported results, and distinguish GAAP results from management’s non-GAAP measures.
