Current assets were $782 million versus current liabilities of $1,885 million. Management said existing liquidity sources should support operations over the next fiscal year. The company reported a 5.32x lender-defined leverage ratio and compliance with debt covenants at September 30, 2014. Interest expense was $203 million; weighted-average debt interest rate was 5.6%.
Material changes and drivers
- Acquisitions: PLG contributed $322 million of FY2014 revenue, compared with $59 million in the three months included in FY2013. Excluding PLG, Recorded Music revenue declined $107 million, principally due to a lighter release schedule. Gold Typhoon was acquired in July 2014.
- Revenue mix: Digital revenue after eliminations rose 11% to $1,196 million, representing 40% of consolidated revenue versus 38%. Recorded Music streaming revenue grew $200 million overall ($150 million excluding PLG), while digital downloads fell $91 million overall. Physical revenue declined 9% to $822 million.
- Segments: Recorded Music revenue rose 6% to $2,526 million, but OIBDA declined to $267 million from $270 million. Music Publishing revenue rose 3% to $517 million and OIBDA increased 12% to $166 million, aided by a $9 million prior-period collection-society distribution and a $6 million reversal of an earnout accrual.
- Refinancing: WMG issued $275 million of 5.625% secured notes due 2022 and $660 million of 6.75% unsecured notes due 2022, using proceeds in part to retire $765 million of 11.5% notes due 2018. The refinancing reduced the weighted-average debt rate but generated a $141 million extinguishment loss, including premiums and financing costs.
Fourth-quarter context: For the three months ended September 30, 2014, revenue was $771 million, operating income $24 million and net loss attributable to WMG $26 million.
Outlook, risks, contingencies and unusual items
- Management expects continued expansion of digital distribution and artist-services/expanded-rights revenue, while noting uncertainty around the industry recovery, streaming economics and the pace of physical-sales decline. Artist services and expanded-rights represented approximately 11% of FY2014 total revenue.
- PLG integration was expected to generate approximately $70 million of cost savings and synergies; about $45 million had been realized by year-end. Restructuring charges were expected to total approximately $77 million, of which $72 million had been incurred. Remaining integration costs were expected through FY2015; management cautioned that savings may not be fully achieved.
- Key risks include high leverage and substantial interest obligations, music piracy, dependence on a small number of digital services, artist and release performance, foreign-exchange exposure, changing royalty regulation, and execution of PLG integration and IT-system upgrades. Goodwill and indefinite-lived intangible impairment tests found no impairment, but international Recorded Music and Music Publishing fair values exceeded carrying values by only 4% and 6%, respectively.
- A digital-download pricing class action remained in discovery; the company said potential loss could not be estimated. A separate artist royalty class settlement would make $11.5 million available, less fees and administration costs; final approval was pending as of the filing. A subsidiary previously agreed to a $1 million civil penalty in a COPPA settlement.
- Other notable items: PLG-related restructuring, professional and integration costs; a $38 million final working-capital adjustment paid to Universal in December 2014 and accrued in FY2014; and no cash dividends in FY2014, FY2013 or FY2012.
