Beyond Air, Inc. — Form 10-K Summary
Reporting period: Fiscal year ended March 31, 2021, compared with fiscal 2020. Although the request references “2020 Q4,” this filing reports a full fiscal year, not a standalone quarter. The audited financial statements received an unqualified opinion.
Business context
Beyond Air is a clinical-stage medical-device company developing LungFit, a system that generates inhaled nitric oxide from ambient air. Its main programs target persistent pulmonary hypertension of the newborn (PPHN), acute viral pneumonia including COVID-19, bronchiolitis, and nontuberculous mycobacteria (NTM) lung infection. It had no FDA-approved product and no product-sales revenue during the period.

License revenue was recognized under the Circassia agreement; it was not product-sales revenue. Product gross margin is therefore not meaningful. At March 31, 2021, current assets were $37.22 million and current liabilities were $3.80 million. Total liabilities were $10.06 million, including a $5.00 million facility loan at face value and a $0.56 million insurance-premium loan. The facility loan bears 10% stated interest (13.3% effective rate); repayment installments begin in 2023, with amounts due by March 2025.
Changes versus prior year
- License revenue declined by $0.52 million, primarily reflecting timing of performance-obligation recognition and PMA delays.
- R&D expense rose $1.97 million, mainly from PPHN development and NTM and acute viral pneumonia programs. G&A expense rose $1.59 million, principally due to salaries, benefits and insurance.
- Operating loss increased by $4.07 million and net loss by $2.93 million. FY2020 included a $2.08 million marketable-securities loss and a $0.52 million deemed warrant-modification dividend; FY2021 did not. Loss per share improved while weighted-average shares increased from 11.51 million to 18.01 million.
- Operating cash use increased by $4.39 million. Financing provided $30.33 million, chiefly from equity issuance and warrant exercises; year-end common shares outstanding rose to 21.83 million from 16.06 million.
Outlook, commentary and material risks
- Management estimated that cash, cash equivalents and restricted cash at March 31, 2021 would fund operations into the third fiscal quarter of 2022. The company expects to need additional capital; financing may dilute shareholders or may not be available on acceptable terms.
- The LungFit PH PMA for PPHN was submitted to the FDA on November 10, 2020. The company anticipated an FDA response toward the end of calendar Q3 2021 and, if approved, a U.S. launch in calendar Q4 2021. These are expectations, not assurances. EU CE marking was also anticipated around year-end 2021.
- COVID-19 caused supply-chain disruption and delayed development: the NTM trial was estimated to be 9–12 months behind schedule, and the bronchiolitis pivotal study was deferred to calendar Q4 2022. The company said the LungFit PH supply-chain issue had been remedied but warned further disruption could occur.
- Interim acute viral pneumonia results involved 19 patients and were described by management as safe and well tolerated with encouraging efficacy signals. The study was ongoing; the small interim sample does not establish efficacy. NTM interim data were anticipated in the second half of calendar 2021.
- A May 25, 2021 settlement with Circassia, after year-end, resolved claims and returned LungFit rights to Beyond Air. It requires $10.5 million in installments triggered by FDA approval, plus a 5% U.S. net-sales royalty beginning in post-approval year three, capped at $6 million in aggregate royalty payments.
- The Empery warrant dispute remained unresolved at filing. An adverse outcome could increase warrant shares and reduce the exercise price; the company disclosed potential material loss and dilution. Other major risks include regulatory approval, clinical-trial execution, reliance on third-party manufacturers, reimbursement and commercialization, and ongoing funding needs.
- Management reported effective disclosure controls and internal control over financial reporting as of March 31, 2021. The auditor did not provide an internal-control attestation.
Most important facts for investors to verify
- Current FDA review status and any change to the PPHN approval or launch timetable.
- Updated cash runway, burn rate, and actual use of ATM, Lincoln Park, and remaining facility-loan capacity, including resulting dilution.
- Settlement payment timing and royalty obligations to Circassia, plus any related milestones or royalties payable to other licensors.
- Final results and regulatory relevance of the acute viral pneumonia and NTM studies, and the revised bronchiolitis trial timeline.
- Disposition and financial or dilution effects of the Empery litigation and outstanding anti-dilution warrants.
- Manufacturing readiness, backup-supplier qualification, and whether COVID-related supply constraints or other operational delays recur.
