Financial results and liquidity
| Metric | 2015 | 2014 |
|---|---|---|
| Revenue | $27.8 million | $9.5 million |
| Research and development expense | $34.1 million | $18.5 million |
| General and administrative expense | $12.0 million | $7.5 million |
| Operating loss | $18.3 million | $16.5 million |
| Net loss | $17.6 million | $16.4 million |
| Net cash from (used in) operating activities | $26.7 million | $(21.4) million |
| Cash, cash equivalents and marketable securities at year-end | $193.3 million | $54.6 million |
| Working capital at year-end | $54.2 million | $51.6 million |
- Revenue increased by $18.3 million, primarily from the 2015 Amgen collaboration and Alexion and CSL milestones and licensing payments. Revenue included $16.6 million of research collaboration revenue, $6.0 million of milestone revenue and $5.2 million of licensing revenue.
- R&D expense rose by $15.6 million, principally from bispecific programs and expanded XmAb5871 development. G&A increased by $4.5 million, primarily due to compensation and legal costs.
- Operating cash flow was positive largely because of the $45 million Amgen upfront payment and partner milestone and option payments, including amounts recorded as deferred revenue. It should not be read as recurring operating profitability.
- Cash flow from investing activities was $(185.1) million, primarily reflecting purchases of marketable securities; financing activities provided $116.4 million, mainly from the March 2015 follow-on offering, which generated $115.2 million net proceeds.
- The balance sheet reports no outstanding debt at December 31, 2015. Total liabilities were $44.5 million, including $33.8 million of deferred revenue. Gross margin is not meaningful because the company had no product sales.
- Fourth-quarter revenue was $21.8 million, operating income $7.4 million and net income $7.8 million. This contrasts with losses in each of the first three quarters; the filing attributes the year’s revenue increase to collaboration and licensing activity, including recognition associated with the Amgen agreement.
Material developments and outlook
- Amgen: Xencor received a $45 million upfront payment under a September 2015 agreement covering its CD38 x CD3 candidate and five Amgen discovery programs. It recognized $13.75 million of the upfront payment in 2015 and reported $31.25 million as deferred revenue at year-end. Further payments depend on program delivery and future development, regulatory and sales milestones; royalties would depend on commercialization.
- Pipeline: XmAb5871 was in Phase 2 studies for IgG4-related disease and systemic lupus erythematosus; XmAb7195 was in Phase 1 development for asthma and allergic disease. Xencor planned to begin Phase 1 trials of the bispecific oncology candidates XmAb14045 and XmAb13676 in 2016. These were plans, not completed milestones.
- Management outlook: Xencor expected its existing cash, cash equivalents, marketable securities and certain potential milestone payments to fund operations into 2019. Management cautioned that estimates could prove wrong and said additional funding would be required to complete clinical development; milestone payments are uncertain.
- Clinical and execution risks: XmAb7195 trials observed dose-limiting transient thrombocytopenia and urticaria. XmAb5871 trials reported treatment-related serious adverse events, and immunogenicity was observed in 44% of subjects in an earlier trial. The filing emphasizes clinical, regulatory, manufacturing, enrollment, partner-dependence, competition and intellectual-property risks.
- Legal matter: A Delaware action concerning 2013 corporate acts was partially settled in December 2015; the court validated the challenged acts and approved a $950,000 plaintiff-counsel fee award. Xencor reported paying this award net of $187,500 in insurance proceeds. A remaining fiduciary-duty claim had no additional loss accrued because the company said the potential loss could not be estimated.
- Other notable items: The company reported a $516,000 unrealized loss on available-for-sale securities in other comprehensive loss. Management reported effective disclosure controls and internal control over financial reporting as of year-end; the auditor did not provide an internal-control attestation.
Investor facts to verify
- How much of the Amgen upfront payment and other deferred revenue will be recognized, and when; confirm delivery and acceptance conditions for the five discovery programs.
- Whether management’s stated funding runway into 2019 remains supportable under actual trial spending, milestone receipts and development timelines.
- Clinical progress and updated safety and efficacy data for XmAb5871 and XmAb7195, and whether the two planned bispecific trials began on schedule.
- Whether partner programs advance to milestones or commercialization; headline potential milestone totals are contingent, not assured revenue.
- Status and potential financial exposure of the remaining fiduciary-duty litigation claim, as well as manufacturing and intellectual-property risks identified in the filing.
