Material changes versus the prior comparable period

  • Sales excluding precious-metal content grew 0.8%, consisting of 1.2% internal growth and 0.6% acquisition growth, partly offset by a 1.0% negative foreign-currency translation impact.
  • Reported sales declined because precious-metal content fell 27.5%, primarily due to lower gold prices and reduced use of precious-metal dental alloys.
  • All Other Regions produced 6.6% constant-currency growth; U.S. growth was 1.0%, while Europe grew 0.2% and was affected by weakness in the CIS region.
  • Dental Consumable and Certain International Businesses increased sales 5.1% and operating income 8.1%. Healthcare and Emerging Markets increased sales 3.5% and operating income 55.1%. Dental Specialty and Laboratory sales and operating income each declined 1.9%.
  • Gross margin improved through favorable pricing, while SG&A as a percentage of sales excluding precious-metal content improved 40 basis points due to cost reductions and expense controls.
  • Restructuring and other costs declined to $11.1 million from $13.4 million, including $9.9 million of restructuring costs and $1.2 million of legal settlements.
  • Goodwill and indefinite-lived intangible-asset impairment testing produced no impairment charge, although certain reporting units remained sensitive to unfavorable changes in discount rates, cash flows or market conditions.
  • Accumulated other comprehensive loss increased substantially, largely because of foreign-currency translation losses and pension liability adjustments; total comprehensive loss attributable to DENTSPLY was $49.2 million versus comprehensive income of $388.3 million in 2013.

Guidance, outlook, management commentary and risks

  • Management assumes long-term dental-market growth of approximately 3% to 6% annually and targets growth modestly above the underlying market.
  • Management targets adjusted operating margins of 20% over time through restructuring, cost reduction, operating consolidation, technology and process improvements; achievement is not assured.
  • The Company proposed reorganizing portions of its German laboratory business, with greater emphasis on innovative prosthetics materials and less emphasis on CAD/CAM equipment. Labor consultations were ongoing.
  • Management anticipated a significant negative foreign-exchange impact in 2015 from euro weakness and Swiss-franc movements.
  • Key risks include foreign-exchange volatility, economic and reimbursement changes, regulatory and product-approval requirements, intense competition, dependence on selected suppliers and single manufacturing sites, acquisition and integration execution, cybersecurity and technology disruption, goodwill impairment, litigation, tax matters and debt-covenant or refinancing risk.
  • Pending matters included Cavitron-related class-action litigation, a False Claims Act qui tam action and continuing inquiries from U.S. authorities regarding export controls and economic sanctions. Management stated that losses were not probable for the disclosed litigation and that a reasonable loss range could not be estimated.
  • The Company was required to purchase the remaining shares of a noncontrolling interest in 2015 for an expected price of approximately €73.5 million, subject to adjustment.
  • The Company held $56.8 million of precious metals on consignment, creating liquidity and inventory-valuation exposure if comparable facilities become unavailable.

Most important facts for investors to verify

  • Reconcile reported sales growth with the non-GAAP sales measure excluding precious-metal content and assess the effect of currency translation and metal prices.
  • Evaluate whether margin expansion and the 20% adjusted-margin target are sustainable after excluding restructuring, amortization and other non-GAAP items.
  • Confirm the timing and funding of the $109.8 million of 2015 debt maturities and the approximately €73.5 million noncontrolling-interest purchase.
  • Review foreign-exchange sensitivity, particularly the Company’s stated expectation of a material 2015 impact.
  • Assess exposure to the German laboratory restructuring, CIS weakness, supplier concentration, regulatory inquiries and pending litigation.
  • Review goodwill sensitivity disclosures for the reporting units whose estimated fair values could become impaired under adverse operating or valuation assumptions.
