Filing and reporting period
Issuer in the filing: Inpixon (Nasdaq: INPX), not XTI Aerospace, Inc. This is Inpixon’s Form 10-K for the fiscal year ended December 31, 2020—not a stand-alone fourth-quarter report. The filing presents annual results and does not provide a clear set of Q4-only financial metrics.
Inpixon sells indoor positioning, mapping, real-time location and analytics products to business and government customers, alongside publishing software and scientific analytics products. Its 2020 acquisitions and licensing transactions expanded the portfolio, including Nanotron, on-device “blue-dot” technology and the SYSTAT/SigmaPlot software suite.
Financial performance and liquidity
| Metric | FY 2020 | FY 2019 |
|---|---|---|
| Revenue | $9.3 million | $6.3 million |
| Gross profit / margin | $6.7 million / 72% | $4.7 million / 74% |
| Operating expenses | $30.5 million | $25.5 million |
| Operating loss | $23.8 million | $20.8 million |
| Net loss | $29.2 million | $34.0 million |
| Adjusted EBITDA loss (non-GAAP) | $17.1 million | $11.1 million |
| Net cash used in operating activities | $20.6 million | $10.7 million |
Revenue rose 48%, attributed to about $1.2 million from the Systat license, $0.9 million from Nanotron and $0.9 million from existing product lines. Gross margin declined, primarily due to lower Nanotron margins. Operating loss widened as expenses increased; the smaller net loss mainly reflected a lower valuation allowance charge on the Sysorex note receivable. Adjusted EBITDA loss worsened despite the reduced GAAP net loss.
At year-end, cash was $18.0 million, short-term investments were $8.0 million, and working capital was positive by $18.2 million, versus a $7.0 million deficit a year earlier. Total assets were $59.0 million and total liabilities $14.3 million. Short-term debt was $5.4 million carrying value at December 31. The March 2020 note carried 10% interest and was later extended to March 18, 2022; the filing reports approximately $4.9 million of principal and interest outstanding as of March 23, 2021.
Financing was significant: the company raised $46.1 million net through its 2020 at-the-market equity program and $9.2 million net in a November 2020 registered offering. After year-end, it reported approximately $77.2 million net from additional offerings and warrant exercises. Share count increased substantially, including from equity sales and shares issued to extinguish debt.
Changes, outlook and material risks
- Growth through acquisitions: Nanotron was acquired for an initially stated $8.7 million cash purchase price; the Ten Degrees technology acquisition included $1.5 million cash and 480,000 shares. The Systat license contributed revenue, with a portion of consideration settled by assigning rights to amounts owed under the related-party Sysorex note.
- Management outlook: Management expected continued growth in Indoor Intelligence products in 2021 and anticipated improving sales cycles as customers move beyond early adoption. It also described planned investment in AI and machine learning, 5G-related positioning, augmented reality and app capabilities. These are expectations, not assured results.
- Liquidity caveat: Management said available funds and budgeted cash flows were expected to support operations for 12 months from the financial statements’ issuance date. The filing also says revenues were not sufficient to fund operations and describes continued reliance on financing and cost control. Operating cash use increased year over year.
- COVID-19: Supply constraints and component delays affected delivery times; onsite restrictions and customer uncertainty delayed projects and orders. The continuing effect was described as uncertain.
- Customer concentration: The top three customers represented about 43% of 2020 gross revenue, versus 66% in 2019; one customer represented 26%, versus 42%. Loss of a major customer could materially affect results.
- Related-party and valuation exposure: The Sysorex note is a related-party receivable involving the CEO’s board relationship with Sysorex. The filing reports a full valuation allowance and uncertainty about collection; amounts assigned to Systat also affect Inpixon’s repayment priority. A separate $2.5 million investment in Cardinal Venture Holdings involved a CEO-related interest, and Inpixon had no general voting or management rights.
- Other risks: Persistent losses, future financing needs and dilution; integration and impairment risks from acquisitions; data privacy, cybersecurity and regulatory requirements; competition and long sales cycles; and Nasdaq listing compliance. The company reported that previously identified material weakness in internal control over financial reporting was remediated and management deemed controls effective at year-end.
The auditor issued an unmodified opinion on the financial statements. The audit highlighted valuation of intangible assets acquired in 2020 as a critical audit matter. No material pending legal proceedings were disclosed, apart from ordinary routine litigation.
Investor verification priorities
- Confirm the issuer and period: the supplied filing is Inpixon’s FY 2020 10-K, not an XTI Aerospace filing or a Q4-only report.
- Reconcile post-year-end financing proceeds, warrant exercises, outstanding warrants and the resulting diluted share count.
- Review the March 2020 note’s extended maturity, repayment/redemption terms, interest and balance, and assess cash runway against ongoing operating cash burn.
- Assess collectability and accounting for the Sysorex note and related-party receivable, including the valuation allowance and Systat assignments.
- Check customer concentration, renewal and project pipeline, and whether revenue growth translates into improved margins and cash generation.
- Review Nanotron and other acquisition integration, preliminary purchase-price valuations, and future impairment exposure; also examine the Cardinal Venture investment’s governance and related-party terms.
