Q2 revenue increased 117% year over year, while H1 revenue increased 91%. Marketplace and service revenue rose 119% in Q2 and 95% in H1, primarily from higher transaction volume, stronger used-vehicle demand, higher vehicle values, and greater transportation, data, and other service revenue. Customer assurance revenue increased 104% in Q2 and 70% in H1, mainly from Go Green assurance offerings.

Operating expenses totaled $106.7 million in Q2, or 110% of revenue, and $192.9 million in H1, or 116% of revenue. Q2 marketplace and service cost of revenue increased to 44% of revenue from 34% in the prior-year quarter, while operations and technology improved to 24% from 31% and selling, general and administrative expenses increased to 28% from 16%. The filing does not present a GAAP gross margin subtotal.

Net cash provided by operating activities was $72.8 million in H1 2021 versus cash used of $6.1 million in H1 2020. The 2021 inflow was substantially affected by working-capital movements, including a $215.3 million increase in accounts payable that more than offset a $131.5 million increase in trade receivables. Investing cash flow was $(24.4) million, including $18.2 million of finance-receivable growth, $4.6 million of capitalized software, and $1.7 million of property and equipment purchases.

Cash and cash equivalents were $664.3 million at June 30, 2021, compared with $233.7 million at December 31, 2020. The increase primarily reflected $385.0 million of net IPO proceeds and operating cash flow. Long-term debt was $0.5 million, down from $4.8 million at year-end. The revolving credit facility has a $50.0 million maximum principal amount, $49.5 million unused availability at quarter-end, a stated interest rate of LIBOR plus 3.75%, and maturity in June 2024. ACV was in compliance with its covenants.

Material Changes Versus the Prior Comparable Period

  • Marketplace Units increased 74% in Q2 and 65% in H1; Marketplace GMV increased to $2.1 billion in Q2 and $3.4 billion in H1.
  • Revenue growth substantially outpaced expense growth in H1, reducing the net loss by $4.9 million year over year despite continued investment in personnel, technology, sales, and marketing.
  • Stock-based compensation increased to $6.6 million in H1 from $3.1 million. Approximately $61.9 million of future compensation expense remained for unvested options and restricted stock units at June 30.
  • The IPO converted all outstanding convertible preferred stock into Class B common stock and established a dual-class structure. Class B shares carry ten votes per share; Class A shares carry one vote per share.
  • The company amended its revolving facility on June 25, 2021, reducing the outstanding balance and extending the maturity date to June 25, 2024.
  • On July 12, 2021, after quarter-end, ACV acquired Max Digital LLC for approximately $61.2 million in cash. Purchase accounting was not finalized at the filing date.

Guidance, Outlook, Risks, Contingencies, and Unusual Items

No specific revenue, earnings, or profitability guidance is provided in the filing. Management expects continued investment in sales, marketing, personnel, technology, transportation, and new products; these investments may delay profitability. Management expects Adjusted EBITDA to fluctuate in the near term and improve over the long term as scale and operating efficiencies develop.

  • Management states that cash and cash flow from operations should support working capital and capital expenditures for at least the next 12 months, but additional financing may be required for expansion, acquisitions, or unforeseen needs.
  • Results remain sensitive to used-vehicle supply and prices, dealer demand, seasonal volume, customer retention, competition from traditional and digital auctions, and broader automotive conditions.
  • COVID-19 effects remain uncertain. The filing notes that 2020 comparisons benefited from a rebound in online transactions and elevated used-vehicle demand after the initial pandemic disruption.
  • ACV bears vehicle settlement, inspection, assurance, fraud, transportation, credit, and customer-claim risks. Outstanding vehicle-condition guarantees covered vehicle sale prices totaling $237.5 million at June 30, with a related liability of $1.4 million.
  • A putative antitrust class action filed in March 2021 was amended in July 2021 to add allegations and defendants, including the CEO. The company cannot estimate a potential loss but believes the matter will not materially affect its consolidated financial position.
  • The company previously identified a material weakness in internal control over financial reporting related to revenue recognition and stock-based compensation. Management reported that disclosure controls were effective as of June 30, 2021, while noting that additional weaknesses could arise.
  • Class B holders collectively controlled approximately 96.6% of voting power at June 30, 2021, limiting Class A holders’ influence over corporate matters.
  • Lock-up restrictions on substantial pre-IPO holdings were scheduled to expire or partially release in 2021, creating potential future selling and dilution pressure.

Facts Investors Should Verify

  • Whether transaction volume, Marketplace GMV, and revenue growth remain durable as used-vehicle supply, pricing, and pandemic-related comparisons normalize.
  • Whether transportation and assurance costs remain controlled as volume scales, particularly given the Q2 increase in marketplace service costs as a percentage of revenue.
  • Whether operating cash flow remains positive after normalizing for marketplace float and unusually favorable accounts-payable timing.
  • The final purchase-price allocation, integration costs, and financial contribution of the Max Digital acquisition.
  • Progress toward sustained profitability and the effect of continued stock-based compensation and equity issuance on per-share economics.
  • Developments and potential exposure in the antitrust litigation, vehicle-condition guarantees, credit losses, and fraud or settlement claims.
  • Remediation of the previously identified internal-control weakness and comparability implications of the company’s emerging-growth-company accounting elections.
