Segment performance
- Performance Chemicals: Sales of $1.610 billion, up 44%; adjusted EBITDA of $535.5 million, up 75%. Growth was driven primarily by Rockwood, stronger Performance Catalyst Solutions volumes and favorable bromine pricing. Lithium sales were $508.8 million.
- Refining Solutions: Sales of $729.3 million, down 14%; adjusted EBITDA of $197.6 million, down 23%. Lower Clean Fuels Technologies volumes and unfavorable pricing and mix outweighed higher Heavy Oil Upgrading volumes.
- Chemetall Surface Treatment: Sales of $824.9 million and adjusted EBITDA of $202.0 million, reflecting the Rockwood acquisition.
- All Other: Sales of $471.4 million, broadly unchanged; adjusted EBITDA declined 27% to $54.0 million, primarily because of weaker Fine Chemistry Services volumes and currency effects.
Cash flow, debt and liquidity
- Cash and cash equivalents declined to $213.7 million from $2.490 billion, largely because of acquisition funding.
- 2015 investing cash outflows were $2.161 billion, including $2.052 billion for Rockwood and $227.6 million of capital expenditures.
- Total debt was $3.852 billion, including $677.3 million due within one year and $3.175 billion classified as noncurrent. Commercial paper outstanding was $351.3 million.
- The Company had no borrowings under its $1.0 billion revolving credit facility and reported approximately $648.7 million of availability under the commercial paper program and revolving facility, subject to covenants.
- Albemarle expected approximately $230 million of 2016 capital expenditures and approximately $13 million of required 2016 pension contributions, excluding possible voluntary contributions.
- Management stated that cash on hand, operating cash flow, divestiture proceeds and borrowing capacity should fund operations, debt service, capital expenditures, pensions and dividends. Deleveraging and Rockwood integration were identified as priorities.
Material changes, outlook and unusual items
- Effective January 1, 2016, Performance Chemicals was to be divided into Bromine Specialties and Lithium and Advanced Materials, with the latter including Lithium, Performance Catalyst Solutions and Curatives.
- Management expected 2016 Bromine sales and profitability to face pressure from weaker offshore drilling demand and the expiration of a methyl bromide supply agreement. Lithium was expected to grow strongly, particularly in battery-grade applications, while Refining Solutions faced near-term uncertainty from oil prices and refinery catalyst change-out timing.
- Albemarle completed the sale of Tribotecc on January 4, 2016 for approximately $137 million of net proceeds and the sale of its minerals-based flame retardants and specialty chemicals businesses on February 1, 2016 for approximately $187 million, subject to post-closing adjustments. Proceeds were intended to support debt repayment.
- As of February 19, 2016, the Company had repaid the $300 million 364-day term loan and approximately $31 million of the five-year term loan.
- Key risks include Rockwood integration and realization of synergies, substantial leverage and variable-rate debt, raw-material and energy-cost volatility, foreign-currency exposure, cyclical customer markets, environmental and product regulation, lithium and bromine resource access, pension funding, tax audits, litigation, cybersecurity and chemical manufacturing hazards.
- Environmental liabilities recorded at year-end were approximately $35.3 million; management estimated reasonably possible additional remediation costs of up to approximately $18 million before tax. The filing states these matters were not expected to be material annually, but could affect a particular quarter.
Most important facts for investors to verify
- Whether lithium demand, pricing and new capacity support the expected growth in Lithium and Advanced Materials.
- Progress on Rockwood integration, realized synergies and remaining acquisition-related costs, estimated at approximately $60 million through 2016.
- Debt reduction following the 2016 divestitures, commercial paper refinancing needs and compliance with leverage covenants.
- The sustainability of 2015 earnings after excluding pension actuarial gains, discrete tax benefits, foreign-currency gains and other acquisition-related items.
- Refining Solutions recovery, including Clean Fuels Technologies catalyst change-outs, crude slate trends and oil-price effects.
- Exposure to environmental remediation, tax uncertainties, pension obligations and regulatory restrictions affecting brominated products and other chemicals.
- Management’s expected 2016 effective tax rate of approximately 23.0%, which remains subject to geographic earnings mix and tax-law changes.
