Alta Equipment Group Inc. — FY 2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023; comparison with fiscal 2022. Dollar amounts are in millions unless noted.
Business context
Alta sells, rents, and services material-handling, construction, and environmental-processing equipment through dealership locations in the U.S. and Canada. Its three reportable segments are Material Handling, Construction Equipment, and Master Distribution. Parts and service provide recurring aftermarket revenue, while equipment sales and rentals expand the equipment base in its territories.

Revenue increased across equipment sales, parts, service, and rentals; rental-equipment sales declined 3.2%. New and used equipment sales rose 25.5%, reflecting improved OEM availability, strong demand, pricing, and acquisitions. Parts and service revenue increased 18.5% and 16.8%, respectively. The Construction Equipment segment generated $1,124.7 of revenue, Material Handling $681.5, and Master Distribution $83.8.
Operating income improved, but higher interest expense and other costs weighed on bottom-line results. Total other expense increased to $51.9 from $30.2, including $8.4 of new-equipment floor-plan interest and $48.6 of other interest expense, partly offset by $5.1 of other income. The $6.4 income-tax benefit included an $8.8 benefit from releasing a valuation allowance; 2022 had a $1.3 tax provision.
Cash, debt, and liquidity
- Cash was $31.0 at year-end, versus $2.7 a year earlier. Current assets were $838.0 and current liabilities $635.1.
- Operating cash flow was $63.8; investing activities used $122.8, including acquisitions and equipment/property purchases; financing activities provided $87.3, primarily through net line-of-credit borrowings.
- Inventory rose to $530.7 from $399.7. Management cited $286.3 of inventory purchases in operating cash-flow movements, including $180.2 transferred to the rental fleet. Rental-fleet capital expenditures were approximately $242.4, partly offset by $128.9 of proceeds from rental-equipment sales.
- At year-end, borrowings were $317.5 under the ABL facility and $397.5 under floor-plan facilities. Senior secured second-lien notes had $315.0 principal outstanding and mature in 2026; their effective rate was 5.93%. The ABL balance and notes have stated principal maturities in 2025 and 2026, respectively.
- Available borrowings under the revolving line and floor plans were reported as $187.8. The company said it was in compliance with debt covenants and believed cash, operating cash flow, and available borrowing capacity would meet foreseeable liquidity needs.
- Variable-rate debt creates material rate exposure: a one-percentage-point increase was estimated to reduce annual pretax earnings by $5.1, or $3.2 after the interest-rate-cap impact.
Material changes and notable items
- Alta acquired Burris and Ault in the fourth quarter of 2023, adding Illinois construction/turf operations and Canadian crushing-and-screening distribution, respectively; it also acquired M&G Materials Handling and Battery Shop of New England. The acquisitions contributed to revenue growth and were substantially debt-funded.
- OEM supply constraints eased, allowing higher equipment sales and rental-fleet replenishment. Management reported broad-based demand in 2023 but noted growing cycle concerns later in the year.
- Gross margin increased modestly overall. Higher rental-fleet depreciation pressured rental margins, while improved parts, service, and rental-equipment-sale margins supported results.
- Common dividends paid rose to $7.6 from $3.7; preferred dividends were $3.0 in both years. The preferred stock carries a 10% cumulative dividend. No repurchases were made under the $12.5 share-repurchase authorization.
- A prior-year material weakness in controls over sales-process review and authorization was reported as remediated at December 31, 2023. Management and the auditor concluded internal control over financial reporting was effective; the auditor issued unqualified opinions on the financial statements and controls.
Outlook, risks, and contingencies
Alta gave no quantified financial guidance. Management described itself as optimistic heading into 2024, citing resilient end markets, infrastructure activity, and the company’s business model, while identifying high borrowing costs, tight lending, inflation, supply-chain disruption, geopolitical tensions, and weaker industrial activity as uncertainties. Management expects its hydrogen production plant to become operational in 2024 and is pursuing commercial electric-vehicle distribution and service opportunities; both initiatives carry execution and adoption risks.
- Key risks include economic and construction-cycle downturns, customer credit availability, equipment resale values, OEM concentration and supply, interest rates, technician recruitment and labor relations, acquisition integration, and cybersecurity. Five major OEMs supplied approximately 47% of equipment, rental fleet, and replacement-parts purchases in 2023.
- Approximately 630 employees were covered by collective bargaining agreements. One cited pension plan was in the red zone with a rehabilitation plan implemented; company contributions to multiemployer pension plans totaled $5.9 in 2023.
- Management reported no material litigation expected to affect the financial statements after insurance. Guarantee exposure was described as not material, and no accrual was recorded. Outstanding letters of credit were $9.0 and reduce ABL availability.
- Goodwill was $76.7 and other intangible assets $66.3; annual impairment testing found no impairment. The 2023 tax benefit and deferred-tax-asset valuation-allowance release are significant items to distinguish from recurring operating performance.
- Executives held an indirect minority interest in OneH2; Alta purchased $0.4 of hydrogen fuel from OneH2 in 2023 and paid it $1.1 toward development of the hydrogen plant.
Important facts for investors to verify
- Reconcile reported growth with organic growth and acquisition contributions, and assess whether equipment and aftermarket demand can be sustained.
- Review debt availability, borrowing-base capacity, covenant headroom, floating-rate exposure, and the 2025 ABL and 2026 note maturities.
- Track inventory levels, rental-fleet utilization and depreciation, used-equipment resale values, and cash conversion given substantial fleet and inventory investment.
- Assess whether earnings excluding the discrete $8.8 valuation-allowance release and acquisition-related effects support recurring profitability and dividend capacity.
- Monitor integration of the 2023 acquisitions, the economics and execution of the hydrogen/e-mobility initiatives, and any updates to the prior internal-control remediation.
