  • Investment banking revenue was HK$597.1m, up 58.7%; financial advisory fees made up 95.1% of that segment’s revenue. Asset management revenue fell 63.9% to HK$83.4m, reflecting expired agreements and more competitive fee rates. AUM was broadly unchanged at HK$26.1bn.
  • Strategic investment revenue was HK$717.4m. Net fair-value gains on investments, stock loans and derivatives were HK$543.5m, up from HK$340.3m, and represented 38.9% of total revenue. These gains are valuation-sensitive and not equivalent to recurring fee revenue.
  • Profit attributable to ordinary shareholders was HK$1,096.5m; holders of perpetual securities were allocated HK$125.7m of profit. No conventional operating-margin or EBITDA measure is presented.
  • Current assets were HK$3.886bn and current liabilities HK$772.2m. Cash was HK$526.2m, while HK$2.145bn was due from the immediate holding company. Management stated that available cash and anticipated operating cash flows should cover requirements for at least 12 months.
  • Bank borrowings were HK$388.9m, unsecured and repayable within one year or on demand, with an average interest rate of 2.1%. The convertible bond liability was HK$112.0m at year-end; it converted in January 2022. Perpetual securities of HK$1.771bn are classified as equity, not liabilities. FY2021 finance costs declined 40.4% to HK$12.8m.

Material changes and unusual items

  • The company repurchased 69.1m Class B shares from its controlling shareholder for HK$5.0bn, recorded as treasury shares and settled against balances due from the shareholder. Total equity declined from HK$9.724bn to HK$5.789bn; total assets fell from HK$10.526bn to HK$6.687bn.
  • Cash flow from operations fell substantially despite higher profit, in part because reported investment gains are largely non-cash. Investing activities used HK$358.7m, mainly involving advances to the immediate holding company; financing activities used HK$6.7m.
  • FY2021 tax expense was HK$109.3m, versus a HK$137.5m tax credit in 2020. The prior-year credit included reversal of HK$242.9m of deferred tax liabilities after certain investment gains were assessed as capital in nature.
  • Related-party exposure was material: HK$545.2m of FY2021 fair-value gains arose from investments in related parties; the group also reported HK$116.0m of interest income from its immediate holding company. One customer generated 19.7% of FY2021 revenue.
  • After year-end, the company completed a US$50m share placement and acquired further AMTD Digital shares, making it a consolidated subsidiary. The filing gives consideration as approximately US$992.6m in one section and US$992.8m in another; verify the final transaction value and accounting. A proposed acquisition of L’Officiel remained unclosed as of the report date.

Outlook, risks and contingencies

  • The filing gives no quantified earnings or revenue guidance. Management cited Greater Bay Area development as a potential industry opportunity, while warning that market conditions, deal activity and investment valuations can drive significant earnings volatility.
  • Investment portfolio fair values are concentrated: at year-end the portfolio was approximately HK$3.8bn, including exposures to Bank of Qingdao, AMTD Digital and AMTD Assets Alpha Group. Private and derivative holdings may be illiquid; Level 3 valuations rely on unobservable inputs.
  • The company says it has no material Mainland China operations and believes it did not require CSRC or CAC approval as of the report date. It nevertheless warns that evolving PRC rules, regulatory intervention, cybersecurity requirements or restrictions on cash transfers could affect its Hong Kong operations, securities listings or investors.
  • The auditor was identified by the PCAOB as subject to its inability-to-inspect determination. The filing warned of potential U.S. trading prohibition under the HFCAA if inspection restrictions persisted. SEC staff comments on the prior-year Form 20-F remained unresolved at the report date.
  • No material pending legal proceedings were identified. Separately, a subsidiary had received four HKCIB fines from 2016–2019 relating to legacy retail insurance-linked product advisory work; the filing says the business was discontinued and controls enhanced. Management reported effective disclosure controls and internal control over financial reporting at year-end.
  • No dividends had been paid by the holding company or its subsidiaries, and none were intended in the near term. Cash availability depends partly on subsidiaries and remains subject to regulatory, liquidity and related-party risks.

Important facts for investors to verify

  • Reconcile the reported AMTD Digital acquisition consideration (US$992.6m versus US$992.8m) and confirm the share issuance, ownership acquired and post-acquisition consolidation treatment.
  • Review the HK$5.0bn share repurchase, treasury-share accounting, and the remaining HK$2.145bn receivable from the controlling shareholder, including settlement terms and credit exposure.
  • Assess the sustainability of earnings excluding fair-value gains, related-party gains and tax effects; compare operating cash generation with reported profit.
  • Inspect portfolio concentration, Level 3 assumptions, derivative counterparty collateral and liquidity, and the valuation of private-company investments.
  • Confirm current auditor/PCAOB inspection status, HFCAA implications, PRC regulatory requirements, and the status of outstanding SEC staff comments.
