ASE Technology Holding Co., Ltd. — Form 20-F summary
Business context and reporting period
This is an annual report for the fiscal year ended December 31, 2018, not a standalone fourth-quarter filing. ASE Technology Holding (ASEH) provides semiconductor packaging and testing, interconnect materials, and electronic manufacturing services (EMS). Financial statements are prepared under IFRS and reported in New Taiwan dollars (NT$).
ASEH was formed on April 30, 2018, when ASE and SPIL became wholly owned subsidiaries. The reported 2018 results combine ASE’s predecessor-year results with SPIL’s results from April 30 through year-end; comparisons with 2017 are therefore not fully like-for-like.

Investing activities used NT$129,542.3 million, including NT$95,241.9 million of net cash for subsidiary acquisitions. Financing activities provided NT$83,111.4 million, principally reflecting net borrowing proceeds. Operating cash flow less reported capital expenditures was approximately NT$9,688 million; this is a simple derived measure, not company-reported free cash flow.
Fourth-quarter and year-over-year changes
Fourth-quarter 2018 revenue was NT$114,028.3 million and gross profit was NT$18,684.4 million, for a 16.4% gross margin. Fourth-quarter 2017 revenue was NT$83,986.0 million and gross profit was NT$14,793.8 million, for a 17.6% margin. The reported quarterly table does not provide a clear fourth-quarter net profit or cash-flow value. The quarter-to-quarter comparison is affected by the April 2018 SPIL combination.
For the full year, packaging revenue rose 41.3%, testing revenue 37.3%, and EMS revenue 13.4%. Management attributed revenue growth primarily to the SPIL acquisition, higher demand for advanced packaging products, increased testing volume, and outsourced consumer-product orders. Gross margin fell mainly because of purchase price allocation (PPA) expenses and a larger contribution from lower-margin EMS. Operating costs included NT$3,212.7 million of acquisition-related PPA depreciation, amortization, and rental expenses; reported operating profit also benefited from higher revenue.
Outlook, risks, contingencies, and unusual items
- Outlook and liquidity: No quantified earnings or revenue guidance is provided. Management expected cash, marketable securities, operating cash flow, and available credit lines to cover capital expenditures, working capital, debt and lease obligations, and other needs for at least 12 months. Capital spending may vary with market conditions and expansion plans.
- Investment and funding: Year-end capital expenditure commitments were approximately NT$17,039.5 million, with NT$2,339.3 million paid. The company had NT$219,911.7 million in unused credit lines. It also disclosed a board-approved proposal for up to NT$3,000 million of new shares in March 2019 and subsequent bond issuance plans.
- Acquisition and comparability: SPIL’s acquisition added goodwill of NT$39,990.2 million and identifiable intangible assets; year-end goodwill totaled NT$49,974.4 million. A NT$7,421.4 million gain from remeasuring the previously held SPIL investment supported non-operating results. China’s 24-month hold-separate condition and potential further antitrust restrictions could impede integration or expected synergies.
- Other unusual items: Net foreign-exchange results shifted from gains of NT$3,502.6 million in 2017 to a loss of NT$1,015.6 million in 2018. The company recorded a NT$521.0 million impairment on its DECA investment. Adoption of IFRS 9 and IFRS 15 was reported as having no material overall impact, though IFRS 15 changed the timing of recognition for certain packaging and testing revenue.
- Key risks: Semiconductor cyclicality, pricing pressure, high fixed costs and utilization sensitivity, customer concentration (the five largest customers generated 46.2% of 2018 revenue), foreign-exchange and interest-rate exposure, and dependence on raw-material and equipment supply. The filing also highlights Taiwan–China and trade tensions, environmental compliance, and natural-disaster and water-supply risks.
- Contingencies and governance: A Taiwanese securities proceeding concerning COO Tien Wu and a civil action seeking his removal remained unresolved in the report. In the K7 wastewater matter, the Supreme Administrative Court ordered a refund of the NT$102.0 million administrative fine; a separate criminal conviction was overturned and became final. Management and the auditors concluded internal control over financial reporting was effective at year-end.
Important facts for investors to verify
- Separate acquisition-driven growth from underlying organic growth, particularly for the post-April 30 SPIL consolidation and fourth-quarter comparisons.
- Reconcile total debt, borrowing maturities, interest costs, covenant headroom, and the use of acquisition-related credit facilities.
- Assess whether operating cash generation can sustain elevated capital expenditures and meet contractual obligations without additional borrowing or equity issuance.
- Track gross-margin recovery, capacity utilization, PPA amortization, and the relative profitability of packaging, testing, and EMS.
- Monitor the SPIL hold-separate requirements and antitrust developments, the Tien Wu proceedings, environmental matters, and customer concentration.
- Confirm the status and approval of the proposed NT$2.50-per-share dividend and subsequent financing actions disclosed after year-end.
