Atlasclear Holdings, Inc. annual report, FY2023

AtlasClear Holdings, Inc. — FY2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023. The filing was signed April 16, 2024. The financial statements are those of Quantum FinTech Acquisition Corporation, the pre-combination SPAC—not operating results of the post-combination AtlasClear Holdings. The business combination closed February 9, 2024, after the reporting period.

Business context and reporting period

AtlasClear aims to combine broker-dealer clearing, custody, banking and financial-technology services for financial-services firms. Wilson-Davis, a correspondent-clearing broker-dealer, was acquired before the business combination. The proposed Commercial Bancorp acquisition remained pending, and AtlasClear entered a post-year-end agreement for Pacsquare to develop and deliver a trading and clearing platform. The 10-K does not provide combined AtlasClear financial statements or a full-year operating history for the combined company.

Financial performance, cash flow and liquidity

MetricFY2023FY2022
Operating revenueNone reportedNone reported
Net income$794,950$11,045,567
Operating and formation costs$2,737,871$3,024,231
Net cash used in operating activities$1,819,835$1,084,259
Cash at year-end$619,554$129,560
Marketable securities in trust$54,799,478$204,044,469

FY2023 net income included $3.09 million of trust investment income and an $829,853 settlement gain, partly offset by a $2.74 million operating loss and $726,038 income-tax provision. FY2022 net income included large non-cash fair-value gains on warrants and a PIPE derivative. Accordingly, earnings and year-over-year comparisons are not indicative of operating profitability; the filing reports no operating revenue for the SPAC.

At December 31, 2023, Quantum reported a working-capital deficit of $11.39 million, current liabilities of $12.06 million and a $11.51 million stockholders’ deficit. The trust balance was principally reserved for the business combination or redemptions, not general operating liquidity; the filing states the $619,554 operating cash balance was required for taxes. The auditor and management cited substantial doubt about Quantum’s ability to continue as a going concern absent additional capital, notwithstanding the subsequent business-combination closing.

Wilson-Davis regulatory capital: As of December 31, 2023, Wilson-Davis reported $10.8 million of net capital, including $1.95 million in subordinated loans, and $10.6 million of excess net capital. NSCC rules require at least $10 million of excess net capital for correspondent clearing for introducing brokers. Its NSCC margin deposit was $2.5 million, compared with a stated requirement of $569,303.

Material changes versus the prior comparable period

  • Net income declined to $0.79 million from $11.05 million, primarily reflecting the absence of FY2022 derivative fair-value gains; the company remained pre-revenue at the SPAC level.
  • Operating cash use increased to $1.82 million from $1.08 million. Trust assets fell substantially following shareholder redemptions.
  • The February 2024 business combination transformed the company into a financial-services and technology platform, but that operating combination is not reflected in the FY2023 financial statements.
  • The business combination involved substantial financing and potential dilution: Wilson-Davis seller notes total $12.971 million; a $6 million secured Funicular convertible note bears 12.5% interest; the Chardan convertible note has $4.15 million principal and 13% interest; and approximately $3.3 million of additional expense-settlement notes were issued. Terms and conversion prices vary.

Outlook, commentary, risks and unusual items

Management describes its strategy as integrating Wilson-Davis, banking capabilities and technology to offer trading, clearing, settlement and custody services. It provides no quantified revenue, earnings, margin, cash-flow or profitability guidance. Commercial Bancorp’s acquisition was still subject to approvals and closing conditions; management cautions that it may not close and that expected synergies are not assured. Pacsquare’s platform and modules require development, testing and implementation, and Wilson-Davis’s existing FIS clearing-services contract was due to expire in May 2025, with extensions anticipated as needed.

  • Debt and liquidity: The filing says certain payment obligations under the Funicular Note, Seller Notes and Chardan Note had not been timely satisfied. The first Chardan interest payment was unpaid as of filing, and registration-statement obligations were not met on schedule, increasing interest under applicable note terms. The company says noteholders had not yet pursued remedies; default, accelerated repayment, dilution and going-concern risks remain.
  • Controls: Management concluded disclosure controls and internal control over financial reporting were ineffective at December 31, 2023, due to Quantum’s deficiencies involving complex instruments, financial-statement preparation and related disclosures. Remediation was underway. The 10-K does not include an auditor attestation on internal controls.
  • Regulatory and legal: Wilson-Davis faces a pending SEC appeal of FINRA sanctions concerning alleged short-sale and AML/supervisory violations. The NAC ruling imposed fines totaling $1.10 million plus $51,624 disgorgement; sanctions are stayed pending the SEC’s decision. Wilson-Davis also settled a separate 2019 FINRA action, paid a $500,000 penalty and completed remediation.
  • Business concentration and market exposure: Canaccord-referred Canadian securities liquidations represented 10.3% of Wilson-Davis revenue for the six months ended December 31, 2023, versus 15.8% in the comparable 2022 period; no continuing referral commitment is disclosed. Microcap activity, volatile markets, margin calls, regulatory requirements, third-party systems and cybersecurity are material risks.
  • Shareholder dilution: Seller and other convertible notes, share-based settlements, Pacsquare consideration, earn-out shares and warrants could materially increase shares outstanding. The filing reports 12,455,157 common shares outstanding as of April 15, 2024; outstanding warrants generally have an $11.50 exercise price.

Most important facts for investors to verify

  • Post-combination financial statements, actual operating revenue and cash burn, and whether the company has adequate unrestricted liquidity and financing.
  • Status of overdue note payments, registration obligations, any defaults or waivers, debt maturities, conversion terms and resulting dilution.
  • Whether Commercial Bancorp closes or is replaced, and whether Pacsquare delivers, passes testing and receives regulatory clearance for its platform on schedule.
  • Wilson-Davis’s ongoing excess-net-capital compliance, concentration in Canaccord-related business and outcome of the pending SEC appeal.
  • Progress remediating the disclosed control weaknesses and reconciliation of share counts, potential earn-outs and other share issuances.
