- Operating income increased 27.2% to $70.6 million, and diluted EPS increased to $1.07 from $0.88.
- Cost of goods sold improved to 63.4% of sales from 63.7%; SG&A declined to $59.1 million, or 19.4% of sales, from $60.9 million, or 21.6%.
Segment results and material changes
| Segment | FY2022 sales | FY2021 sales | FY2022 operating income | FY2021 operating income |
| Mineral Fiber | $887.4 million | $818.5 million | $260.9 million | $261.2 million |
| Architectural Specialties | $345.7 million | $288.1 million | $21.7 million | $4.2 million |
- Consolidated sales growth reflected approximately $94 million from favorable pricing and mix, including average unit value, and $33 million from higher volume.
- Mineral Fiber sales increased 8.4%, but operating income was essentially flat because pricing benefits were offset by lower volume, higher raw-material, energy and freight costs, lower WAVE equity earnings, and higher selling expenses.
- Architectural Specialties sales increased 20.0% and operating income rose substantially, primarily from broad-based growth and contributions from prior acquisitions, partly offset by higher selling, manufacturing and acquisition-related costs.
- WAVE equity earnings declined to $77.6 million from $87.7 million, primarily due to lower volumes and higher steel costs.
- Higher raw-material and energy costs reduced 2022 operating income by approximately $34 million, while higher freight costs reduced it by approximately $6 million.
- AWI acquired GC Products in November 2022 for $2.8 million. The acquisition was not material to 2022 sales or earnings.
Cash flow, liquidity and capital structure
- Operating cash flow was $182.4 million. Capital expenditures were $74.8 million, producing approximate operating cash flow less capital expenditures of $107.6 million.
- Cash and cash equivalents were $106.0 million at December 31, 2022, including $89.3 million in the U.S. and $16.7 million primarily in Canada.
- Principal debt outstanding was $655.0 million, consisting of $205.0 million drawn on the revolving facility and a $450.0 million Term Loan A. Reported long-term debt, net of financing costs, was $651.1 million.
- In December 2022, AWI refinanced its credit facility with a $500.0 million revolving facility and a $450.0 million Term Loan A, extending maturities to December 2027. The initial pricing was 1.625% over SOFR plus a 10-basis-point adjustment, subject to leverage-based adjustments.
- Revolving borrowing capacity was $295.0 million at year-end. Letters-of-credit capacity totaled $175.0 million, of which $8.1 million was used.
- AWI was in compliance with its debt covenants. The facility requires minimum interest coverage of 3.0 to 1.0 and maximum net leverage of 3.75 to 1.0, subject to specified exceptions.
- Interest expense increased to $27.1 million from $22.9 million because of higher rates on floating-rate debt. A 25-basis-point increase in SOFR was estimated to increase 2023 interest expense by approximately $0.7 million after considering swaps.
- AWI repurchased 1.9 million shares for $165.0 million in 2022 and paid $44.2 million of dividends. Approximately $348.8 million remained under the repurchase authorization at year-end.
Outlook, management commentary and risks
- Management expects 2023 capital expenditures of approximately $75 million to $85 million and dividends of approximately $45 million. The filing does not provide formal revenue or earnings guidance.
- Management reported weakening demand and additional project delays in the second half of 2022, particularly in Mineral Fiber, amid an elongated post-COVID recovery, inflation, labor constraints and supply-chain challenges.
- Price increases were implemented throughout 2022, with additional increases announced in the fourth quarter that became effective in the first quarter of 2023.
- Key risks include cyclical North American construction activity, office-demand trends, customer concentration and consolidation, pricing pressure, raw-material and energy inflation, supply-chain disruption, labor shortages and union negotiations, and dependence on WAVE.
- Worthington announced plans to separate into two public companies, with the transaction expected by early 2024 subject to conditions. A change in ownership or strategy could affect the WAVE relationship.
- AWI had approximately $0.5 million of accrued environmental liabilities related to two Superfund sites, but stated that ultimate remediation costs could exceed recorded amounts and could be material to an individual period.
- U.S. pension plans were overfunded by $54.6 million, while unfunded postretirement obligations were $61.9 million. Pension assets experienced a 20.71% loss in 2022, increasing sensitivity to market returns and actuarial assumptions.
- Tax assets remain subject to realization risk, including $675.5 million of state NOL carryforwards and $48.7 million of valuation allowances. AWI also reported $27.3 million of unrecognized tax benefits.
- No goodwill or intangible-asset impairment was recorded in 2022. Future impairment risk depends on construction markets, customer relationships, projected cash flows and discount rates.
