- Investments: Net investment income declined 16% to $343M, mainly reflecting lower hedge-fund returns. Net realized investment gains increased to $132M from $76M; 2014 included $31M of other-than-temporary impairment charges. Pre-tax total investment return was 2.0%, versus 1.6%.

Changes, outlook and notable matters
- Gross premiums written were nearly flat year over year; net premiums earned grew 4%. Reinsurance gross premiums included substantial multi-year treaty business, including premiums related to future underwriting years.
- Lower catastrophe losses and greater reserve releases helped underwriting results, while current accident-year loss ratios excluding catastrophe losses worsened in both segments. Management cited property loss activity, business mix and increased agriculture reserves following commodity-price declines.
- Management expected overall gross premium growth in 2015, prioritizing diversification and attractive-return opportunities. Insurance pricing had generally leveled off; reinsurance remained highly competitive, with rate deterioration and margin pressure.
- The PartnerRe transaction introduces completion, integration and execution uncertainty. The filing describes potential termination fees of $55M or $250M in specified circumstances, plus transaction costs up to $35M. Following the announcement, S&P and A.M. Best placed ratings under negative review/watch; Moody’s placed ratings on review for possible upgrade.
- AXIS expected to suspend its share repurchase program until the merger closing. Its new authorization permits up to $750M of repurchases through December 31, 2016.
- Material risks include catastrophe severity and model uncertainty, reserve-estimation uncertainty, investment-market and low-yield risks, foreign exchange, reinsurer counterparty exposure, broker concentration (three brokers generated 56% of 2014 gross premiums), competitive pricing and regulatory change. Solvency II was scheduled to take effect in 2016 for certain European entities.
Most important facts for investors to verify
- Whether the PartnerRe amalgamation received all required approvals, closed on the anticipated timetable, and achieved its expected integration and financial benefits.
- Subsequent reserve development, particularly in long-tail professional and liability lines, agriculture, and prior catastrophe events.
- Whether premium growth and underwriting profitability held up amid reinsurance price and commission pressure, and whether catastrophe losses remained within management’s risk assumptions.
- Investment income, realized gains, credit-spread exposure and portfolio liquidity; distinguish recurring operating income from realized gains and favorable foreign-exchange effects.
- Claim-payment cash flows, restricted assets, debt and capital levels, rating-agency decisions, and the effect of merger-related repurchase suspension.
