  • Q2 sales rose 4.8% year over year; first-half sales rose 7.0%. Higher price and mix drove growth, while volume was down 3.7% in Q2 and 0.6% for the first half. First-half sales also included a benefit from the absence of a prior-year customer-contract reduction.
  • Cost of sales was 69.9% of sales in Q2 versus 71.8% a year earlier, and 70.1% for the first half versus 71.6%. Operating income increased despite higher SG&A, implementation costs and impairment charges. Interest expense increased 63% in Q2 and 56% for the first half, primarily following the refinancing of term loans at higher rates.
  • Segment results: Performance Coatings Q2 sales were essentially flat at $856.0 and Adjusted EBIT declined to $117.8 from $125.2. Mobility Coatings sales increased 15.5% to $437.9 and Adjusted EBIT rose to $23.7 from $2.3. First-half Adjusted EBIT was $227.1 for Performance Coatings and $47.2 for Mobility Coatings.
  • Operating cash flow was $79.2 for the first half, compared with cash used of $31.7 in the prior-year period. Working-capital uses of $228.6 included receivables and prepaid assets, partly offset by lower inventories. Capital spending was $73.9; cash used for financing was $179.2.
  • At June 30, cash and cash equivalents were $517.6, current assets $2,689.6 and current liabilities $1,329.2. Total borrowings, net, were $3,567.9, including $3,528.9 of long-term debt. The company prepaid $150.0 of term loans in the first half. Revolving-credit availability was $529.6, net of letters of credit.

Changes, outlook and notable matters

  • Q2 sales benefited from higher pricing and mix, but North American ERP implementation disruption and a weaker Industrial market weighed on volumes, especially in Performance Coatings. Management said delays were temporary and substantially resolved by June 30; North America completed its ERP migration during Q2, with other regions scheduled to transition in phases over the next several years.
  • Management reported raw-material deflation in Q2, following first-half inflation, and expects to offset cumulative input-cost increases through improved pricing while monitoring costs. No specific full-year financial guidance is provided in the filing.
  • Management believes available cash, operating cash generation and borrowing capacity will be adequate to service debt, fund initiatives and meet liquidity needs for the next 12 months. It cautions that elevated rates, leverage, economic conditions and geopolitical events could affect cash generation, financing costs and refinancing ability.
  • Q2 included an $8.3 impairment charge tied to planned demolition of assets at a closed manufacturing site. First-half impairment charges also included the anticipated exit of a non-core Mobility Coatings business category. The company recorded $14.1 of Q2 costs associated with the ERP program and consultant productivity work.
  • A previously disclosed operational matter has an estimated liability of $39.8 and related insurance receivable of $38.7 at June 30. The company says actual costs could be materially higher or lower depending on repair costs and insurance coverage. Other ordinary-course legal and environmental matters remain subject to uncertainty.
  • On July 17, 2023, Axalta announced a CFO transition: Carl Anderson was appointed to start August 14, replacing Sean M. Lannon. The filing reports effective disclosure controls as of June 30 and no material change in risk factors from the 2022 annual report.

Key investor verification points

  • Track whether ERP implementation disruptions remain resolved and whether remaining regional migrations cause further operating or sales effects.
  • Assess volume trends, particularly in Performance Coatings Industrial, and the sustainability of pricing and margin improvement as input costs change.
  • Monitor interest expense, debt reduction, liquidity and refinancing exposure, including the impact of higher rates.
  • Review working-capital conversion and operating cash flow, given substantial first-half receivables and prepaid-asset cash uses.
  • Follow the operational matter’s ultimate repair costs and insurance recoveries, and the execution and financial effects of the planned non-core business exit.
