Gross margin improvement reflected favorable material and import costs, partly offset by higher labor, overhead and quality costs and lower sales. Operating profit also benefited from lower SD&A and the absence of prior-year special charges. Net income and EPS benefited from higher operating profit, reduced other expense and fewer diluted shares. Net interest expense declined to $0.9 million from $6.6 million, principally due to higher interest income on cash and lower average short-term borrowings. The effective tax rate rose to 23.1% from 19.6%, with the prior-year period benefiting from more favorable discrete tax items.

Segments

  • ABL: Sales fell 7.5% to $876.4 million, with declines across channels except retail. Operating profit rose 21.8% to $143.8 million; margin increased to 16.4% from 12.5%, reflecting improved profitability on lower sales, partly offset by higher employee costs.
  • ISG: Sales rose 13.0% to $64.2 million, supported by KE2 Therm, pricing and product mix. Operating profit declined 31.2% to $5.3 million, and margin fell to 8.3% from 13.6%, primarily due to higher employee costs and professional fees.

Financial position, debt and liquidity

  • Cash and cash equivalents were $513.3 million at November 30, 2023, up from $397.9 million at August 31, 2023. Current assets were $1,474.1 million and current liabilities $600.6 million.
  • Long-term debt was $495.7 million, consisting of the 2.150% senior unsecured notes due December 15, 2030. There were no revolving-credit borrowings. The $600 million revolver had $596.2 million of available capacity after letters of credit; management reported cash plus available capacity of approximately $1.1 billion.
  • The company reported compliance with financing covenants and said it expects cash, operating cash flows and borrowing availability to meet liquidity needs over the next 12 months and support long-term needs. A sustained market deterioration could require additional capital or other actions.
  • Financing cash outflows included $48.2 million of cash repurchases and $4.1 million of dividends paid. The company repurchased 0.3 million shares for $50.0 million and had 0.9 million shares remaining under its authorization at quarter-end.

Material changes, outlook and risks

  • Consolidated sales declined despite growth in ISG, as ABL sales weakened. The filing reports seasonal effects from weather, construction and installation activity, and customer budget cycles; historically, sales are often highest in the last two fiscal quarters.
  • No acquisitions or divestitures occurred in Q1 FY2024. The May 2023 KE2 Therm acquisition contributed to ISG growth; the prior-year comparison included the Sunoptics sale loss and $6.9 million of special charges. No special charges were recorded this quarter.
  • No specific earnings or revenue guidance was provided. Management described liquidity as sufficient under current projections and cautioned that forward-looking expectations are subject to risks and uncertainties.
  • A proposed settlement of the data-security class action was reached in December 2023 and is pending court approval; the reported settlement impact is not material. The company also noted possible government inquiries or actions relating to the incidents but said potential losses could not then be reasonably estimated.
  • Warranty and recall liabilities were $32.7 million at quarter-end, compared with $22.4 million a year earlier. Management cautioned that actual future warranty costs or recovery shortfalls could adversely affect results and cash flows. Other pending legal claims were not expected by management to have a material adverse effect, although unfavorable developments could be material.
  • No material changes to risk factors or market-risk exposures were reported. Disclosure controls were deemed effective at a reasonable assurance level, but the assessment excluded acquired KE2 Therm; its internal controls had not yet been assessed.

Key facts for investors to verify

  • Whether ABL sales trends stabilize and whether improved gross and operating margins can be sustained.
  • Whether ISG can translate sales growth into operating-profit and margin improvement.
  • Cash conversion, capital spending, share repurchases and liquidity under any deterioration in market conditions.
  • Final court approval and any subsequent developments in the data-security matter, including potential agency inquiries.
  • Changes in warranty and recall costs, inventory reserves, and the company’s assessment of KE2 Therm’s internal controls.
