Adjusted, non-GAAP results excluded $4.8 of temporary manufacturing inefficiencies associated with the Cochran facility closure and special charges of $0.7 in the current quarter (versus $2.7 in the prior year). Adjusted operating profit was $53.7, up 0.8%, with an 11.2% margin, unchanged year over year. Adjusted diluted EPS was $0.69 versus $0.74. These measures supplement, and are not substitutes for, GAAP results.

Cash and cash equivalents were $267.5 at November 30, 2012, down $17.0 from August 31. Capital expenditures were $11.2; dividends paid were $5.5. Management attributed negative operating cash flow chiefly to working-capital funding, including lower accounts payable after payments for prior-quarter inventory, and higher annual incentive compensation payments. Current assets were $773.3 and current liabilities $321.3. Total debt was $353.5, substantially unchanged; cash less debt was approximately $(86.0). The $250.0 revolving facility had $244.3 of additional borrowing capacity after letters of credit under the most restrictive covenant. The company reported covenant compliance. Debt to total capitalization was 29.0%.

Material changes versus the prior comparable period

  • Sales increased modestly, primarily from higher volume; slightly unfavorable price and product mix partly offset growth. LED-based luminaires represented approximately 13% of sales, compared with 5% a year earlier.
  • Margins and GAAP earnings declined amid Cochran closure-related inefficiencies, new-product and product-mix costs, and slightly unfavorable price/mix. Lower material costs, higher sales, and streamlining benefits provided offsets.
  • Prior-year miscellaneous income of $2.9, largely from favorable foreign-exchange effects, did not recur; current-quarter miscellaneous expense was $0.1. Net interest expense was $7.7 in both periods.
  • Effective tax rate rose to 35.4% from 34.7%. Management cited unrecognized tax benefits for Spain losses and the then-expired R&D tax credit; legislation retroactively reinstating the credit was expected to reduce Q2 FY2013 tax expense by about $0.6.

Outlook, commentary, risks, and unusual items

  • Management described demand as soft and inconsistent amid U.S. and global economic uncertainty. It expected North American lighting-market growth in the low- to mid-single digits for FY2013, somewhat below earlier expectations. The company gave no specific consolidated revenue or EPS forecast in this filing.
  • Management expected demand to remain inconsistent in Q2 as customers respond to economic and U.S. fiscal-policy uncertainty, with greater stability anticipated in the second half. It was cautiously optimistic about profitable growth and expected to outperform its markets.
  • Management expected FY2013 capital expenditures of approximately $40.0 and a full-year effective tax rate slightly below 35%, assuming tax-jurisdiction rates remained generally consistent.
  • The Cochran facility was expected to cease production by the end of Q2 FY2013. Approximately $4.0 of additional closure-related costs were forecast for Q2, including special charges and temporary production inefficiencies; timing and cost depended on permits and production ramp-up. Management estimated annualized savings of approximately $14.0 from streamlining actions, with the full run rate expected from Q3 FY2013.
  • A board-approved amendment to the supplemental retirement plan increased the pension liability by $5.5 and was expected to add approximately $1.1 of FY2013 pension expense.
  • Risks include weak or volatile end-market demand, input-cost changes, pricing and competition, execution of restructuring and production transfers, customer and supplier relationships, foreign exchange, and legal or other contingencies. Management reported no material change in disclosed reserves or risk factors and did not expect pending legal matters to materially affect results, while noting unfavorable developments could do so. Product warranty and recall reserves were $4.4 at quarter-end.
  • The company expected to continue quarterly dividends at $0.13 per share for the remainder of FY2013, subject to board decisions. The board declared a $0.13 dividend payable February 1, 2013.

Important facts for investors to verify

  • Whether demand, orders, and sales stabilize as management anticipated, and whether LED-related growth continues.
  • Whether Cochran production transfer and closure finish on schedule, whether forecast Q2 costs are accurate, and whether projected savings are realized.
  • Whether gross-margin pressure and negative operating cash flow reverse; monitor working capital, capital spending, and incentive payments.
  • Whether the stated tax-rate outlook and R&D credit benefit are reflected in subsequent results.
  • Whether liquidity, revolver covenant compliance, pension costs, and warranty or legal contingencies change materially.
