Material changes versus the prior year
- Revenue grew 51%, led by China retail commerce, cloud growth and consolidation of businesses including Ele.me, Cainiao and Koubei. Ele.me and Koubei contributed to reported local consumer services revenue of RMB18.1 billion.
- Cost of revenue rose 93% to RMB206.9 billion; as a share of revenue it increased from 43% to 55%. Management attributed the increase to logistics, inventory-heavy New Retail and direct sales, cloud infrastructure and content costs.
- Share-based compensation increased 87% to RMB37.5 billion, including higher fair-value expense on Ant Financial-related awards. Excluding share-based compensation and the U.S. class-action settlement, operating income increased 8% to RMB96.3 billion.
- Investment and interest income included non-cash revaluation gains, including RMB22.0 billion on the previously held Koubei interest and RMB5.8 billion on Alibaba Pictures, partly offset by investment impairment charges. These items materially affect comparisons of reported profit.
- Operating cash flow increased, while investing cash outflow rose to RMB151.1 billion, primarily reflecting strategic investments, acquisitions and capital expenditure. Financing cash flow was a net outflow of RMB7.4 billion, including share repurchases.
Outlook, commentary, risks and unusual items
- Management said cash and operating cash flows should cover anticipated needs for at least the next 12 months. It expects continued investment in New Retail, local services, international expansion, cloud capacity, technology and user growth. Management expects cost of revenue to rise in absolute terms and likely as a share of revenue; it also expects product development and marketing spending to increase. No specific revenue or earnings guidance is provided in the filing text.
- The company warns that investment in lower-margin or loss-making businesses may continue to pressure margins and net income. Competition, economic conditions, seasonal sales patterns and execution of acquisitions and New Retail initiatives may affect results.
- Key structural and regulatory risks include reliance on PRC variable-interest-entity contractual arrangements for restricted businesses, uncertainty around future PRC rules and the Foreign Investment Law, and the fact that Alibaba does not control Ant Financial or Alipay. Alibaba had agreed to acquire a 33% Ant Financial interest, subject to approvals and other conditions; completion is not established by this filing.
- Alipay processed substantially all marketplace payments and escrow services; approximately 70% of China retail marketplace GMV was settled through Alipay in the year. Data privacy and cybersecurity, intellectual-property and consumer-protection claims, trade tensions, currency controls and the ability to transfer funds from China are additional risks.
- Unusual items include a US$250 million provision for a U.S. federal securities class-action settlement, subject to court approval at the report date; a separate California class-action settlement of US$75 million was approved in May 2019. An SEC inquiry into consolidation practices, related-party transactions and 11.11 reporting remained ongoing; the SEC stated that its information request was not an indication that a violation occurred.
- Management disclosed that Jack Ma planned to retire as executive chairman in September 2019, with CEO Daniel Zhang designated as successor. The board authorized a new share repurchase program of up to US$6 billion over two years in May 2019.
Investor facts to verify
- Confirm the correct reporting period: this filing covers FY2019, not standalone 2018 Q4 results.
- Assess how much reported earnings growth depended on non-cash investment revaluations, and how share-based compensation and the class-action provision affected operating profit.
- Track the drivers of rising cost of revenue and the path to profitability for cloud, digital media, innovation and local consumer services.
- Verify the status and terms of the proposed 33% Ant Financial investment, required approvals, and the continuing commercial relationship with Alipay.
- Review VIE enforceability and PRC regulatory developments, including the Foreign Investment Law effective January 2020, alongside data, competition and trade risks.
- Check debt maturities, the May 2019 term-loan extension, investment commitments and the potential Cainiao-related guarantee; confirm cash available offshore given PRC restrictions on distributions.
